Comello, Executive Assistant, Scribe MEMBERS OF THE PUBLIC Tom Sullivan Trustee Evans called the meeting to order at approximately 5:00 p.m. Roll call was taken, Trustees Evans, Fehr, Wilson, Nicozisin, Wahby, and Watson were present. Trustee Evans asked for the approval of the preceding meeting journal: January 12, 2023, (1667th) Board Meeting. Motion was made by Trustee Watson and seconded by Trustee Nicozisin; all Trustees approved the motion. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of The Board Committees: PROGRAM MANAGEMENT COMMITTEE REPORT The Program Management Committee met on January 31, 2023, at 7:30 a.m.  The meeting was attended by Trustees Nicozisin, Evans, Wilson, Wahby, and Watson, with Trustee Fehr online.    Chairperson Nicozisin called roll and had no further comments.    The minutes of the January 3, 2023, Program Management meeting were approved.    The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items:    Ordinance No. 16063 – Staff requested authorization to enter into an agreement and to award additional CSO Volume Reduction Green Infrastructure Grant funding to Forest Park Forever for the construction of two bio-retention basins and lake improvements to store additional stormwater in the park lake system. This construction will reduce runoff to the combined sewer tributary to the River Des Peres. This project complies with the District CSO Long Term Control Plan and the Consent Decree. Ordinance No 16064 - Staff provided bid and appropriation details for the Harlem Baden - Hamilton to Darver Trunk Sewer project being awarded to Keeley Construction Group. Staff provided specifics on the bids received and explained construction impacts causing the project to be over the designers estimate and planned project budget. Staff briefly discussed the financial status of the FY23 Capital Budget. Staff presented details on the contract renewal of several General Services Agreement contracts for Engineering support services. Ordinance No.’s 16070-16072 will provide additional funding for three Geotechnical services contracts. These contracts support internal design staff with the design and delivery of consent decree and asset management projects. 2 Last Revised: 4/7/23 Staff presented Resolution Number 3815 which approves revisions to the MSD Standard Construction Specifications for Sewer and Drainage Facilities. Staff explained the process for updating and coordination with outside stakeholders involved in the revisions. This will be the ninth revision since the specifications were originally developed. The next Committee meeting is tentatively scheduled for February 28, 2023.  The meeting was adjourned at 7:48 a.m.   This concludes the Program Management Board Comments Report.  ~ ~ ~ ~ ~ FINANCE COMMITTEE REPORT The Finance Committee met on January 31, 2023, at 7:50 a.m. The meeting was attended by Trustees Evans, Wilson, Watson, Wahby, Nicozisin with Trustee Fehr online. Chairperson Fehr called roll and had no further comments. The minutes of the January 3, 2023, Finance Committee meeting were approved. The first item on the agenda consisted of a review of the District’s Financial Status Report as of December 2022 by Director of Finance Marion Gee. The District forecasts that both expenses and revenues will be slightly favorable to Budget in FY23. Next, Marion presented the Adjustment Review Committee report as required by ordinance. Secretary- Treasurer Tim Snoke then reviewed the District’s Operating Fund Portfolio as of January 25, 2023. Tim indicated that the portfolio is in compliance with the District’s Investment Policy. The last item on the agenda was an update by Tim regarding the status of the Management Audit. Tim reviewed the audit findings and management’s responses. The next Committee meeting is tentatively scheduled for Tuesday, February 28, 2023. The meeting was adjourned at 8:03 a.m. This concludes the Finance Committee Board Comments Report. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE REPORT The Stakeholder Relations Committee met on January 31, 2023 at 8:04 a.m. The meeting was attended by Chairperson Wilson, Trustees Evans, Nicozisin, Wahby and Watson, and on-line via Teams was Trustee Fehr. Trustee Wilson called roll and had no further comments. The minutes of the January 3, 2023 Stakeholder Relations Committee Meeting were approved. The Agenda and Discussion items were as follows: RESOLUTION NO. 3814 - The first agenda item was a discussion by Susan Myers regarding a Resolution for contract renewal for Legal Consulting Services pertaining to Stormwater and Wastewater Issues with Shands, Elbert, Gianoulakis & Giljum, LLP. The Resolution will authorize the second (2nd) one-year renewal term to the existing contract. RESOLUTION NO. 3816 - The next agenda item was a discussion by Sean Stone regarding a Resolution for Public Engagement Services. This Resolution will authorize the District to execute a single source agreement with StandPoint Public Affairs. The original contract under Ordinance No. 15112 provided for an initial term of one (1) year with three (3) additional one-year renewal terms at the option of the District. This contract will provide the District with public engagement services for an additional one-year term, after which this contract will go out for competitive selection. EXECUTIVE DIRECTOR UPDATE: - The next agenda item was an update provided by Brian Hoelscher regarding nominations for the Board Chair and Vice-Chair positions. Brian explained the process that will take place at the March 2023 Board Meeting for nominating the positions of MSD Board Chair and Vice-Chair and the term of each position. The new terms will begin March 16, 2023, and end March 15, 2025. The meeting was then adjourned at 8:08 a.m. The next Committee meeting is tentatively scheduled for February 28, 2023. 3 Last Revised: 4/7/23 This concludes the Stakeholder Relations Committee Board Comments Report. ~ ~ ~ ~ ~ Report of the Executive Director: The Executive Director and CEO, Brian Hoelscher, reported to the Board: Brian Hoelscher said he wanted to reiterate what was in the previous Stakeholders Report. The elections for the new Board of Trustee Officers will occur at the end of the March Board of Trustees meeting. At that time, a County Trustee as Chair and a City Trustee as Co-Chair will be selected. The results of the election will not take effect until March 16, 2023. If the Trustees have any questions about the process, contact Brian Hoelscher or Tim Snoke. Comments by the Public: As noted by Secretary-Treasurer Tim Snoke, there were no comments received from the Public. Submission of Public Hearing Report: None. The Secretary-Treasurer addressed the Board: The Secretary-Treasurer asked the Trustees if they would like to pull any items for a separate vote within the Consent Agenda. Hearing none, Mr. Snoke then moved forward with the voting for Adoption of Agenda Item Numbers 10 through 21. CONSENT AGENDA Adoption of Ordinance No.16051 - CSO Volume Reduction Green Infrastructure – Love Bank Park (12871) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Cherokee Street Community Improvement District, for cost share for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Love Bank Park (12871) in the City of St. Louis, Missouri. Adoption of Ordinance No.16052 - Webster Groves Trunk E Sanitary Rehabilitation and I/I Reduction Phase IV Part 3 (11678) An appropriation of Four Hundred Seventy-Five Thousand Dollars ($475,000.00) from the Sanitary Replacement Fund to be used for private I/I removal and storm sewer construction in Webster Groves Trunk E Sanitary Rehabilitation and I/I Reduction Phase IV Part 3 (11678) in the City of Webster Groves, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22233 with Taylormade Construction for private I/I removal and storm sewer construction. Adoption of Ordinance No.16057 - Stormwater Infrastructure Repairs (2023) (13006) An appropriation of Four Million Dollars ($4,000,000.00) from the Districtwide Stormwater Fund to be used for repair and replacement of inlets, manholes, sewers, and other infrastructure in Stormwater Infrastructure Repairs (2023) (13006) at various locations throughout the District. Adoption of Ordinance No.16058 - Jefferson Barracks Tunnel Consolidation Sewers (11957) (Design) A supplemental appropriation of Sixty-Five Thousand Dollars ($65,000.00) from the Sanitary Replacement Fund to be used for design of sanitary sewers in Jefferson Barracks Tunnel Consolidation Sewers (11957) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 41 to Contract No. 10734 with Jacobs Engineering Group, Inc. for design of sanitary sewers. Adoption of Ordinance No.16061 – Real Property Acquisition Services Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with O. R. Colan Associates, LLC for real property acquisition services, whereby O. R. Colan Associates, LLC, will provide professional property acquisition services on a project-by-project basis as necessary. Adoption of Ordinance No. 16062 - Oracle EBS Upgrade to the Cloud A supplemental appropriation of Two Million Seven Hundred Thousand Dollars ($2,700,000.00) from the General Fund to be used for professional services in Oracle EBS Upgrade to the Cloud District-wide.
