BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The City Council hereby authorizes and directs the Mayor and City Clerk to execute an amendment to the Solid Waste and Recyclable Materials Collection and Removal Contract with Republic Waste Services dated April 3, 2009, the terms of such amendment to be substantially similar to the attached Exhibit A. Section 2. This Ordinance shall be in full force and effect from and after the date of its passa e and approval. Passed: , ' (71111/1 Approved: Presidin O icer Mayor ATTEST: APPROVED AS TO FORM: `City Cie'-rk City Counselor 42,y< 1474 AMENDMENT TO SOLID WASTE AGREEMENT Whereas,the City of Jefferson, Missouri (hereinafter called"City") and Allied Services, LLC, a Delaware limited liability company(hereinafter called"Contractor") are parties to a Solid Waste Agreement dated April 3, 2009 (hereinafter called"Agreement");and Whereas, City and Contractor are agreeable to the following amendments to the Agreement; Now, therefore, it is agreed as follows: 1. The total of the Road Use Fee and Future Planning Fee payable by Contractor to City as provided in Sections 14 and 1.5 of the Agreement shall stay intact and shall be reduced by the revenue shortfall amount of$320,000.00 for contract year November 1,2009 through October 31,2010 and for contract year November 1, 2010,through October 31, 2011.For each subsequent contract year,the fee reduction shall be increased or decreased according to the average increase or decrease in the Consumer Price Index for the preceding twelve months. 2. The revenue shortfall referenced herein shall first be applied to the Road Use Fee with any excess fee reduction being applied to the Future Planning Fee. 3. In the event that the total number of single family and duplex households being served and paid by Contractor pursuant to the Agreement falls below 11,000 or increases above 13,500, City and Contractor agree that they will at such time in good faith renegotiate the Agreement(as amended herein) in order to permit Contractor to earn a reasonable rate of return on Contractor's investment. 4. Except as may be required to comport with the amendments set forth herein, all other terms and conditions of the Agreement shall remain in full force and effect. CITY- JE ON ALLIED SERVICES,LLC 13y: or,./',' �— Title: A T: City C1 API'' ED TO FORM: City Counselor CITY OF JEFFERSON CONTRACT RENEWAL OF TRANSPORTATION AND RECYCLING OF MA TERIALS WHEREAS,the City of Jefferson, Missouri, a municipal corporation, with offices at 320 East McCarty Street, Jefferson City, Missouri, 65101, hereinafter designated "City,"entered into an Agreement with Allied Waste Services, 6545 Moreau River Access Road, Jefferson City, Missouri, 65101, hereinafter referred to as "Contractor," on December 2, 2010, and amended on October 17, 2011 ;and WHEREAS, the Agreement was for transportation of recyclable glass in roll off containers; and WHEREAS,both parties wish to extend the agreement for the first of two additional one-year renewal periods as stipulated in Paragraph 2 of the agreement dated December 2, 2010, and amended October 17, 2011.
