Trustee Evans was absent. Trustee Fehr called for a vote to go into Closed Session at 4:04 p.m. Trustee Nicozisin motioned, and Trustee Wilson seconded the motion; all Trustees in attendance approved the motion via roll call vote. The Board of Trustees returned from Closed Session and Trustee Fehr called for a motion to go into Open Session at 5:17 p.m. Trustee Wahby motioned, and Trustee Nicozisin seconded the motion; all Trustees in attendance approved the motion via roll call vote. Trustee Fehr asked for the approval of the preceding meeting journal: April 13, 2023, (1670th) Board Meeting. Motion was made by Trustee Wilson and seconded by Trustee Nicozisin; all Trustees in attendance approved the motion. Comments by Board Chair: Trustee Fehr stated the Board has requested more time to evaluate the Fluidized Bed Incinerator project which are items 16 and 17 (Ordinances 16090 and 16091) on tonight’s agenda for further evaluation. The second item is that the Board has formed an Ad Hoc Committee of the Board of Trustees to consider the process by which the Board will go about filling the Executive Director’s position when Brian Hoelscher retires. ~ ~ ~ ~ ~ Report of The Board Committees: PROGRAM MANAGEMENT COMMITTEE REPORT The Program Management Committee met on May 2, 2023, at 7:30 a.m. The meeting was attended by Trustees Nicozisin, Wilson, Wahby and Watson, with Trustee Fehr and Evans online. Chairperson Nicozisin called roll and had no further comments. The minutes of the April 4, 2023, Program Management meeting were approved. 2 The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance Numbers 16111 and 16112 – Staff provided details of two CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River per the Consent Decree. Staff provided details of the grants being awarded to St. Louis Public Schools and Alumnus Gardens, LLC for various volume reducing improvements. Ordinance Numbers 16113 -16117 - Staff reviewed the details and bid information for five construction projects bid over the past month. These ordinances will authorize contracts and appropriate the necessary funds for these projects. Ordinance Number 16120 - Staff requested a supplemental appropriation and an amendment of a construction management contract with KAI 360 Construction Services. This is a planned supplemental appropriation in the fiscal year 2023 CIRP budget. Staff answered a question from Trustee Wahby regarding the multiple projects being consolidated within the construction management contract. Ordinance Number 16121 – Staff reviewed details of a planned appropriation and contract authorization for engineering design services for the River Des Peres Channel Rehabilitation project. This project was made possible by the District receiving ARPA (American Rescue Plan) funding allocated by the State of Missouri. Staff is requesting Introduction and Adoption on tonight’s agenda to expedite the project designs. This is necessary to accommodate restrictive timelines for the use of the funds. Ordinance Numbers 16123 and 16124 - Staff reviewed the details of two sanitary relief sewer projects currently in easement acquisition. Staff has been unable to obtain these property rights through negotiation. Staff is requesting authorization from the Board to move forward with condemnation efforts to allow the projects to remain on schedule. The project schedules are critical to ensure compliance with the District’s Consent Decree. Staff presented details for Resolution Numbers 3834 and 3835 which recommends to the Board of Trustees that sections of District real property, located at or near 2751 Queen Street in St. Louis MO, and at or near 3532 Marshal Avenue in St. John MO, are no longer needed for District operations and therefore, should be declared as surplus property. Under “Other Business” staff provided an update on property purchases in the Ellendale neighborhood of St. Louis City, there were no questions from the committee. The next Committee meeting is tentatively scheduled for May 30, 2023. The meeting was adjourned at 8:01 a.m. This concludes the Program Management Board Comments Report. ~ ~ ~ ~ ~ FINANCE COMMITTEE REPORT The Finance Committee met on May 2, 2023, at 8:02 a.m. The meeting was attended by Trustees Wilson, Watson, Nicozisin, Wahby with Trustee Fehr & Evans online. Chairperson Evans called roll and had no further comments. The minutes of the April 4, 2023, Finance Committee meeting were approved. The following agenda items to be introduced tonight were presented and discussed: Resolution No. 3836- District Rate Model Support & Feasibility Study: This resolution authorizes the District to execute the first of four option years for professional services with Raftelis Financial Consultants, Inc. Raftelis provides rate modeling support which includes rate design software, training and support services; rate proposal preparation and expert testimony for Rate Commission proceedings; and preparation of feasibility studies as needed for the issuance of District bonds. Ordinance No. 16143- FY 2024 Budget Appropriations: This ordinance authorizes the District to expend funds during FY 24 for wastewater and stormwater operations. The requested appropriations total $389.6 million. Requests for appropriations relating to the District’s Capital program will be brought to the Board throughout the year as funding is needed for the projects. Ordinance No. 16142- 2023 Tax Levy for the Metropolitan St. Louis Sewer District and its various Sub Districts: This Ordinance approves the tax rates to be applied to customer’s Real and Personal property assessments within the corporate limits of the City of St. Louis, St. Louis County, and various sub-districts to produce revenues 3 required for operation and infrastructure projects relating to the District’s stormwater program. The agenda consisted of the review of the District’s Financial Status Report as of March 2023 by Director of Finance Marion Gee. The District forecasts that both expenses and revenues will be favorable to Budget in FY23. Marion presented the Adjustment Review Committee report as required by ordinance. Marion also discussed the proposed changes to FY 24 Preliminary Budget and reviewed the remaining components of the budget meeting schedule. Secretary- Treasurer Tim Snoke reviewed the District’s Operating Fund Portfolio as of April 27, 2023. Tim indicated that the portfolio is currently out of compliance with the District’s Investment Policy due to one commercial paper provider holding more than 5% of the total portfolio. Tim stated that the issue will be corrected this week. Secretary- Treasurer Tim Snoke discussed options relating to the procurement of investment management services pertaining to the District’s Pension Plans. Tim stated that he would follow up with the Committee regarding a recommendation once bids are received and evaluated. The meeting adjourned at 8:29 a.m. The next tentatively scheduled meeting is Tuesday, May 30, 2020. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE REPORT The Stakeholder Relations Committee met on May 2, 2023 at 8:31 a.m. The meeting was attended by Chairperson Wilson, Trustees, Nicozisin, Wahby and Watson, and on-line via Teams were Trustees Evans and Fehr. Chairperson Wilson called Roll and had no further comments. The minutes of the April 4, 2023 Stakeholder Relations Committee Meeting were voted on and approved. The Agenda and Discussion items were as follows: RESOLUTION NO. 3837 - GROUP MEDICAL PLAN BENEFITS RENEWAL - This resolution authorizes the District to extend the contract with CIGNA Healthcare for medical benefits for the District’s employees and family members. ORDINANCE NOS. - 16125 through 16142 - The next item was a discussion by Dino Kiveric regarding Ordinances for the District's Risk and Liability Insurance Coverage Programs. The various plans are: • Property and Boiler & Machinery Insurance Coverage • Excess Flood & Earth Movement Insurance Coverage • Combined Liability Insurance Program • Auto Liability Insurance Program • Public Official Excess Liability • Excess (Umbrella) Liability Program (First Layer) • Excess (Umbrella) Liability Program (Second Layer) • Excess (Umbrella) Liability Program (Third Layer) • Cyber Liability Insurance Program • Owners Pollution Protective Insurance Program • Contractors Equipment (Inland Marine) Insurance Program • Commercial Crime Insurance Coverage • Fiduciary Liability Insurance Coverage (First Layer) • Fiduciary Liability Insurance Coverage (Second Layer) • Excess Workers’ Compensation Insurance Coverage • Underground Storage Tank Insurance Coverage • National Flood Insurance Program (NFIP) Major Facility Pollution Liability Insurance Coverage These Ordinances will provide financial protection from catastrophic losses and damages caused by policy indicated events and claims for the period of July 1, 2023 through June 30, 2024. CLOSED SESSION - At approximately 8:45 a.m., Chairperson Wilson requested a motion to move into Closed 4 Session to discuss Personnel Actions Under Section 610.021(3), RSMo. 1988 Supp. and all Trustees concurred. At approximately 9:50 a.m., Chairperson Wilson requested a motion to end Closed Session and return to Open Session and all Trustees concurred. ADJOURNMENT - The meeting was adjourned at 9:51 a.m. The next Committee meeting is tentatively scheduled for May 30, 2023. This concludes the Stakeholder Relations Committee Board Comments Report. ~ ~ ~ ~ ~ Report of the Executive Director: None Comments by the Public: Chairman Fehr announced there were several members of the public present to speak, the first was Cherise Jones, a local resident from Era Avenue. Cherise Jones addressed the Board of Trustees about concerns over an elevated manhole at the corner of Leonora and Era. She is concerned that it is a trip hazard and is concerned a child or someone could hurt themselves on it. She showed the Board a photo of the manhole. Trustee Fehr asked if there is a response from MSD about Ms. Jones concerns. Brian Hoelscher said they sent someone out to look at the site and see that this was a City of St. Louis sidewalk improvement project to add a handicapped ramp. He said he will have staff work with the city to have the block removed. Trustee Fehr introduced the next speaker: Tom Sullivan. Tom Sullivan addressed the Board and stated he had concerns about the recent internal audit service firm selected; Armanino LLP, by noting an article in Bloomberg titled “FTX Collapse Puts Auditors in Crosshairs of Clients, Regulators.” The article says the firm was willfully blind to a pattern of racketeering and a customer, FTX, allegedly lost $20,000 in a subsequent lawsuit in San Francisco. He said it was reminiscent of the Enron situation years ago. Mr. Sullivan also wondered about the need for all the closed sessions and if they are necessary and lawful regarding Sunshine Law. He feels the timing of having closed sessions before meetings were inconvenient for the public in attendance having to wait for open sessions to begin when closed sessions run long. Mr. Sullivan also noted the reported history of violating election laws and said MSD is doing it again. He mentioned a past Post Dispatch investigation about employees of MSD working on a campaign for District rate proposals during work time. Mr. Sullivan also said that MSD news releases in the past were campaign brochures for rate increases. Trustee Fehr introduced the next speaker: St. Louis County Councilman Ernie Trakas. Ernie Trakas introduced himself as the District 6 Councilman for the St. Louis County Council. He said he is speaking tonight with concern over the incinerator project, and he was glad the Board decided to put a hold on the vote for the project pending further review. He said he had issued a press release earlier in the day about his thoughts on the project. Councilman Trakas indicated there could be other less expensive options and MSD could potentially receive Federal funding that could reduce the public’s burden through rate increases or bonding. He said he will continue to monitor the situation because of his concerns about the project. Trustee Fehr introduced the next speaker: Makal Ali representing African American Business and Contractor Association (AABCA). Makal Ali addressed the Board with concerns from AABCA about a subcontractor, Simms Building Group, who he says doesn’t have the proper NAISC codes for steel work. Mr. Ali stated he feels MSD as an institution is morally corrupt and it doesn’t care about the people. He said he has been coming to the meetings for 37 years and nothing has changed. He said he is concerned about economic equality for the black people who are paying higher rates and taxes. Trustee Fehr introduced the last speaker: Scott Plocher, from Kokosing/Plocher, LLC. Scott Plocher said he will hold his comments because the incinerator project was delayed, and he will address the board at a future meeting. Submission of Public Hearing Report: None. The Secretary-Treasurer addressed the Board: The Secretary-Treasurer asked the Trustees if they would like to pull any items for a separate vote within the Consent Agenda. Hearing none, Mr. Snoke then moved forward with the voting for Adoption of Agenda Item Numbers 10 through 33. 5 CONSENT AGENDA Adoption of Ordinance No. 16084 - Jefferson Barracks Tunnel (Lemay WWTP to Martigney PS) (11711) A supplemental appropriation of Three Million Seven Hundred Fifty Thousand Dollars ($3,750,000.00) from the Sanitary Replacement Fund to be used for sanitary storage tunnel in Jefferson Barracks Tunnel (Lemay WWTP to Martigney PS) (11711) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 20489 with SAK Construction, LLC for sanitary storage tunnel. Adoption of Ordinance No. 16085 - DC-02 & DC-03 Sanitary Relief (Brentwood Blvd to Conway Rd) Phase Ill and Phase IV (12472) A supplemental appropriation of Three Hundred Thousand Dollars ($300,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in DC-02 & DC-03 Sanitary Relief (Brentwood Blvd to Conway Rd) Phase III and Phase IV (12472) in the City of Ladue, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21786 with J. H. Berra Construction Co., Inc. for sanitary sewer construction. Adoption of Ordinance No. 16086 - Lower Meramec WWTF Expansion Phase II (12255) A supplemental appropriation of Thirty Million Dollars ($30,000,000.00) from the Sanitary Replacement Fund to be used for wastewater treatment plant construction in Lower Meramec WWTF Expansion Phase II (12255) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 22150 with Plocher Construction Company, Inc. for wastewater treatment plant construction. Adoption of Ordinance No. 16087 - Lower Meramec WWTF Expansion Phase II (Construction Management) (12255) A supplemental appropriation of Two Million Dollars ($2,000,000.00) from the Sanitary Replacement Fund to be used for construction management services in Lower Meramec WWTF Expansion Phase II (Construction Management) (12255) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 2 to Contract No. 21842 with KAI 360 Construction Services, LLC for construction management services. Adoption of Ordinance No. 16088 - Harlem Cityshed Mitigation Basins (Ashland and Essex) (13231) A supplemental appropriation of Two Million Dollars ($2,000,000.00) from the Sanitary Replacement Fund to be used for detention basin construction in Harlem Cityshed Mitigation Basins (Ashland and Essex) (13231) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 22196 with Keeley Construction Group, Inc. for detention basin construction. Adoption of Ordinance No. 16108 - Authorization to Enter into a Retainer Agreement Authorizing the Executive Director on behalf of The Metropolitan St. Louis Sewer District to enter into a Retainer Agreement with AquaLaw PLC, Napoli Shkolnik PLLC, and Robbins Geller Rudman & Dowd LLP to represent MSD, at no cost to MSD, in litigation against manufacturers of Perfluoroalkyl Substances (PFAS) chemicals. Adoption of Ordinance No. 16109 - Classification Plan Repealing Ordinance No.15745, as adopted on September 9, 2021, and enacting a new Ordinance prescribing changes to the Classification Plan to include the recommendations from the 2023 Compensation Study for C and Unclassified positions only and changes associated with equity and business needs, all changes have been approved by the Civil Service Commission. Adoption of Ordinance No. 16110 - Compensation Plan – U Schedule Repealing Ordinance No. 15872, as adopted March 10, 2022, and enacting a new ordinance addressing clerical errors in the Compensation Plan. Wahby AYE Adoption of Resolution No. 3836 - District Rate Model Support & Feasibility Study Exercise option year one (1) of the contract previously authorized by Ordinance No. 15908, adopted June 9, 2022, which authorized the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Raftelis Financial Consultants, Inc. whereby Raftelis Financial Consultants, Inc. would provide rate design software, training and support services; rate proposal preparation and expert testimony for anticipated future rate commission proceedings; preparation of financial feasibility studies as needed for the issuance of District bonds and assist with public communications regarding future stormwater initiatives.
