AGREEMENT
TO DEDICATE AND USE
This Agreement entered into this 13th day of March
Riverwood Estates Development Co., A Joint Venture
19 81 by and between Joseph Development Corporation, A Joint Venturer
Party of the First Part, and The Metropolitan St. Louis Sewer District, a municipal
corporation and a political subdivision of the State of Missouri, Party of the Second
Part.
WHEREAS, Party of the First Part is desirous of securing sewage disposal for
a tract or parcel of land, known as RIVERW00D ESTATES PHASE 1
(Use subdivision name or street address, whichever applicable)
(MSD Ref. No. P- 10850 )
WHEREAS, Party of the Second Part is desirous of providing such sewage disposal
to the Party of the First Part,
NOW, THEREFORE, in consideration of the premises, and of the performance of
the convenants hereinafter set out, it is mutually agreed that, upon completion of the
sewer or sewers and treatment plants, if any, and after final inspection has been
completed by Party of the Second Part, Party of the First Part shall file with the Party
of the Second Part a Deed of Dedication conveying and transferring to The Metropolitan
St. Louis Sewer District all rights, titles and interests in the aforesaid sewers,
together with the appropriate sewer easements and treatment plants, and Party of the
Second Part shall accept for public use said Dedication, and shall thereafter undertake
the operation and maintenance of all aforesaid sewers, easements and treatment plants.
In addition, however, the Party of the First Part agrees that the Party of the Second
Part or any permittee thereof may connect with and use any such sewer or sewers and
appurtenances thereto at anytime prior to such dedication.
IN WITNESS WHEREOF, the Party of the First Part and the Party of the Second
Part have hereunto set their hands and seals the day and year first above written.

delineated thereon were dedicated to THE METROPOLITAN ST. LOUIS SEWER
DISTRICT, a municipal corporation and a political subdivision of the State of
Missouri, and
WHEREAS, the plans for said subdivison have been filed and approved
at the offices of the Party of the Second Part, and have been officially
designated as Riverwood Estates Phase 1 (P-10850), and
WHEREAS, Party of the First Part has constructed a sanitary sewer in
the said easements,

sum of One ($1.00) Dollar, and other good and valuable considerations, to it
paid by the Party of the Second Part, receipt of which is hereby acknowledged,
does by these presents Grant, Bargain and Sell, Convey and Confirm, and
Dedicate unto the Party of the Second Part the sanitary sewers located in, on
and under the aforesaid easements and streets,
TO HAVE AND TO HOLD THE SAME, with all the rights, privileges, and
appurtenances thereto belonging, or in any wise appertaining including the
maintenance, operation, repair or reconstruction of said sewers and
appurtenances, unto the said Party of the Second Part, so that neither the
Party of the First Part nor any other person for it or in its behalf, shall
hereafter claim or demand any right or title to the aforementioned easements
or sewers or any part thereof, but they and each of them shall, be these
presents, be excluded and forever barred.

We are currently discussing the possibility of starting display homes
at Riverwood Estates. All of our conversations are in the preliminary
stages and a final decision will be based on the economic forecasts issued
during the next 30 to 60 days.
At the time our displays are being constructed we anticipate completing
all improvements to the multi -family and commercial tracts in the develop-
ment. As we discussed in March, 1981, when I sent you a copy of the develop-
ment agreement for those parcels, the grading of the commercial property
will be completed by the owners rather than by Gateway. When the improvements
have been constructed to the property lines, I will contact you about payment
as provided for in the agreement.
In going over my records I was surprised to see a year had passed since
we discussed the land development. Hopefully the economy will stabilize to
enable us to proceed with our plans this time.

Reference Is made to the letter dated March 25, 1981 from Soil Consultants, Inc.,
relative to the soils in the area of this development, the anticipated settle-
ment of the proposed fill, the installation procedures for the 84" diameter culvert,
and the resultant problems caused by the fill.
The report indicates an anticipated 2.55' of settlement with approximately 1.9'
of settlement occurring if a surcharge is placed. The report also gives recommend-
ed.periods of surcharge placement, plus recommended methods of pipe bedding.
This Department has reviewed the report from Soil Consultants, Inc., and have
the following recommendations:
1. The surcharge is to be placed to elevation 505 for a period not
less than one year.
2. At least four (4) settlement gauges are to be placed, as
recommended by the soils engineer, and approved by this Depart-
ment, to monitor the actual settlement induced by the surcharge.
Representatives of this Department will, along with the soils
engineer, monitor the settlement periodically and keep an
accurate log of same.
3. At the end of one year, the surcharge above elevation 500 may
be removed and the 84" pipe installed, utilizing the method
described under your paragraph titled "Class C Bedding".
This paragraph spells out the type of bedding to be used,
plus the utilization of anti -seepage plugs.
4. The 84" pipe shall be laid Sfind m NN5I x (6) inches of
camber, or as required as a result of the data developed from
the settlement gauge readings.

5. The retention basin should be constructed atthis time. This
will aid in reducing the amount or surface flow directed to
the surcharge, and reduce the i'robobility of washing out of the
fill, should a major design storm occur.
6. The proposed 8" sanitary sewer crOssing.will have to be inspected
by this Department. If severe settlement occurs in the sanitary
sewer pipe such that its integrity is threatened, and eilinent
damage to the storm sewer pipes and/or the fill slope isapparent,
it may be necessary to remove or repair the sanitary sewer line.
I. The above comment also applies to the existing 12" trunk sanitary
sewer main in the immediate area.
It is requested that revised plans, with the above conditions indicated thereon,.
be submitted to this Department for review.

I have reviewed the construction cost for the above referenced project and have
found only a few items the District cannot allow to be recouped. The following
is a list of these items:
1) Check #1912 dated 10-21-80 in the amount of $500.00 for an As Built
deposit which is refundable to you upon receipt of the As Built
drawings.
2) Check #2742 dated 4-23-82 in the amount of $1,390.19 for instal-
lation of Sonderman lateral issued to Bates Utility.
3) Check #1916 dated 10-23-80 in the amount of $1,750.00 for an
As Built deposit which is refundable to you upon receipt of the
As Built drawings.
4) Check #1948 dated 11-28-80 in the amount of $216.75 for a lake
ponding study by Volz Engineering.
5) A $560.00 deduction in check #2039 dated 3-6-81 in the amount of
$53,130.65 issued to Bates Utility for 80 L.F. of 6" P.V.C. lateral
at $7.00 per foot.
6) A $500.00 deduction in check #2595 dated 7-20-82 in the amount of
$1,741.00 issued to Bates Utility for an As Built deposit which
is refundable to you upon receipt of the As Built drawings.
