Trustee Fehr was absent. Trustee Wilson asked for the approval of the preceding meeting journal: July 13, 2023, (1673rd) Board Meeting. Motion was made by Trustee Nicozisin and seconded by Trustee Evans; all Trustees in attendance approved the motion. Comments by Board Chair: None Report of The Board Committees: 2023 AD HOC BOARD COMMITTEE REPORT The 2023 Ad Hoc Board Committee met on July 18, 2023, at 2:00 p.m. The meeting was attended by Chairperson Fehr, Trustees Wilson, Nicozisin, Evans, and Watson. The staff in attendance were Executive Director, Brian Hoelscher; HR Director, Tracey Coleman; and Secretary-Treasurer, Tim Snoke. There were no members of the public in attendance. Chairperson Fehr called Roll and had no further comments. The minutes from the preceding meeting on June 20, 2023, were approved. The agenda for the meeting: Closed Session - At approximately 2:00 p.m. Chairperson Fehr requested a motion to move into Closed Session to discuss sealed proposals and related documents under Section 610.021(12), RSMo 1988 Supp. all Trustees concurred. At approximately 4:42 p.m. Chairperson Fehr requested a motion to end Closed Session and return to Open Session and all Trustees concurred. Adjournment – Trustee Fehr adjourned the meeting at 4:42 p.m. The next Committee meeting date will be determined at a later time. This concludes the 2023 Ad Hoc Board Committee Comment Report. ~ ~ ~ ~ ~ 2 AUDIT COMMITTEE REPORT The Audit Committee met on August 1 at 7:32 am. The meeting was attended by Trustees Watson, Evans, Nicozisin, and Wilson with Trustee Wahby attending online. Chairperson Watson called roll and had no introductory comments. The minutes of the July 5 Audit Committee meeting were approved. Next, the external auditor, CliftonLarsonAllen, presented, for the year ended December 31, 2022, the results of the audits of the financial statements for the Employees’ Pension, the Deferred Compensation, and the Defined Contribution plans, stating that the plans were audited in accordance with Generally Accepted Auditing Standards and that “clean” opinions were issued for each plan. The audit engagements were performed according to the planned scope and the schedule communicated previously. No difficulties or disagreements with Management were encountered when performing the audits. No findings were identified, and no management letters were issued. There were no corrected or uncorrected misstatements identified. Next, Internal Audit presented a report for an engagement that involved the performance of attack and penetration testing of all District-managed network systems, which include internal networks, external networks, and websites. All systems facing the internet were included in the engagement scope. The attacks were designed to simulate the techniques of a real-world cyber attacker. The engagement received two separate “clean” opinions: Satisfactory for the External Penetration testing and Satisfactory for the Internal Penetration Testing. The report contained three (3) Opportunities for Improvement, which were presented to and discussed with the Committee. Questions were addressed as they were received from the Committee. The next Audit Committee meeting is tentatively scheduled for Tuesday, September 5, 2023. The meeting was adjourned at approximately 8:03 am. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ PROGRAM MANAGEMENT COMMITTEE REPORT The Program Management Committee met on August 1, 2023 at 8:04 a.m.  The meeting was attended by Trustees Nicozisin, Evans, Wilson, and Watson; with Trustee Wahby online.  Chairperson Nicozisin called roll and had no further comments.  The minutes of the July 5, 2023 Program Management meeting were approved.  The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items:  Ordinance Numbers 16183 and 16184 – Staff provided details of two (2) CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River and the River Des Peres per the Consent Decree. Staff provided details of the grants being awarded to St. Louis Regional Public Media and Quadrangle Management Company for various volume reducing bio retention basins. Ordinance Numbers 16185 -16190 - Staff reviewed the details and bid information for six (6) construction projects bid over the past month. These ordinances will authorize contracts and appropriate the necessary funds for these projects. Ord. No.’s 16193-16197 – Staff presented and reviewed details of five (5) ordinances that appropriate funds and renew contracts for vendor support services on tonight’s agenda. These services assist both the Engineering and Operations departments in the completion of work required by the Consent Decree. Staff provided details on how these services support the program. Ord. No.’s 16199-16200 – Staff requested appropriations for fiscal year 2024 Easement Acquisition funding. This funding will allow for staff to take further efforts to acquire necessary property rights to construct combined, sanitary, and storm sewer projects. The next Committee meeting is tentatively scheduled for September 5, 2023.  The meeting was adjourned at 8:26 a.m.  This concludes the Program Management Board Comments Report. ~ ~ ~ ~ ~ 3 FINANCE COMMITTEE REPORT The Finance Committee met on August 1, 2023, at 8:27 a.m. The meeting was attended by Trustees Evan, Watson, Wilson, Nicozisin with Trustee Wahby online. Chairperson Evans called roll and had no further comments. The minutes of July 5, 2023, Finance Committee meeting were approved. The following agenda items to be introduced tonight were presented and discussed: Resolution No. 3849- Collection Litigation Services- Gusdorf Law Firm, LLC Resolution No. 3850- Collection Litigation Services- John G. Heimos, PC Law Firm Resolution No. 3851- Collection Litigation Services- Kramer & Frank, PC The resolutions authorize the District to exercise the 3rd of four (4) option years with Gusdorf Law Firm, John G. Heimos, PC Law and Kramer & Frank, PC Law Firm for collection litigation services. These firms will pursue the collection of delinquent customer accounts for which other means of collection have been unsuccessful. The firms are paid on a commission basis dependent on the amount of delinquent charges collected. During FY 23, the average annual payment to each law firm was $1.3 million. Other items discussed during the Committee meeting included the following: Director of Finance Marion Gee presented the Adjustment Review Committee report as required by ordinance. Secretary-Treasurer Tim Snoke reviewed the District’s Operating Fund Portfolio as of July 24, 2023. Tim indicated that the portfolio is in compliance with the District’s Investment Policy. The next Committee meeting is tentatively scheduled for Tuesday, September 5, 2023. The meeting was adjourned at 8:34 a.m. This concludes the Finance Committee Board Comments Report. ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE REPORT The Stakeholder Relations Committee met on August 1, 2023 at 8:35 a.m. The meeting was attended by Chairperson Wilson, Trustees, Evans, Nicozisin and Watson, and on-line was Trustee Wahby. Chairperson Wilson called Roll and had no further comments. The minutes of the July 5, 2023 Stakeholder Relations Committee Meeting were voted on and approved. The Agenda and Discussion items were as follows: INFORMATION TECHNOLOGY - ANNUAL INFORMATION SECURITY OVERVIEW - The first Agenda item was a presentation prepared by Ginny Kienstra and Jason Stockmann regarding MSD's Information Security Update. Ginny introduced to the Board Jason Stockmann, who is MSD's Assistant Director of Information Technology and Security Specialist. Jason began the presentation with an update on trends in Cyber Attacks to the Utility Industry and the EPA's new guidelines to protect water and wastewater systems. He then gave an overview of MSD's Security Rating as computed by BitSight which has given MSD a rating of 760, an improvement over the prior year and gives MSD a Security Rating of Advanced. Jason then provided information on MSD's implementation of additional functions to improve its Cybersecurity Framework as recommended by NIST, National Institute of Standards and Technology. There is no Board action required at this time. RESOLUTION NO. 3853 The next item was a discussion by Ginny Kienstra regarding a Resolution to authorize the renewal of an Intergovernmental Agreement with REJIS to provide data security & monitoring services as well as operate a data center facility for the District. This is for option year three (3) of possible four one-year annual renewals. ORDINANCE NO. 16201 The next item was a discussion by Susan Myers regarding an Ordinance for the District's Conflict of Interest Policy. The Missouri Ethics Commission has ordered each political subdivision to re- adopt an Ordinance (bi-annually) at an open meeting by September 15 which establishes and makes public the method of disdaining potential conflicts of interest. This Ordinance re adopts the Ordinance containing the existing policy prohibiting conflicts of interest for MSD trustees, officers, and employees. ORDINANCE NO. 16203 The next item was a discussion by Tracey Coleman regarding an Ordinance for the selection of an Executive Search firm. This Ordinance authorizes staff to enter into an agreement with GovHR to 4 assist the Board of Trustees in the hiring of a new Executive Director. ORDINANCE NO. 16202 The next item was a discussion by Tracey Coleman regarding an Ordinance for Third Party Claims Administration Services. This Ordinance provides administration for claims and claims adjustment costs. The contract is for an initial term of one (1) year with four (4) additional one-year renewal terms at the option of the District. This District will enter into the initial one year contract with Thomas McGee from January 1, 2024 to December 31, 2024. RESOLUTION NO. 3852 The next item was a discussion by Tracey Coleman regarding a Resolution for the Re-appointment of a Civil Service Commissioner. Commissioner Michael Harvey is recommended by staff to be reappointed to the Civil Service Commission on September 29, 2023 for a second three (3) year term, expiring on September 29, 2026. This concludes the Stakeholder Relations Committee Board Comments Report. ~ ~ ~ ~ ~ Report of the Executive Director: None Comments by the Public: Vice Chairperson Wilson announced that there was a member of the Public requesting to address the Board, Tom Sullivan: “On this evening’s agenda is millions of dollars of no-bid contracts for Jacobs Engineering Group. This firms background so awful that it has to be wondered if the District should be doing business with. Jacobs has quite a rap sheet. According to violation tracker, Jacobs and related companies have had about 70 violations over the last 20 years or so. They’ve had to pay tens of millions of dollars in fine or settlements. They range from $5000 dollars to a $35 million settlement with the Department of Justice was a result of overcharging the United States Army, Navy, Air Force, the Department of Energy, Environmental Protection Agency, and the National Aeronautics and Space Administration. Other violations were for different matters: bribery, kickbacks, environmental violations, product safety violations, employment discrimination, nuclear safety violations, wage and hour violations, labor relations violations, benefit plan administration violations, on and on. In 2020 Jacobs was named to the Dirty Dozen by the National Council for Occupational Safety. This was in relation to a botched toxic cleanup in Tennessee, killing 41 and injuring hundreds of others. I do not think MSD ratepayers want the funds they give to the Sewer District to be spent with a firm like Jacobs. Thank you for listening to my comments.” Submission of Public Hearing Report: . None The Secretary-Treasurer addressed the Board: The Secretary-Treasurer asked the Trustees if they would like to pull any items for a separate vote within the Consent Agenda. Hearing none, Mr. Snoke then moved forward with the voting for Adoption of Agenda Item Numbers 10 through 38 CONSENT AGENDA Adoption of Ordinance No. 16152 - CSO Volume Reduction Green Infrastructure – Tower Grove Park Basketball Courts (13905) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with The Board of Commissioners of Tower Grove Park, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Tower Grove Park Basketball Courts (13905) in the City of St. Louis, Missouri. Adoption of Ordinance No. 16153 - CSO Volume Reduction Green Infrastructure – 2422 N. Sarah St (14013) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Eternity Adult Daycare, LLC, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – 2422 N. Sarah St. (14013) in the City of St. Louis, Missouri. Adoption of Ordinance No. 16154 - Burning Tree Infrastructure Repair (N. Waterford Dr to Fox Run Dr) (12108) An appropriation of Three Hundred Seventy Thousand Dollars ($370,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Burning Tree Infrastructure Repair (N. Waterford Dr to Fox Run Dr) (12108) in the City of Florissant, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 52010 with TaylorMade Construction for sanitary sewer construction. 5 Adoption of Ordinance No. 16155 - Gravois Creek Sanitary Trunk Relocation and Stream Stabilization (Affton Athletic Complex to Green Pk Ind Dr) (12815) An appropriation of Two Million Two Hundred Thousand Dollars ($2,200,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Gravois Creek Sanitary Trunk Relocation and Stream Stabilization (Affton Athletic Complex to Green Pk Ind Dr) (12815) in the City of Green Park and unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 53000 with Kelpe Contracting, Inc. for sanitary sewer construction. Adoption of Ordinance No. 16156 - Dade Ave 400 Block North Storm Sewer (IR) (10853) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a construction contract with Fred M. Luth & Sons, Inc., for storm sewer construction in Dade Ave 400 Block North Storm Sewer (IR) (10853) in the City of Ferguson, Missouri. Adoption of Ordinance No. 16157 - Trenton Ave 9400 Block Channel Improvements (11313) An appropriation of One Hundred Sixty Thousand Dollars ($160,000.00) from the Operations, Maintenance, Construction, Improvement Fund of University City to be used for channel stabilization in Trenton Ave 9400 Block Channel Improvements (11313) in the City of Overland, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 52003 with Two Alpha Contracting, LLC for channel stabilization. Ordinance No. 16159 was removed for voting from the Consent Agenda as it was a duplicate Ordinance. Adoption of Ordinance No. 16169 - LMRDP CSO Storage Tunnel (Broadway to RDP Tubes) (11820) A supplemental appropriation of Two Million Two Hundred Thousand Dollars ($2,200,000.00) from the Sanitary Replacement Fund to be used for design of CSO storage tunnel in LMRDP CSO Storage Tunnel (Broadway to RDP Tubes) (11820) in the City of St. Louis and Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 10734 with Jacobs Engineering Group Inc. for design of CSO storage tunnel. Adoption of Ordinance No. 16170 - Upper River Des Peres and River Des Peres Tributaries Storage Tunnel (12441) A supplemental appropriation of Four Hundred Thousand Dollars ($400,000.00) from the Sanitary Replacement Fund to be used for design of CSO storage tunnel in Upper River Des Peres and River Des Peres Tributaries Storage Tunnel (12441) in various Cities and unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend to Contract No. 10734 with Jacobs Engineering Group Inc. for design of CSO storage tunnel. Adoption of Ordinance No. 16171 - Mississippi Floodwall ORS Pump Stations Rehabilitation (12483) A supplemental appropriation of One Million Two Hundred Thousand Dollars ($1,200,000.00) from the Sanitary Replacement Fund to be used for design and engineering during construction phase services in Mississippi Floodwall ORS Pump Stations Rehabilitation (12483) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend 7 Contract No. 20476 with Black & Veatch Corporation for design and engineering during construction phase services. Adoption of Ordinance No. 16172 - Bissell Point WWTF Trickling Filter Media Replacement (12566) A supplemental appropriation of One Hundred Fifty Thousand Dollars ($150,000.00) from the Sanitary Replacement Fund to be used for general engineering services in Bissell Point WWTF Trickling Filter Media Replacement (12566) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 4 to Contract No. 21838 with Jacobs Engineering Group Inc. for general engineering services. Adoption of Ordinance No. 16173 - Pump Station Repair and Improvement Design (Contract C) (12699) A supplemental appropriation of Fifty Thousand Dollars ($50,000.00) from the Sanitary Replacement Fund to be used for design in Pump Station Repair and Improvement Design (Contract C) (12699) in the Cities of Chesterfield, Des Peres, Sunset Hills, Wildwood, and Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 22000 with Crawford Murphy & Tilly Inc. for design. Adoption of Ordinance No. 16174 - CCTV Inspection and Physical Inspection of Sewers (2023) (12804) A supplemental appropriation of Three Million Dollars ($3,000,000.00) from the General Fund to be used for CCTV inspection and physical inspection of sewers and sewer cleaning in CCTV Inspection and Physical Inspection of Sewers (2023) (12804) throughout the Metropolitan Sewer District service area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 22187 with Ace Pipe Cleaning, Inc. for CCTV inspection and physical inspection of sewers and sewer cleaning.
