INCUMBENCY CERTIFICATE
I do hereby certify that I am the duly elected or appointed and acting Village Clerk of
the Village of Key Biscayne, Florida, a municipality duly organized and existing under the laws
of the State of Florida ("Lessee"), that I have custody of the records of such entity, and that, as
of the date hereof, the individuals named below are the duly elected or appointed officers of such
entity holding the offices set forth opposite their respective names.
I further certify that (i) the officers of Lessee listed below have the authority on behalf of
Lessee to execute and deliver the Master Lease Purchase Agreement dated as of March 2, 2017
between City National Bank of Florida and Lessee, all Lease Schedules thereunder and all other
documents, agreements and certificates contemplated by the foregoing; and (ii) the signatures
set opposite the respective names and titles of such officers are their true and authentic signature.
