A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF OPA-LOCKA, FLORIDA, TO AUTHORIZE THE
CITY MANAGER TO RENEW AND NEGOTIATE THE
ANNUAL AGREEMENT WITH EMERGENCY
COMMUNICATIONS NETWORK INC., IN THE AMOUNT
OF NINE THOUSAND SEVEN HUNDRED AND FIFTY
DOLLARS (9,750.00), FOR THE CODE RED HIGH SPEED
TELEPHONE COMMUNITY NOTIFICATION SERVICES,
PAYABLE FROM ACCOUNT#14-512528; PROVIDING FOR
INCORPORATION OF RECITALS; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS,the Emergency Communications Network Inc.,provides CodeRED High Speed
Telephone Community Notification service for the City of Opa-locka; and
WHEREAS, the CodeRED communication system is extremely efficient and effective in
providing vital communication to residents; and
WHEREAS, the CodeRed's Internet Mapping system can geographically targets specific
areas, the entire City limits, or anything that may impact the public; and
WHEREAS, CodeRed Weather Warning service notifies residents with early weather
warnings, a vital communication tool to Opa-locka's residents; and
WHEREAS, the City Commission of the City of Opa-locka desires to authorize the City
Manager to negotiate and renew the annual agreement with Emergency Communications Network
Inc. for CodeRED High Speed Telephone Community Notification Services.
NOW,THEREFORE,BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF OPA-LOCKA, FLORIDA:

Section 1. The recitals to the preamble herein are incorporated by reference.
Section 2. The City Commission of the City of Opa-locka hereby authorizes and directs
the City Manager to negotiate and renew the annual agreement with Emergency Communications
Network Inc.for CodeRED High Speed Telephone Community Notification Services in the amount
of Nine Thousand Seven Hundred and Fifty Dollars(9,750.00),payable from account#14-512528.
Section 3. This resolution shall take effect immediately upon adoption.

Staff Summary:
Code Red High Speed Telephone Community Notifications has proven to be a highly effective way for
the City to communicate with its constituents. This system has allowed the City to notify from a specific
area in the City to the entire City limits within minutes. The City has used CodeRed to communicate
road closures, Public Work projects, events, or anything that may impact the public. This one year
agreement will allow the City to continue to have access to this system at the same level or service we
had our initial year as well as any improvements or upgrades made.

Description: Code Red High Speed Telephone Community Notifications has proven to be a
highly effective way for the City to communicate with its constituents. This system

Recommendation(s): Staff recommends renewing the CodeRed agreement as the system has
proven to be highly efficient and effective in communicating with

Analysis: The results that the Internet mapping system that geographically targets
calls are impossible to achieve in house and reach such a large number of

individuals in such a short amount of time. CodeRed is extremely effective
in providing vital communication to residents that may be in harm's way.
During the initial year of service, CodeRed has provided City residents with
information within minutes of the calls being sent out.

AGREEMENT
THIS IS AN AGREEMENT, dated the 1 day of.1±,,2009, between:
CITY OF OPA-LOCKA, a Florida municipal corporation,
hereinafter"CITY,"
• -and
EMERGENCY COMMUNICATIONS NETWORK, INC.
a Florida Company,authorized to do business in the State of
Florida, hereinafter"CONTRACTOR."
WITNESSETH:
In consideration of the mutual terms and condition, promises, covenants, and payments
hereinafter set forth,CITY and CONTRACTOR agree as follows:
ARTICLE 1
PREAMBLE
In order to establish the background, context and form of reference for this Agreement
and to generally express the objectives, and intentions, of the respective parties herein,
the following statements, representations and explanations shall be accepted as
predicates for the undertakings and commitments included within the provisions which
follow and may be relied upon by the parties as essential elements of the mutual
considerations upon which this Agreement is based.
1.1 CITY is in need of a Contractor to provide high speed emergency telephone
communication services to the residents of the City of Opa-locka.
1.2 CONTRACTOR is the owner of a service identified as "CodeRED Emergency
Notification System" which is designed for authorized licensed users to have access 24
hours a day, 7 days a week, for the purpose of generating high-speed notifications to
targeted groups via an Internet-hosted software application. CONTRACTOR is also the
owner of a service identified as "CodeRED Weather Warning" which is an early warning
system designed to deliver severe weather warnings to telephones within seconds after
being issued by the National Weather Service. The CITY desires to utilize both the
"CodeRED Emergency Notification System"and the"CodeRED Weather Warning" add-
on service (hereinafter collectively called "CodeRED service") for the purpose of
communicating matters of public interest and concern.
1.3 On April 8, 2009, the CITY awarded the CONTRACT and authorized the proper
CITY officials to enter into an agreement with CONTRACTOR to render the services
more particularly described herein below.

11.2 This Agreement may be terminated by either party for cause, or the CITY for
convenience, upon thirty(30)clays written notice by the CITY to CONTRACTOR. In the
event that CITY terminates this agreement for cause, CONTRACTOR shall refund the
CITY a prorated portion of the Contract Sum set forth in Article 4 herein.
11.3 This Agreement shall take effect as of the date of execution as shown herein
below and continue for such time as is contemplated by the Agreement.
ARTICLE 12
CONTRACT DOCUMENTS
12.1 CONTRACTOR and CITY hereby agree that the following Specification and
Contract Documents, which are attached hereto and made a part thereof, are fully
incorporated herein and made a part of this Agreement,as if written herein word for word:
This Agreement; CONTRACTOR'S proposal as set forth in Composite Exhibit "A';
proposal, City Commission award;and any other exhibits thereto.
ARTICLE 13
MISCELLANEOUS
13.1 Legal Representation. It is acknowledged that each party to this Agreement had
the opportunity to be represented by counsel in the preparation of this Agreement and,
accordingly,the rule that a contract shall be interpreted strictly against the party preparing
same shall not apply due to the joint contribution of both parties.
13.2 Assignments. This Agreement, or any interest herein, shall not be assigned,
transferred or otherwise encumbered, under any circumstances, by CONTRACTOR
without the prior written consent of CITY. For purposes of this Agreement,any change of
ownership of CONTRACTOR shall constitute an assignment which requires CITY
approval. However,this Agreement shall run to the CITY and its successors and assigns.
13.3 Records. CONTRACTOR shall keep books and records and require any and
all subcontractors to keep books and records as may be necessary in order to record
complete and correct entries as to personnel hours charged to this engagement,and any
expenses for which CONTRACTOR expects to be reimbursed, if applicable. Such books
and records will be available at all reasonable times for examination and audit by CITY
and shall be kept for a period of three (3) years after the completion of all work to be
performed pursuant to this Agreement.
13.4 Ownership of Documents. Reports, surveys, plans, studies and other data
provided by CITY to CONTRACTOR in connection with this Agreement are and shall
remain the property of City.
13.5 No Contipasnt Fees. CONTRACTOR warrants that it has not employed or
retained any company or person, other than a bona tide employee working solely for the
CONTRACTOR, to solicit or secure this Agreement, and that it has not paid or agreed to

thereby, and shall continue in full force and effect, and be enforced to the fullest extent
permitted by law.
13.11 Governing Law. This Agreement shall be governed by the laws of the State of
Florida with venue lying in Miami-Dade County, Florida.
13.12 Disputes. Any claim, objection, or dispute arising out of the terms of this
Agreement shall be litigated in the Eleventh Judicial Circuit Court in and for Miami-Dade
County.
13.13 Attorney's Fees. To the extent authorized by law, in the event that either party
brings suit for enforcement of this Agreement, the prevailing party shall be entitled to
attorney's fees and court costs in addition to any other remedy afforded by law.
13.14 Extent of Agreement.This Agreement together with Contract Documents, attached
as an Exhibits hereto, as amended herein above represents the entire and integrated
agreement between the CITY and the CONTRACTOR and supersedes all prior
negotiations,representations or agreements,either written or oral.
13.15 Waiver. Failure of the CITY to insist upon strict performance of any provision or
condition of this Agreement, or to execute any right therein contained, shall not be
construed as a waiver or relinquishment for the future of any such provision, condition, or
right, but the same shall remain in full force and effect.

This Addendum is made part of the CodeRED Service Agreement,the"Agreement",between
Emergency Communications Network,Inc.a Florida Corporation("Contractor")located at 9 Sunshine
Boulevard,Ormond Beach,FL 32174 the CITY OF OPA-LOCKA,a body politic and corporate of the
State of FLORIDA("City")located at 780 Fisherman Street,
Opa-locka,Florida 33054.
The following terms and conditions shall be added to the Agreement in Article Five(5),titled
ARTICLE 5 CONTRACTOR'S LIABILITY INSURANCE as subsection 5.8 of the current Agreement:
6.8 CITY agrees to pay CONTRACTOR Two Hundred Fifty Dollars($250.00)per year,during each
year of this Agreement that the City exercises its option to be an additionally named insured on its
General Liability policy.
By signing below,each party agrees with all the terms and conditions of the Addendum and
specifically acknowledges its intention to supplement the Agreement with the terms and provisions
set forth herein.All other terms and conditions contained in the Agreement shall remain in full force
and effect.

We use community population to determine the needs of each community and

to be FEMA friendly and help communities qualify for reimbursement when eligible.

CodeRED Weather Warning is completely automated, and as members of the community will
sign up for this service this will increase the city database for CodeRED. Only those who sign

CITY OF OPA-LOCKA, FLORIDA ACCEPTING THE
PROPOSAL FROM EMERGENCY COMMUNICATIONS
NETWORK, INC., AS A SOLE SOURCE SELECTION FOR
IMPLEMENTATION OF CODERED HIGH SPEED
TELEPHONE NOTIFICATION SERVICES AT AN ANNUAL
COST OF THIRTEEN THOUSAND TWO HUNDRED AND
FIFTY DOLLARS ($13,250.00); FURTHER AUTHORIZING
THE CITY MANAGER TO MAKE A PAYMENT OF
THIRTEEN THOUSAND TWO HUNDRED AND FIFTY
DOLLARS ($13,250.00) TO EMERGENCY
COMMUNICATIONS NETWORK, INC. FOR CODERED
HIGH SPEED TELEPHONE NOTIFICATION SERVICES,
PAYABLE FROM ACCOUNT NO.19-519340
WHEREAS, the City of Opa-locka ("City")is in need of efficient high-speed technology
services which will allow City staff to quickly notify City residents of important information during
times of emergency;and
WHEREAS,the City's Information Technology department is recommending that the City
utilize Emergency Communications Network,Inc.("ECN"),a sole source provider of the CodeRED
Community Notification System, a high speed telephone communication service available for
community notification in times of emergency; and
WHEREAS,the CodeRED Community Notification System employs an Internet mapping
system for geographically targeting calls,along with a high speed telephone calling system capable
of delivering unlimited number of customized pre-recorded messages directly to homes and business
at a rate of 60,000 calls per hour;and

WHEREAS,CodeRED service uses proprietary patented technology in its network to ensure
delivery of emergency messages during local telephone company peak system usage along with the
service capacity to deliver multi-lingual messages to residents;and
WHEREAS, as an additional services, the CodeRED Weather Warning service notifies
registered residents with early severe weather warnings issued by National Weather Service for their
area and
WHEREAS,the CodeRED services are provided only by ECN,which is a sole source for
such services;and
WHEREAS,ECN has provided a proposal for the implementation of the CodeRED services
within the City;and
WHEREAS,the City Manager is recommending that the City utilize the proposal provided
by ECN as they are a sole source for the services;and
WHEREAS,the City Commission of the City of Opa-locka desires to accept the proposal
from Emergency Communications Network,Inc. ("ECN')for implementation of CodeRED high
speed telephone notification services within the City.
NOW,THEREFORE,BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF OPA-LOCKA,FLORIDA:
Secdon 1. The recitals to the preamble herein are incorporated by reference.
Section 2. The City Commission of the City of Opa-locka hereby accepts the proposal
from Emergency Communications Network,Inc.as a sole source provider for high speed telephone
communication services required by the City, and further authorizes the City Manager to make

within minutes. The City has used CodeRed to communicate road closures, Public
Work projects, events, or anything that may impact the public. This one year
agreement:will allow the City to continue to have access to this system at the same
level or service we had our initial year as well as any improvements or upgrades
made.
Financial Impact: $13,500.00 budgeted.Payable from account 14-512528
Implementation Time Line: Immediate
Legislative History: Resolution 09-7455 was approved for the first year of CodeRed service.
Recommendation(s): Staff recommends renewing the CodeRed agreement as the system has
proven to be highly efficient and effective in communicating with
residents.
Analysis: The results that the Internet mapping system that geographically targets
calls are impossible to achieve in house and reach such a large number of
individuals in such a short amount of time. CodeRed is extremely effective
in providing vital communication to residents that may be in harm's way.
During the initial year of service,CodeRed has provided City residents with
information within minutes of the calls being sent out.
