A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD APPROVING
THE CONVEYANCE OF CERTAIN PROPERTY SUBJECT TO USE RESTRICTIONS
TO THE LYNWOOD REDEVELOPMENT AGENCY IN EXCHANGE FOR
CONVEYANCE OF THE PUBLIC WORKS YARD TO THE CITY AND APPROVING
OFFICIAL ACTIONS •
WHEREAS, the City of Lynwood (the "City") has determined to finance the costs
of the acquisition, construction, installation and equipping of a new city administrative
building and city council chambers (the "Project"); and
WHEREAS, in order to effectuate the financing of the Project and the refunding
of certain other obligations of the City, the City has determined to lease the public works
yard being transferred to it by the Lynwood Redevelopment Agency (the "Agency") to
the Lynwood Public Financing Authority ("Authority") and sublease it back from the
Authority; and
WHEREAS, for such purposes, the City has determined to transfer the youth;
center property at 11409 Birch Street ("Property") to the Agency in exchange for the
public works yard; and
WHEREAS, the Property shall continue to be used for its current purpose or for
any City-related purpose; and
WHEREAS, over the past twenty years, the City has improved and maintained
the public works yard with its own funds and operated the yard as its own property; and
WHEREAS, the Agency has agreed to convey the public works yard to,the City
in exchange for the Property and the City has agreed to accept such conveyance.
NOW, THEREFORE, IT IS HEREBY RESOLVED, ORDERED AND
DETERMINED, AS FOLLOWS:
Section 1. Approval of Conveyance of Property. The City Council hereby
approves the conveyance of the Property to the Agency. The Mayor or the City
Manager are hereby authorized and directed for and in the name and on behalf of the
City to execute a grant deed in the form on file with the City Clerk, together with any
changes therein or additions thereto deemed advisable by any such officer, whose
execution thereof shall be conclusive evidence of the approval of any such changes or
additions. The City Council hereby authorizes the delivery and performance of such
grant deed.
Section 2. Official Actions. The Mayor, the City Manager, the City Clerk and all
other officers of the City are each authorized and directed in the name and on behalf of
the City to make any and all assignments, certificates, requisitions, agreements,
notices, consents, instruments of conveyance, warrants and other documents, which
they or any of them might deem necessary or appropriate in order to consummate any
of the transactions contemplated by the documents approved pursuant to this
Resolution. Whenever in this Resolution any officer of the City is authorized to execute
or countersign any document or take any action, such execution, countersigning or
action may be taken on behalf of such officer by any person designated by such officer
to act on his or her behalf in the case such officer shall be absent or unavailable.
Section 3. Effective Date. This Resolution shall take effect from and after the
date of its passage and adoption.
Section 4. Certification. The City Clerk shall certify as to the adoption of this
Resolution.
