Chairperson Fehr called the meeting to order at approximately 5:00 p.m. Roll call was taken, Trustees Fehr, Wilson,
Nicozisin, Evans, Watson were present; Trustee Wahby was absent.
Trustee Fehr asked for the approval of the preceding meeting journal: December 14, 2023, (1679th) Board Meeting.
Motion was made by Trustee Wilson and seconded by Trustee Nicozisin; all Trustees approved the motion.

Report of The Board Committees:
AUDIT COMMITTEE REPORT
The Audit Committee met on January 2 at 7:30 am. The meeting was attended by Trustees Evans, Wilson, Wahby,
with Trustees Watson, Fehr, and Nicozisin attending online. Chairperson Watson called roll and had no introductory
comments. The minutes of the December 5 Audit Committee meeting were approved.
Internal Audit continued the meeting by reporting on the status of previously issued audit recommendations, stating
that of the 284 recommendations issued since April of 2011, 270 or 95% of the recommendations have been
implemented. Internal Audit provided a status update for each of the fourteen recommendations that currently
remain open as of December 31, 2023.
Questions were addressed by Internal Audit as they were received from the Committee.
The next Audit Committee meeting is tentatively scheduled for Tuesday, January 30, 2024.
The meeting was adjourned at approximately 7:44 am.

FINANCE COMMITTEE REPORT
The Finance Committee met on January 2, 2024, at 8:03 a.m. The meeting was attended by Trustees Wilson,
Evans, Wahby with Trustees Fehr, Watson & Nicozisin online.

The minutes of the December 5, 2023, Finance Committee meeting were approved.
The following agenda items to be introduced tonight were presented and discussed:
Resolution No. 3872− Interfund Transfers of Available Appropriations:
This resolution authorizes the transfer of unencumbered balances between certain funds to properly classify
expenses as needed for the District’s FY23 financial statements.
Resolution No. 3873− U.S. Bancorp Investment Management Services:
This resolution authorizes option year 3 of a contract with US Bancorp for investment management services.
Other items discussed during the Committee meeting included the following:
Director of Finance Marion Gee presented the Quarterly Financial Status update for the period ending September
2023.
Secretary- Treasurer Tim Snoke reviewed the District’s Operating Fund Portfolio as of December 28, 2023. Tim
indicated that the portfolio is in compliance with the District’s Investment Policy.
The next Committee meeting is tentatively scheduled for Tuesday, January 30, 2024. The meeting was adjourned
at 8:18 a.m.

PROGRAM MANAGEMENT COMMITTEE REPORT
The Program Management Committee met on January 2, 2024 at 7:46 a.m. The meeting was attended by Trustees
Wahby, Evans, and Wilson; with Nicozisin, Watson and Fehr online.
Chairperson Nicozisin called roll and had no further comments.
The minutes of the December 5, 2023 Program Management meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding
the following items:
Ordinance Numbers 16294 and 16295 - Staff reviewed the details and bid information for two construction projects.
These ordinances will authorize contracts and appropriate the necessary funds for these projects. The projects will
be awarded to Plattin Creek Excavating, DBA PCX Construction, LLC. These are PCX Construction first projects
with MSD, they will be required to substantially compete one of the projects prior to submitting additional bids.
Staff presented details of several General Services Agreement contracts for Engineering support services.
Ordinance numbers 16296-16298 will provide funding for three Geotechnical services contracts, and ordinance
numbers 16300-16304 will provide funding for five Survey Services contracts. All these contracts support internal
design staff with the ultimate design and delivery of consent decree and asset management projects.
Ordinance Numbers 16305 and 16306 - Staff reviewed the details of two sanitary relief projects currently in
easement acquisition. Staff has been unable to obtain all necessary property rights through negotiation. Staff is
requesting authorization from the Board to move forward with condemnation efforts to allow the projects to remain
on schedule.
Staff presented details of a Linear Asset Management software services contract to support the Engineering
department. Ordinance No. 16307 will assist in the prioritization of rehabilitation projects for the District’s linear
sewer system assets. Funding for this contract will be from the Engineering and Information Technology
department’s operating budgets.
The next Committee meeting is tentatively scheduled for January 30, 2024. The meeting was adjourned at 8:02
a.m.

STAKEHOLDER RELATIONS COMMITTEE REPORTS
The Stakeholder Relations Committee met on January 2, 2024 at 8:20 a.m. The meeting was attended by
Chairperson Wilson and Trustees Evans and Wahby, and on-line were Trustees Fehr, Nicozisin and Watson.

The minutes of the December 5, 2023 Stakeholder Relations Committee Meeting were voted on and approved.
The Agenda and Discussion items were as follows:
Discussion by Jason Stockmann regarding an ordinance for a contract change order for payroll, time reporting and
benefits software Ordinance no. 16313: This Ordinance authorizes the District to enter into Amendment No. 1 to
the original contract with UKG Kronos. The project has identified that additional integrations and work activities are
required to integrate the system with internal and external applications. This action will provide authorization to
enter in to change orders above the original contract amount.
Discussion by Susan Myers regarding five (5) ordinances for general legal services - Ordinance nos. 16308, 16309,
16310, 16311 & 16312: After submitting an RFP to over 100 law firms, placing it on social media and on the
District’s website, five firms were selected; Hellmich, Hill & Retter, Quarles & Brady, RSSC, Thompson Coburn and
White Coleman & Associates. These Ordinances will secure legal consulting services to assist the Office of General
Counsel in areas concerning General Litigation and will begin July 1, 2024.
Adjournment - The meeting was adjourned at 8:25a.m. The next meeting is tentatively scheduled for January 30,
2024.

Report of the Executive Director: None
Comments by the Public: Chairperson Fehr announced that there was one member of the public requesting to
address the Board, Tom Sullivan:
Tom Sullivan said he had a couple of items he wanted to address. The first item was about sewer overflows and
their removal. Mr. Sullivan said the overflows were unlawful and MSD’s fault in the first place; celebrating the
removal is unnecessary since the Executive Director in 1986 said they would have them all removed in 10 years.
The second item was about campaign cost transparency. Mr. Sullivan said that MSD’s quarterly financial report for
direct and indirect expenditures comes out on January 15th. He said that the campaign expenditures should be on
this report, no matter how small. He encouraged the Board to research campaign disclosure laws because MSD is
in violation and said MSD has violated these laws in the past.

The Secretary-Treasurer asked the Trustees if they would like to pull any items for a separate vote within the
Consent Agenda. Hearing none, Mr. Snoke then moved forward with the voting for Adoption of Agenda Item
Numbers 10 through 39.

A supplemental appropriation of Five Million Dollars ($5,000,000.00) from the General Fund to be used for

and St. Louis County, Missouri.
Adoption of Ordinance No. 16262 - CSO Volume Reduction Green Infrastructure – River Des Peres (13078)
A supplemental appropriation of One Million Dollars ($1,000,000.00) from the General Fund to be used for

($1,047,225.00) from the Operation, Maintenance, Construction, and Improvement Fund of Coldwater Creek for
cost share for municipal stormwater expenditures in Coldwater Creek OMCI Reimbursements Program (13488) in
St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The
Metropolitan St. Louis Sewer District to enter into intergovernmental agreements with municipalities where revenue
is collected by the Coldwater Creek OMCI in St. Louis County, Missouri.
Adoption of Ordinance No. 16288 - Deer Creek OMCI Reimbursements Program (13487)
A supplemental appropriation of One Million Six Hundred Fifty-Eight Thousand Four Hundred Forty-Three Dollars
($1,658,443.00) from the Operation, Maintenance, Construction, and Improvement Fund of Deer Creek for cost
share for municipal stormwater expenditures in Deer Creek OMCI Reimbursements Program (13487) in St. Louis
County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan
St. Louis Sewer District to enter into intergovernmental agreements with municipalities where revenue is collected
by the Deer Creek OMCI in St. Louis County, Missouri.
Adoption of Ordinance No. 16289 - Gravois Creek OMCI Reimbursements Program (13678)
A supplemental appropriation of Seven Hundred Eighty-Seven Thousand One Hundred Twenty-Seven Dollars
($787,127.00) from the Operation, Maintenance, Construction, and Improvement Fund of Gravois Creek for cost
share for municipal stormwater expenditures in Gravois Creek OMCI Reimbursements Program (13678) in St.
Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The
Metropolitan St. Louis Sewer District to enter into intergovernmental agreements with municipalities where revenue
is collected by the Gravois Creek OMCI in St. Louis County, Missouri.

Adoption of Ordinance No. 16290 - Seminary OMCI Reimbursements Program (13491)
A supplemental appropriation of One Hundred Thirty-One Thousand Three Hundred Ninety-Seven Dollars
($131,397.00) from the Operation, Maintenance, Construction, and Improvement Fund of the Seminary Branch of
River Des Peres for cost share for municipal stormwater expenditures in Seminary OMCI Reimbursements
Program (13491) in St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on
behalf of The Metropolitan St. Louis Sewer District to enter into intergovernmental agreements with municipalities
where revenue is collected by the Seminary Branch of River Des Peres OMCI in St. Louis County, Missouri.
Adoption of Ordinance No. 16291 - Sugar Creek OMCI Reimbursements Program (13490)
A supplemental appropriation of One Hundred Fifty-Three Thousand One Hundred Seventy-Six Dollars
($153,176.00) from the Operation, Maintenance, Construction, and Improvement Fund of Sugar Creek for cost
share for municipal stormwater expenditures in Sugar Creek OMCI Reimbursements Program (13490) in St. Louis
County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan
St. Louis Sewer District to enter into intergovernmental agreements with municipalities where revenue is collected
by the Sugar Creek OMCI in St. Louis County, Missouri.
Adoption of Ordinance No. 16292 - University City OMCI Reimbursements Program (13489)
A supplemental appropriation of Four Hundred Eighty-One Thousand Four Hundred Three Dollars ($481,403.00)
from the Operation, Maintenance, Construction, and Improvement Fund of University City for cost share for
municipal stormwater expenditures in University City OMCI Reimbursements Program (13489) in St. Louis County,
