RESOLUTION OF THE BOROUGH OF CARTERET AWARDING
A LEASE OF A PORTION OF THE MUNICIPAL ANNEX
WHEREAS, Ihe Local Lauds and Buildings Law, N.J.S.A. 40A: 12-1 el seq., as
amended and supplemented (the "Act") authorizes municipalities to lease municipal real
property, capital improvements and personal property not othenvise needed for public
use; and
WHEREAS, Ihe Borough has delermined Ihal Ihe Municipal Annex, localed al
20 Cooke Avenue within the Borough, is currently lUlderutilized; and
WHEREAS, on February 4, 2010, Ihe Borough finally adopled an ordinance
entitled "An Ordinance of Ihe Borough of Carteret AUlhorizing the Preparation and
Issuance of Bid Documenls for the Leasing of a Portion of the Municipal Annex" (the .
HOrdinancell), which found that a portion of the Municipal Annex was no longer needed
for public use and authorized the Borough to prepare and issue bidding documents and
specifications for the leasing of a portion of Ihe Municipal Annex (the "Bid
Specifications"); and
WHEREAS, on March 3, 20 I 0, after public adverlisemenl, the Borough received
one bid for Ihe leasing of a portion of the Municipal Annex from inveslors Savings Bank
(Hlnvestorsll); and
WHEREAS, Ihe bid submitted by Inveslors complies in all material respects
with Ihe Bid Specificalions issued by Ihe Township; and
NOW, THEREFORE, BE IT RESOLVED as follows:
Section I. The bid submitted by Investors is hereby accepted and Ihe Lease
shall be awarded to Investors in accordance with the Bid Specifications; and
Section 2. Each of the Mayor, Chief Financial Officer and Director of Law
(each ~ l'Authorized OfficerH), in consultation with such counsel and other advisors to
the Borough, is hereby authorized to execute and deliver the Lease Agreement (as
included in the Bid Specifications) wilh such changes as such Authorized Officer deems
necessary, desirable or convenient in such Authorized Officer's sole discretion.
Section 3. The Borough Clerk, or Ihe Deputy Borough Clerk, is hereby
authorized and directed, upon the" execution of the Lease Agreement, to attest to the
Authorized Officer's execution of the Lease Agreement and is hereby further authorized
and directed to thereupon affLx the seal of the Borough to the Lease Agreement.
Section 4. Upon the execulion and atteslation of and if reqnired, Ihe placing
of Ihe seal of the Borough on the Lease Agreemenl as aulhorized herein, Ihe Aulhorized
Officer is hereby aulhorized and directed 10 (a) deliver such l\~ly executed, attesled and

sealed Lease Agreement to Investors and (b) perform such other actions as the
Authorized Officer deems necessary, desirable or convenient in relation to the execution'
and delivery thereof.
Section 5. All actions of the Authorized Officers and the Borough consullanls
laken prior to the dale of adoption hereof in connection wilh the leasing of a portion of
the Municipal Annex are hereby ratified and approved.
Section 6. TIlls resolution shall take effect at the time and in the manner
prescribed by law.
Section 7. Upon the adoption hereof, Ihe Borough Clerk shall forward
certified copies of this resolution to Matthew C. Karrenberg, Esq., DeCotiis, FitzPatrick,
& Cole, LLP, Special Redevelopmenl Counsel 10 the Borough.
