AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH BIO-KEY
INTERNATIONAL FOR SOFTWARE UPGRADES AND MODIFICATIONS FOR THE
CENTRAL MISSOURI REGIONALJUSTICE INFORMATION SYSTEM, COLUMBIA AND
BOONE COUNTY AREA.
WHEREAS, Bio-Key International has become the apparent lowest and best offer for software
upgrades and modifications to implement data and information sharing.
NOW,THEREFORE,BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The final offer of Bio-Key International is declared to be the lowest and best
offer and is hereby accepted.
Section 2. The Mayor and City Clerk are hereby authorized to execute an agreement
with Bio-Key International for software upgrades and modifications to implement data and
information sharing.
Section 3. The agreement shall be substantially the same in form and content as that
agreement attached hereto as Exhibit A.
Section 4. This Ordinance shall be in full force and effect from and after the date of its
passage and approval.

Software Upgrade Contract between BIO-key International,Inc.and the City of Jefferson

Dear Mr. Nickolaus,
We refer to the referenced agreement(s)between BIO-key International.,Inc.("BIO-key")and you(the"Agreement(s)"). As
you may know,BIO-key and InterAct9l l Mobile Systems,Inc.,a Delaware corporation ("InterAct9l V), are parties to an Asset
Purchase Agreement dated August 13,2009(the"Purchase Agreement"),pursuant to which InterAct will acquire BIO-key's Law
Enforcement division(such transaction is referred to as the "Sale Transaction"). Accordingly, at the closing of the Sale Transaction,
which Sale Transaction was finalized on December 8, 2009, BIO-key assigned the Agreement(s)to InterAct9l 1,and InterAct9I I
herewith further assigned the Agreement(s)to Colossus,Incorporated d/b/a InterAct Public Safety Systems("IPSS")(the
"Assignment")and BIO-key's rights and obligations under the Agreement(s)were transferred to and assumed by IPSS.
In accordance with the terms of the Agreement(s),BIO-key hereby requests your consent to the Assignment.By executing
this letter, you hereby consent to the Assignment and acknowledge and agree that the Assignment shall not constitute a default under
the Agreement(s).
