HomeMy Public PortalAbout14-8737 MOU WITH JESSIE TRICE COMMUNITY HEALTH CENTER Sponsored by: City Manager RESOLUTION NO. 14-8737 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF OPA-LOCKA, FLORIDA, AUTHORIZING THE CITY MANAGER TO ENTER INTO A MEMORANDUM OF UNDERSTANDING WITH JESSIE TRICE COMMUNITY HEALTH CENTER(JTCHC) AND THE CITY OF OPA-LOCKA SENIORS ON THE MOVE PARKS AND RECREATION DEPARTMENT (SITE), EFFECTIVE JANUARY 1, 2014, FOR A ONE YEAR-PERIOD FOR PHYSICAL FITNESS EXERCISE ACTIVITIES AND EDUCATIONAL SESSIONS REGARDING VARIOUS HEALTH AND FITNESS TOPICS, AT A COST OF $1539.12, PAYABLE FROM ACCOUNT NUMBER 72-572552. A BUDGETED ITEM; PROVIDING FOR INCORPORATION OF RECITALS; PROVIDING FOR AN EFFECTIVE DATE WHEREAS,the City Commission of the City of Opa-locka("City")desires to authorize the City Manager to execute a Memorandum of Understanding ("MOU") between Jessie Trice Community Health Center ("JTCHC) and the City Seniors on the Move Parks and Recreation Department ("SITE"); and, WHEREAS,the MOU between JTCHC and SITE will enhance and promote physical fitness for seniors in the City of Opa-locka over a 12 month period; and WHEREAS, SITE collaboration with JTCHC will assist in successfully developing and growing Physical Fitness Exercise Programs; and WHEREAS, the City Commission of the City of Opa-locka desires to authorize the City Manager to execute a MOU with Jessie Trice Community Health Center. NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF THE CITY OF OPA-LOCKA, FLORIDA: Section 1. The recitals to the preamble herein are incorporated by reference. Resolution No. 14-8737 Section 2. The City Commission of the City of Opa-locka, Florida, hereby directs and authorizes the City Manager to execute all necessary documentation required and a Memorandum of Understanding between Jessie Trice Community Health Center and the City Of Opa-locka Seniors On The Move Parks and Recreation Department, effective January 1, 2014, for a one-year-period, for physical fitness exercise activities and educational sessions regarding various health and fitness topics, in substantially the form attached hereto as Exhibit A, at a cost of$1539.12, payable from Account Number 72-572552 a budgeted item. AND SENIORS ON THE MOVE—PARKS AND RECREATION DEPARTMENT This Memorandum of Understanding("MOU") entered this_1_day of_January_, 2014 ("Effective Date") sets forth the understanding between Jessie Trice Community Health Center, Inc. ("JTCHC"), headquartered at 5607 NW 27th Avenue, Suite#1,Miami, Florida 33142 and the City of Opa-locka Sherbondy Village("SITE"), located at 215 Perviz Avenue, Opa-Locka, Florida 33054,for the provision of an Enhance Fitnesss Class in support of the Health Foundation of South Florida EnhanceFitness Evidence Based Research Program. JTCHC, is a 501(c)(3)non-profit,Federally Qualified Health Center with Joint Commission and National Committee for Quality Assurance certifications to provide patient centered comprehensive primary healthcare services that includes: behavioral health care, chronic disease management, family medicine, internal medicine, pediatrics, obstetrics/gynecological care, dentistry, podiatry, HIV/AIDS medical care and case management. PROGRAM DESCRIPTION To recruit and promote enhance fitness to seniors in the Northwest area of Dade County to participate in the Enhance Fitness classes over the course of 12 months and to establish sites in which older adults congregate or live,to host the Enhance Fitness classes. In consideration of the mutual promises of the parties' contained herein and other good and valuable consideration,receipt of which is hereby acknowledged,JTCHC and the SI'Z'E agree as follows: SITE'S RESPONSIBILITIES. The SITE acknowledges and agrees to undertake the following responsibilities: a. Collaborate with JTCHC to successfully develop and grow the program. b. Secure resources necessary to achieve program results. i.Provide fitness class room(s) for a minimum of three (3) hours per week as scheduled. Said room(s) must be easily accessible, have sufficient lighting, and be ventiliated and air-conditioned. c. Provide safe and secure storage space for fitness equipment left onsite. d. Provide hard, armless straight-back chairs for each participant needed. i. Facilitate and administer the registration process for individuals interested in participating in the Program,and the collection of any program income, as agreed. ii. The SITE agrees to submit said registration process in writing to JTCHC for review and approval, within thirty (30)days of the Effective Date of this MOU. iii.Maintain adequate records of registration for participating individuals,and share said records with JTCHC as agreed. 1 iv. Submit payment to JTCHC for classes as agreed. JTCHC'S RESPONSIBILITIES. JTCHC acknowledges and agrees to undertake the following responsibilities: a. Provide Fitness services to interested individuals, as registered with the Sl'1'F, including physical exercise activities and educational sessions regarding various topics concerning health and fitness. b. Maintain adequate records for program participants. c. Identify for SITE all personnel associated with Program, and any changes in staffing, as may occur from time to time. d. Reimburse fitness instructor(s)for services rendered under this MOU. e. Bill Site for each individual participant for each class. RECORDS.JTCHC and SITE shall comply with all of the established standards,regulations and all applicable laws, including but not limited to laws and regulations concerning the maintenance of patient/participant records, procedures, and handling of patient complaints. CONFIDENTIALITY.JTCHC and SITE shall maintain the confidentiality of all confidential information regarding patients/participant in accordance with any applicable state and federal statutes and regulations. JTCHC and Sl'1'E shall ensure that there will be no exchange of patient/client information without specific written authorization by the patient/participant or his/her legal representative. Any exchange of patient/participant information for the purposes of arranging/coordinating services shall be conducted in a confidential environment that assures that the identification of the patient/participant is protected. JTCHC and SITE shall periodically update their policies and procedures to comply with state and federal laws and regulations governing the confidentiality of information. NOTICE. All notices or other communications which shall or may be given pursuant to this MOU shall be in writing and shall be delivered by personal service, or by registered mail, addressed to the party at the address indicated herein or as the same may be changed from time to time. Such notice shall be deemed given on the day on which personally served, or,if by mail, on the fifth day after being posted, or the date of actual receipt or refusal of delivery, whichever is earlier. JTCHC and SHE shall secure and maintain, or cause to be secured and maintained during the term of this MOU such policies of insurance, including but not limited to Worker's Compensation, Employer's Liability and comprehensive general liability. SITE shall, at all times during the term hereof,maintain such insurance coverage as provided in Exhibit"A," attached hereto and incorporated herein. The parties agree to list each other as additional insureds on the aforementioned insurance, and to provide Certificates of Insurance reflecting the aforementioned coverage. INDEMNIFICATION. The SITE shall indemnify and hold harmless JTCHC, its agents, employees, and Board of Directors, against causes of action or claims for loss of property,personal injury or death resulting from a negligent or wrongful act or omission by their respective employees arising out of the performance of this Agreement. DISPUTE RESOLUTION. In event a dispute arises regarding the subject matter of this MOU,both parties agree that a representative of each entity shall be appointed for the purpose of meeting and conferring to achieve a mutually acceptable resolution of such dispute. Should such representative fail to reach a resolution within the sixty(60) days of their appointment, then the Chief Executive Director or Chairperson of each entity shall meet and negotiate a resolution. TERM. This MOU shall be effective for the period 1st, day of January, 2014 through December 31, 2014. Thereafter, the agreement may only be renewed upon mutual written consent by both parties. TERMINATION. JTCHC reserves the right to terminate this MOU and cancel all activities and classes,at any time for any reason upon giving five(5)days written notice of termination to the SITE. CONS ULTANT agrees to obtain and m aintain worker' s corn pensation insu rance to the e xtent required by Florida law to insure his/her employees, if any, against work-related injuries. CONSULTANT agrees to provide evidence of said coverage or exemption from said coverage upon request from JTCHC. Consultant shall maintain during the term of this Contract,Professional Liability Insurance in minimum amounts of$1,000,000.00 per person, $3,000,000.00 per occurrence and Worker's compensation insurance for all employees as required by Florida statue 440. 4
