RESOLUTION OF THE BOROUGH OF CARTERET, IN THE COUNTY
OF MIDDLESEX AUTHORIZING THE CONVEY Ai'lCE
OF PROPERTY LOCATED IN THE i\'IIDDLESEX AVENUE
RESIDENTIAL REDEVELOPMENT AREA TO THE
CARTERET REDEVELOPMENT AGENCY
WHEREAS, on August II, 2005, the Borough Council (the "Borough Council")
of the Borough of Carteret (the "Borough") adopted a resolution determining that
the area of the Borough comprised of Block 242, Lots I, 2, 3 and 5 on the tax map
of the Borough (collectively, the "Redevelopment Areall) constitutes an area in
need of redevelopment, entitled the "Middlesex A venue Residential
Redevelopment Area", lmder the Local Redevelopment and Housing Law,
NJ.S.A. 40A: 12A-I ef seq. (the "Redevelopment Law"); and
WHEREAS, on December IS, 2005, the Borough Council adopted an ordinance
approving and adopting a redevelopment plan for the Redevelopment Area, dated
October 4, 2005 (the "Redevelopment Plan"); and
WHEREAS, the Borough now owns the property within the Redevelopment
Area designated as Block 242, Lot I on the Borough's current tax map (the
"Property"); and
\VHEREAS, through a series of deeds executed by prior owners of different
portions of the Property, title thereto passed to the then-existing Carteret
Redevelopment Agency, which was dissolved pursuant to ordinance adopted on
April 8, 1979; and
\VHEREAS, as a result of such dissolution, the Borough, by operation of law,
assumed all of the assets and liabilities of, and took title to all properties
previonsly owned by the dissolved Carteret Redevelopment Agency; and
\VHEREAS, the Borough is successor in interest to the holders of certain
reversionary interests still appearing of record in connection with certain portions
of the Property; and
WHEREAS, the Carteret Redevelopment Agency (the "Agency") has been duly_
created as a public body corporate and politic of the State of New Jersey by an
ordinance duly adopted by the Borough Council on February 1,2001 pursuant to
an in accordance with all applicable law, including the Redevelopment Law; and
WHEREAS, in order to effectuate the redevelopment of the Redevelopment Area
and to implement the Redevelopment Plan, the Borough desires to convey, for a
nominal sum, all of its interest in the Property to the Agency and to abandon and
relinquish all claims to any right of reversion it may have in the Property; and

\VHEREAS, the Borough desires to execute a Bargain and Sale Deed in
connection with the Property in the substantially the same form as that attached
hereto as Exhibit A.
NOW, THEREFORE, BE AND IT IS HEREBY RESOLVED by the Mayor
and Conncil of Borough of Carteret, in the County of Middlesex and the State of
New Jersey, as follows:
Section 1. The aforementioned recitals are incorporated herein as though
fully set forth at length herein.
Sect,ion 2. (a) The Borough Council hereby authorizes and approves the
execution and delivery of a Bargain and Sale Deed to the Agency in connection.
with the Property for nominal consideration.
(b) The Mayor is hereby authorized and directed to execute the
Deed in substantially the form attached hereto as Exhibit A, with such additions,
deletions or modifications as may be necessary in consultation with the Director
of Law, and the Clerk oflhe Borough is hereby authorized and directed to attest to
such execution by the Mayor.
(c) The Mayor is hereby authorized to take such further actions
and to execute such additional and ancillary documents or instruments as may be
necessary or desirable to effectuate the intent hereof, and the Clerk is hereby
authorized, to the extent necessary, to attest to such execution of such documents
and instruments.
Section 3. If any part of this resolution shall be deemed invalid, such
partes) shall be severed and the invalidity thereof shall not affect the remaining
parts of this resolution.
Section 4. This resolution shall take effect immediately.
