HomeMy Public PortalAbout07) 7D Service Agreement with Chamber of CommerceDATE : TO: FROM: MANAGEMENT SERVICES DEPARTMENT MEMORANDUM August 4 , 2015 The Honorable City Cou ncil Bryan Cook , City Manager AGENDA ITEM 7.0 SUBJECT: APPROVAL OF ANNUAL SERVICE AGREEMENT WITH THE TEMPLE CITY CHAMBER OF COMMERCE RECOMMENDATION: The City Co un ci l is requested to authorize th e City Manag er to finalize and execute an annual services agreement with the Temple City Chamber of Commerce. BACKGROUND: 1. Since 20 11 , the City Council ("Co un cil ") ha s instituted an annua l $70 ,000 service agreement with th e T emp le City Chamber of Co mm e rce ("Chamber") for business promotion and public information services . 2 . On September 23 , 2014 , Counci l revi ew ed th e Chamber's sta nd a rd scope of service. A service agree ment for fiscal year 20 14-1 5 was subsequently approved . 3. On June 16, 2015 , Counci l adopted th e fiscal year 2015-16 City Budget, which included a $70 ,000 lin e item for co ntinu ed Chamber services. ANALYSIS: Provided as Attachment "A ", th e Chamber's proposed w ork prog ram for the com i ng fisca l yea r retains a contractu a l scope of the prior year, i.e.: • A number of public information efforts , f rom regular e-blasts and social med ia posts to month ly pub l ication of Temple City Life; • Con t inu ed promoti o n of good busin es s re lati o ns via ribbon cuttings , welcome bas kets and networki ng even ts for the bus in ess community ; City Council August 4 , 2015 Page 2 of 2 • Participation in discuss ion of economic issues important to the city and surrounding region through a number of means, e .g . business summits and regional partnerships ; • Fielding public information inquiries and providing resources through events like seminars and informational fairs ; • Assisting the City of civic projects impacting the business community through marketing , partnership and advisement; and • Identifying new ways to promote the Chamber as a demonstrated leader through business trips, trade missions and public appearances . Last year's accomplishments from these tasks are detailed in the Chamber's quarterly progress reports , provided hereto as Attachment "B". Moving ahead , tonight's requested Council actions will continue the City and Chamber's mutual goal of promoting and informing the local business community. CONCLUSION: Council is requested to approve the annual service agreement with the Chamber. FISCAL IMPACT: This item does not have an impact on the adopted fiscal year 2015-16 City Budget. TERM OF AGREEMENT . Subject to th e prov is io ns of Section 20 "Term inat io n o f Agreeme nt " of till s Agreement, th e sco pe of serv ices set forth in Ex hibi t "A " "Scope of Services" sh all be completed purs uant to t he sche dule s pec ified in Ex h ibit "A." Should th e s c ope of ser v ices not be co mp leted purs uant t o th at sc hedule, the Consul tant s hall be dee med to be in Default of th is Agreeme nt pursu a nt to Sectio n 2 1 of thi s Agreement. Consul t ant s ha ll be c o mpe n sa ted for any s uch addition a l ser vices in the a mo unts and in th e manne r agreed t o by th e C ity Cou ncil o r C i ty Manager. SECTION 4. COMPENSATION AND METHOD OF PAYMENT. (a) S ubj ect to an y lim itat io ns set forth in t hi s Agreement, C ity agrees to pay C o ns u ltant th e a mo unts sp ec ified in Exhi b it "B " "Comp e n sation ' and ma de a p a rt of thi s Agreeme n t. INSPECTION AND FINAL ACCEPTANCE. City may in s pect and accept o r r ej ect any of Co n su lt ant 's wo rk un d e r this Agreement , e ithe r during perform a nce o r when com p le ted. C ity shall reject o r fi na ll y accept Consultant's wo rk w it hi n s ixty (6 0) days after s ubmi tte d to C ity. C ity s ha ll reject wo rk by a time ly w ritte n ex p lanation, otherwise Consu ltant's wo rk s ha ll be deemed to have bee n accepted . C ity's acce ptance s ha ll be co nc lusive as to s uc h wo rk except w it h respect to laten t d efects, fraud and s uc h g ross mi s takes as a mo unt to f ra ud . Accepta nce of a ny of Co ns u ltant 's work by C i ty s ha ll not constitute a waiver of any of t he provis ions of t h is Agreem ent includ i ng, but not l imited t o, sec ti ons 16 and 17, pe rt ai n ing to indemn i fi ca ti on and insura nce, respectively. -I - SECTION 6 . Upo n com p le t ion , ex p irat ion or terminatio n of thi s Agreement, Cons ultant sha ll tum over to City a ll s uch origina l m aps, model s, des ign s , drawi ngs, p ho to g raphs, studies, s u rveys, re ports, da ta , notes, computer fil es, files a nd o the r d ocum ent s . SECTION 7. CONS ULTANT'S BOOKS AND RECORDS. (a) Consultant s ha ll maintain a ny a nd all documents a nd reco rd s demonstrating or re latin g to Cons ultant's pe tformance of services pursuant to thi s Agreem e nt. Cons u ltant s ha ll ma inta in any and a ll le d gers, books of a cco unt , in vo ices, vo uchers, canceled checks, or othe r documents or records evid e ncin g or relating to work, services, expendi tures and di sbursements c ha rged to C ity purs uant to thi s Agree ment. Any a nd a l l s uch docume nts or records s ha ll be m a int a ined in acco rd a nce w ith gene ra ll y accepted accoun tin g principles a nd s hall be sufficiently complete and detai led so as to permit an accurate evalu ation of the services pro vided by Consu lt ant p ur s ua nt to th is Agreem e nt. Any an d a ll s uch docume nts o r record s s hall be m a int a ined for three yea rs f rom the da te of execution of thi s Agreement and to t he exte nt required by laws re lat ing to audits of public age nc ies a nd their expenditures. (b) Any and a ll re cord s o r document s require d to be mainta in e d p urs uant to this section s ha ll be made available fo r in specti o n a udit and copy in g, at any time during regu la r bus iness h oms, upon req uest by C ity or it s des ig na ted re presentat ive. Copies of s uc h documents o r records shall be provid ed direct ly to the C ity for in s pection , aud it and copying w hen it is p ractica l to do so; o the rwise, unless an a lternati ve is mutually agreed upon, s uch document s a nd re cord s sha ll be made avai lab le a t Co n s ult ant's a ddress indicated for r eceipt of n otices in this Agreement. SECTION 10. COMPLIANCE WITH APPLICABLE LAWS; PERMITS AND LICENSES. SECTION 11. PREVAILING WAGE LAWS It is t he u nde rs tanding of C ity a nd Consu lta nt that Cali fornia prevailin g wage laws do not app ly to thi s Agreement becau se the Agreem e nt does no t invo lve any of the f o ll owing services s ubject t o prevai ling wage rates purs ua nt to the Ca li fornia Labor Code o r reg ul a tions p romul gated the re und er: Co nstruction , a lteration , d e molition , in s talla ti on, o r repair work pe rformed o n public buildings , faci lities, s treets o r sewe rs d o ne unde r contract and paid fo r in w hole or in part o ut of public fund s . In th is context, "co ns truction" inc lud es wo rk p erfo rm e d during the design a nd precon s tru c tio n phases of con s truction in cl u di ng, b ut not limit ed to, insp e ction and lan d s urv ey in g work. SECTION 12. NONDISCRIMINATION. C onsultant sh a ll not di s crimin a te, in a ny way, agai nst any person o n the basis of race, colo r, relig ious c reed , na ti onal orig in , a nces try, sex, age, p hys ic a l ha ndi cap , m e di cal co ndition o r m a rita l s tatus in co nnecti on with or related to the performance of thi s Agreem e nt. SECTION 13. UNAUTHORIZED ALIENS. Con s u lt ant he re by promises and agrees to comply with all of the prov is ions of the Fe deral I mm ig rat ion and Nationa l ity Act, 8 U.S.C.A. §§ 1101 , e t seq., as am end e d , and in connection th e rewith , s ha ll not e mpl oy un authori zed al ie ns as defi ned th e re in. S hou ld Cons ul tant so employ s uch unauthoriz ed al ien s for the p erformance of work an d/or serv ic es covered by th is Agreement, an d s hould the any li a bility o r san ctio ns be imp osed aga in s t C ity for s uc h use of unauthori zed a li ens, Co n sulta nt he re by agrees to a nd s ha ll r e imburse C ity fo r th e cost of a ll s uch lia bi li ti es or sanct io ns im posed. togethe r with any an d a ll cos ts , including attorneys' fee s, inc urr ed by C ity. SECTION 14. CONFLICTS OF INTEREST. (a) Consulta n t covenants th at ne it he r it. nor a ny officer or prin c ipa l of it s firm , has o r shall acq ui re any inte rest, d irectl y or in d irect ly , which wo uld co nfli c t in a ny maime r with the interes ts of C ity o r w hi ch wo ul d in any way hind e r Consultant's pe rformance of serv ices u nder thi s Agreement. Cons ultant furth e r covena nts that in t he p e rfo rmance of t hi s Agreement, n o pe rso n havi ng an y s uc h int e re s t s ha ll be emp loyed by it as a n officer , e m ployee, age nt o r s ubcontractor witho ut th e ex press writte n consent of th e C ity Manage r. C o ns ul tant agrees to a t a ll tim es avo id conflic ts of in terest or th e ap pearance of a ny confli cts of i nte rest w ith th e interes ts of C ity in t he perfo rm ance of thi s Ag reement. (b) C ity und e rs ta nd s and acknowled ges that Co ns u ltant is, as of th e date of execut io n o f thi s Agreement, ind e pend e ntl y in vo lved in t he per formance of non-re la te d se rv ices fo r othe r gove nm1cnt a l agenci es a nd priva te pa rties . Con s ul tant is unaware of a ny s tated pos iti o n of C it y re lat ive to s uc h p rojects. Any future pos iti o n o f Ci ty o n s uch projects s hal l not be considered a con nict of interes t fo r purposes ofth is se ction. - 5 - (c) City unde rs tand s and acknowledges that Consultant will , per form no n-re lated services for other govenunental agencies and private parties following the co mpl e ti on of th e scope of v ork under thi s Agreement. A n y s uch f uture serv ice s ha ll not be considered a conflict of in teres t for purposes of thi s section . SECTION 15. CONFIDENTIAL INFORMATION; RELEASE OF INFORMATION. (a) A ll informa ti on gain ed or work product produced by Co ns ultant in pe r fo rmance of thi s Agreement s hall be consid e red confident ia l, unless s uch info r mat ion is in th e public d o m a in or a lrea d y known to Consultant. Cons ulta nt s h a ll not re lease o r di sclose any s uch info rm ation o r work product to perso ns o r e ntiti es o ther than City w ithout prio r writte n a uthoriz ation fro m the C ity Manager. except as m ay be requ ired by law. (b) Co ns ultant, it s officers, emp loyees. agents o r s ubcontracto rs, s ha ll not, without prior written authorization from the C ity Manage r or unless requested by the C ity Atto rney of City, vo luntaril y provid e declarati o n s, le tt e rs of s upport, testimony a t depos iti ons, resp o nse to inte rrogatories o r other information co ncerning th e work performed under thi s Agreement. R es pon se to a s ubpoe n a or court order s hall not be cons idered "vo lunta ry" provided Cons ultant g ive s City notice of s uch court order o r s ubpoena. (c) I f Co n s ulta nt, or any orticer, e mployee, agent or s ub contrac tor o f Cons u lta nt, provides any information or work product in vio latio n of th is Agreem e nt, then C ity s hall have the ri g ht to re imburs ement a nd indemnity fr om Consultant for a n y d a m ages, costs a nd fees, in c luding attorneys f ees, caused by o r incurre d as a resu lt of Cons u lt a nt's conduct. (d) Consu ltant s hall prompt ly notify City s hould Consultant, it s o fficers , emp lo yees, agents or s ubcontractors be served w ith a n y s ummons, complaint, s ubpoena, notice of d e po s iti o n , re quest for documen ts, inte rro gatori es. request for admissions or o ther discovery re quest, co urt order o r s ubpoen a from any party regard ing this Agreement and the work pe rform e d the reunder. City reta in s the ri g ht, but has no obli gation , to rep resent Co ns ultant or be present a t an y depos ition , hearing or s im ila r proceedin g. Consultant agrees to cooperate fu ll y w ith City a nd to provide City with the o pp o r tunity to review a ny re s ponse to di scovery requests provid e d by Con s ultant. However, thi s ri g ht to review a ny s uch res ponse does not im p ly or mean th e ri g ht by C ity to control, d irect, o r rewrite said response. SECTION 16. INDEMNIFICATION. (a) Inde mnification for Pro fess ional Li abi li . Whe re the law establi s hes a professional s tanda rd of care for Cons ultant 's e rv ices, to the fulle s t exte nt perm itted by law, Consultant shall indemnify, protect , defend a nd ho ld harmless C ity and a n y and a ll of it s officia ls, em pl oyees and agents ( .. Indemnifi ed Parties··) from a nd agai ns t a ny and a ll losses, li ab iliti es, damages, costs and ex pe n ses, in c luding a ttorney 's fe es and costs to th e extent same a re caused in ' h o le or in part by any neg ligent or wrongfu l act. error or omissio n of Consultant , it officers, agents. e mpl oyees or s ub-co ns ultants (o r a ny entity o r indi v idu a l that Consult ant s hall bea r the lega l li abi l it y th e reof) in th e performance of pro ressiona l s ervices under thi s g reement. -6 - (b) Indemnificat ion for Other than Profess ional Li a bili ty . Othe r th an in th e performanc e of professio na l serv ic es and to the f ull extent permitted by la w, Con sultant shall indemnify , protect, defend and ho ld harmless Ci ty, and any a nd all o f its e mployees, officials and age nts from and aga inst any li ab ility (incl uding li ability for claims, s uits, actions , a rbitrati o n proceedings, a dmini s trative proce edings, reg ul atory proceedin gs, lo sses, expen ses or costs of a ny kind , whether actu a l, a ll eged o r threatened , in c ludin g a tto rn eys fe es a nd cos ts, cou rt cos ts, interes t, defense cost s, and expert wi tness fees), w he re th e s ame ari se out of, are a consequence of, or are in an y way attri butable to , in w hole o r in part, the pe rformance of thi s Agreem e nt by Consultant o r by an y individual or entity for which Consu ltant is lega ll y li able , including but not limited to offic e rs, agents, employees o r s ub-c ontract or s of Consultant. In the event Consultant fail s to obta in su ch ind emn ity obli ga ti o ns from others as required here, Consultant agrees to be full y respons ible according to the terms of thi s section. The term "des ig n professional,'' as d e fined in Section 2782.8, is limited to licensed archite cts, li cens ed la ndscape arch itects, registered professiona l engineers, profess ional land s m veyors, and the bu s iness entities that offer s uch serv ices in accordance with th e appli cab le provi s ion s of the Cali fo rnia Bus ine ss and Pro fe ssions Code. (e) The provi s ions of th is secti on do not apply to clai m s occurrin g as a result of C ity's sole neg li gence. T he provi s ions of this section shall not re lease C ity from li ability arising from g ro ss negl ige nce or wi llful acts or omissions of C ity o r any a nd a ll o f its offic ia ls, e mpl oyees and age nt s . SECTION 17. INSURANCE. Consultan t agrees to obta in and mainta in in full force and effect durin g th e t erm of thi s Agreement the ins urance policies set forth in Exhibit "C" "In s ura nce" a nd m ade a pat1 of t hi s Agreem e nt . A ll in s uran ce p o li cies s hall be s ubj ect to approva l by C it y as to form a nd content. These require m e nts a re s ubj ect to a mendment or waive r if s o approved in writin g by t he C ity Ma nager. The experti se and ex pe ri e nce of Cons ulta nt ru·e materia l con s id e ra ti o ns for thi s Agreeme nt. C ity has a n int e rest in the q ua lifi cations of a nd capab ili ty of th e persons and e ntiti es w ho wil l fulfi ll the d uti es and obli gation s impo sed upo n Consultant under thi s Agr eem e nt. In recognition of th a t inte rest, Consultant s ha ll not assig n or transfer th is Agreem e nt or an y porti o n of thi s Agreement or the performance of an y of Cons u ltant 's duties o r obl igations unde r thi s A gr eement w ithout th e p r ior writt en consent of the C ity Counc il. A ny attempte d ass ignm e nt s hall be in effecti ve, null and v o id , and s ha ll cons titute a material breach of thi s Agreement entitling C ity to a ny and a ll remedies a t law or in e qui ty, inc luding s ummary terminatio n of t hi s Agreement. City acknow le dges, however, that Cons u ltant, in the performance of it s duties purs uant to thi s Agreem e nt , may uti lize s ubco ntractors. SECTION 19. CONTINUITY OF PERSONNEL. Con s ulta nt s ha ll make every reaso nab le eff011 to maintain the stab ility and conti nuity of Con s ult a nt's staff and s u bcontractors, if a ny, ass ig ned to perform the serv ices required under thi s Ag re e m e nt. Consultant s hall notify City of a ny c h a nges in Cons ultant's s taff a nd s ubcontracto rs, if a ny, assigned to perform the services req ui red u nder thi s Agreement, prior to a nd during any suc h p e rforma nce. SECTION 20. TERMINATION OF AGREEMENT. (a) C ity may terminate thi s Agr eem e nt, wit h o r without cause, at a ny time by g i v i ng thirty (30) days written notice of t e rminatio n to Cons ultant. In stead. the C ity m ay g ive notice to Consu ltan t of th e default a nd th e reason s for the defau lt. The notice shal l include the timeframe in w h ich Cons ult an t may c ure th e d e fau lt. Th is t im efra m e is presumptively thirty (30) days . but may be ex te nded. though no t re duced. if circum s tances warrant. During th e period o f time th a t Consul tan t is in d efa ult . th e -8 - C ity s ha ll hold a ll in voices and s ha l l, w hen th e defau lt is cured, proceed w ith paym ent o n the invo ices. SECTION 22. EXCUSABLE DELAYS. Consultant s ha ll not be li a bl e for d a mages, including liquidated damages , if any, caused by d e lay in performance or fa il ure to pe rfo rm due to causes be yond the conh·o l of Consultant. Such causes includ e, but ar e not limited to, ac ts of God , act s of th e public e n e my , act s of fede ral , s tate o r l ocal govemments, acts of C ity , co urt o rd e rs fires, fl ood s, epid em ic s, s trik es, embargoes, and unus ua ll y severe weather.
