SALISBURY ROAD PHASE II
SUPPLEMENTAL AGREEMENT
NO.2
THIS SUPPLEMENTAL AGREEMENT, is made and entered into effective as of
A P2 «. 24 ' " , 20 IS- ("Effective Date") by and between the City of Richmond
Board of Public Works and Safety, acting by and through its proper officials ("LOCAL PUBLIC
AGENCY" or "LPA"), and GAI Consultants, Inc. ("the CONSULTANT"), a corporation organized
under the laws of the Commonwealth of Pennsylvania, WITNESSETH:
WHEREAS, on August 15, 2013, the Local Public Agency entered into an agreement
with the CONSULTANT for services required including; Construction Services for Richmond
Salisbury Road Phase II, Des. No. 0800343; and
WHEREAS, Dave O'Mara Contractor, Inc. ("CONTRACTOR") has modified their original
construction schedule to perform work during the previously agreed upon , winter shutdown
period; and
WHEREAS, the original agreement for Construction Services included the following:
There will be a shutdown period from December 1", 2013 thru March 31st, 2014. It is understood
that there will be no work performed by Consultant during this period. If it becomes necessary to
perform work due to contract constraints, Consultant will seek a supplemental agreement for
work required during this period. Consultant's services will resume on April 1", 2014 and
continue through final record turn in. Any work that exceeds or is required to be performed
outside of the dates noted above or in Appendix "C" will be handled through a supplemental
agreement to include any necessary time and expenses to complete the construction project
and final construction record; and
WHEREAS, Dave O'Mara Contractor, Inc. ("CONTRACTOR") has modified their original
construction schedule to perform work past their original completion date of November 121",
2014 and will now complete construction on July 15tt', 2015 due to the delay in relocation of the
facilities of Frontier Communication ("UTILITY"); and
WHEREAS, the original agreement for Construction Services included within Appendix
"D" under Compensation, Section A. Amount of Payment, Paragraph 1.a, states the original
amount will be paid for the time periods listed in Appendix "C" and any deviation or work
required outside of the dates listed will require a supplemental agreement;
NOW, THEREFORE, in consideration of the mutual covenants herein contained, the
parties hereto mutually covenant and agree as follows:

APPENDIX "A"
• Replace SERVICES TO BE FURNISHED BY CONSULTANT: Section A Engineering
Personnel: Paragraph 1 with the following:
A. Engineering Personnel
For the fulfillment of services outlined in Section B below, the CONSULTANT will provide
one (1) full-time Resident Project Representative, and when necessary additional
Inspectors and construction support personnel as required for the period of time listed in
Appendix "C" of this agreement. This period of Construction will be from September
2013 thru July 15, 2015.
• Insert the following after Section B. Description of Services: Number 19 Limitations of
Authority by RPR:
20. Winter Work Period (December 1. 2013 - April 1, 2014)
The RPR will be on -site during the winter months, whenever contractor work is being
accomplished.
Normal RPR activities will take place on a daily basis when the contractor is on -site
working as covered in the original executed agreement.
There will be instances when the RPR will need to perform services when the
contractor is not on -site performing work throughout the winter work period including,
but not limited to:
• Completing Contractor Pay Estimates through the INDOT SiteManager
system as well as all required paperwork and verifications for this process.
(Approx 4 hours of work bi-weekly)
■ Daily Entries into the INDOT SiteManager system for all days during the
winter period. There will be one daily written for each day of the week with the
exception being when the CONTRACTOR does NOT work for a full week.
Then one daily will be entered encompassing the whole week's shutdown.
(Approx .5 hours of work daily or .5 hrs per week if exception is warranted)
• Diary Entries into the INDOT SiteManager system for all days during the
winter period. There will be one diary written for each day of the week with
the exception being when the CONTRACTOR does NOT work for a full week.
Then one daily will be entered encompassing the whole week's shutdown.
(Approx .5 hours of work daily or .5 hrs per week if exception is warranted)
■ Material data entry into INDOT Sitemanager for contractor installed materials
during the winter work period. This work may be performed on days that the
contractor is not on -site. (Approx .1.5 hours of work for each day of
CONTRACTOR work)
■ In the case that the CONTRACTOR is working on -site during a week and
work is cancelled in the morning and suspended for the duration of the week,
the LPA agrees to pay for the following:
• Previous night hotel stay
• Per Diem for previous night
• Mileage and drive time for RPR to return to home office
• Time for the RPR to complete previous days daily, diary, record
drawings, and any other work associated with the previous day that
may not have been entered into the INDOT SiteManager system
during the time frame the contractor was on -site

APPENDIX 'D"
• Replace Compensation, Section A Amount of Payment Number 1 with the following:
1. The CONSULTANT shall receive as payment for the work performed under this
Contract the total amount not to exceed $530,845.00, unless a supplement is
executed by the parties that increase the maximum amount payable. This is an
increase of $175,845.00.
a. This amount will be paid for the time periods listed in Appendix "C" and any
deviation or work required outside of the dates listed will require a
supplemental agreement.

IN TESTIMONY WHEREOF, the parties hereto have executed this Supplemental
