THIS ADDENDUM, (Number 1 to Contract No. 38-2010) is made and entered into this _24th ______ day of _November___, 20_10__, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, (hereinafter referred to as “City”), and Bader Mechanical, 110 West Main
Street, Richmond, Indiana, 47374 (hereinafter referred to as “Contractor”).
WHEREAS, City and Contractor entered into Contract No. 38-2010; and
WHEREAS, Contract No. 38-2010 contains an option to renew which the City wishes to exercise for the 2011 calendar year; and
WHEREAS, City wishes to retain Contractor to continue providing maintenance services for the heating and air conditioning (HVAC) systems located with the Richmond City Building as set
forth within the scope of Contract No. 38-2010; and
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows:
The City and Party executed and entered into Contract No. 38-2010, on March 25, 2010. Contract No. 38-2010 is attached hereto, marked as Exhibit “A” and incorporated by reference.
Pursuant to Contract No. 38-2010, Section IV Term of Agreement, the City has an option to renew the Agreement for the 2011 calendar year, which option is exercised pursuant to this Addendum.
Both parties hereby agree to renew Contract No. 38-2010 with the same terms and conditions set forth in that Agreement, with the exception that the date of the term shall be extended
to December 31, 2011.
Both parties hereby agree that with the exception of the extended date Contract No. 38-2010 shall remain intact and unchanged.
Addendum No. 1 to Contract No. 38-2010
Both parties expressly agree that the City shall have an option to renew the Agreement for a third year as contained in Contract No. 38-2010, upon the same terms and conditions therein,
for the calendar year 2012.
IN WITNESS WHEREOF, this Addendum is executed and approved by the undersigned representatives of the City and Contractor this _18th, day of _November___, 20_10_, to be effective in
accordance with its terms as of January 1, 2011.
