HomeMy Public PortalAboutADDENDUM 2 to Contract 142-2008 Fire - Pro Air Midwest Inc - air compressor maintenance.docADDENDUM THIS ADDENDUM, (Number 2 to Contract No. 142-2008) is made and entered into this _18th ___ day of _November_____, 20_10__, by and between Richmond, Indiana, a municipal corporation acting through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, (hereinafter referred to as “City”), and Pro Air Midwest, Inc., 1126 Air Drive, Bloomington, Indiana, 47403 (hereinafter referred to as “Contractor”). WHEREAS, City and Contractor entered into Contract No. 142-2008; and WHEREAS, Contract No. 142-2008 contains an option to renew which the City wishes to exercise for the 2011 calendar year; and WHEREAS, City wishes to retain Contractor to continue providing maintenance services of the Fire Department’s MAKO breathing air compressor and Bauer breathing air compressor within the scope of Contract No. 142-2008; and NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: The City and Party executed and entered into Contract No. 142-2008, on December 11, 2008. Contract No. 142-2008 is attached hereto, marked as Exhibit “A” and incorporated by reference. Pursuant to Contract No. 142-2008, Section IV Term of Agreement, the City has an option to renew the Agreement for the 2011 calendar year, which option is exercised pursuant to this Addendum. Contractor indicated its willingness to extend Contract No. 142-2008 for the 2011 calendar year on October 4, 2010, which agreement is attached hereto, marked as Exhibit “B” and incorporated by reference. Both parties hereby agree to renew Contract No. 142-2008 with the same terms and conditions set forth in that Agreement, with the exception that the date of the term shall be extended to December 31, 2011, and with the exception that the City shall compensate Contractor the approximate quote amount of up to Two Thousand Two Hundred Dollars and Zero Cents ($2,200.00) due to new National Fire Protection Association guidelines. The actual payment shall depend upon services rendered but is estimated not to exceed the projected $2,200.00 amount. Addendum No. 2 to Contract No. 142-2008 Both parties hereby agree that with the exception of the extended dates and the increased quote amount, Contract No. 142-2008 shall remain intact and unchanged.
