THIS ADDENDUM, (Number 1 to Contract No. 8-2009) is made and entered into this _17th ____ day of _December_____, 2009, by and between Richmond, Indiana, a municipal corporation acting
through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, (hereinafter referred to as “City”), and Pedro Feliciano, d/b/a Preventive Maintenance
Services, 129 South 5th Street, Richmond, IN 47374 (hereinafter referred to as “Contractor”).
WHEREAS, City and Contractor entered into Contract No. 8-2009, which Contract is attached hereto, marked as Exhibit “A” and is incorporated by reference; and
WHEREAS, Contract No. 8-2009 contains an option to renew which the City wishes to exercise for the 2010 calendar year; and
WHEREAS, Contractor has agreed to the one (1) year extension during the 2010 calendar under the same terms and conditions of Contract No. 8-2009, and Contractor has signed the attached
Exhibit “B” authorizing the extension, which Exhibit is incorporated by reference; and
WHEREAS, City wishes to retain Contractor to continue providing preventive maintenance, oil changes, brake repairs, tire changes, and other miscellaneous general repairs to the Richmond
Fire Department’s fleet of staff vehicles, Fire Department apparatuses, and miscellaneous firefighting tools during the course of the 2010 calendar year under the same payment terms
and services within the scope of Contract No. 8-2009.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows:
Contractor shall continue providing the services of preventive maintenance, oil changes, brake repairs, tire changes, and other miscellaneous general repairs to the Richmond Fire Department’s
fleet of staff vehicles, Fire Department apparatuses, and miscellaneous firefighting tools for the 2010 calendar year as identified within Contract No. 8-2009. For these services, Contractor
shall be paid the quote amount described as an approximate amount of Twenty-eight Thousand Dollars and Zero Cents ($28,000.00) for the 2010 calendar year, although actual payment shall
depend upon the actual services rendered but is estimated not to exceed the above projected amount, as identified within Contract No. 8-2009. Such services shall be performed in a
manner consistent with Contract No. 8-2009, which is hereby incorporated by reference and made a part hereof.
Addendum No. 1 to Contract No. 8-2009
City and Contractor expressly agree that all other terms, conditions and covenants contained in Contract No. 8-2009, shall be applicable to the work performed pursuant to this Addendum,
unless such term, condition or covenant conflicts with this Addendum, in which case this Addendum shall be controlling.
City and Contractor expressly agree that the City shall have an option to renew the Agreement for a third year, as contained in Contract No. 8-2009, upon the same terms and conditions
therein, for the calendar year 2011.
IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year first above written, although signatures may be affixed at different times.
THIS ADDENDUM is executed and approved by the undersigned representatives of the City and Contractor this _17th , day of _December ___ _____, 2009, to be effective in accordance with
its terms as of January 1, 2010.
