THIS ADDENDUM is made and entered into this _23rd ______ day of _November_____ 2010, by and between the City of Richmond, Indiana, a municipal corporation acting through its Board
of Sanitary Commissioners, (hereinafter referred to as the “City“), and Gripp, Incorporated, (hereinafter referred to as the “Contractor”).
WHEREAS, City and Contractor entered into Contract Number 158-2009 on October 27, 2009 for the purchase of certain flow monitoring equipment and for the servicing of such equipment
for an initial term of one (1) year; and
WHEREAS, such contract contains an option for the City to renew such
Agreement for the servicing such equipment for an additional year at a
price equal to or less than that stated in Contract Number 158-2009; and
WHEREAS, the City desires to renew and extend such contract for an additional year pursuant to such option.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows:
SECTION IV. TERM OF AGREEMENT of Contract 158-2009 will be revised as follows:
The term of this Agreement shall continue, without interruption, until October 26, 2011. (All remaining terms of Article IV. shall remain in effect, including the right of the City to
renew this Agreement for one additional one-year term upon the same terms and conditions.)

SECTION III. COMPENSATION
As set forth in Contract No. 158-2009, City shall pay Contractor a sum not to exceed Twenty-Seven Thousand Nine Hundred Sixty-Two Dollars and Zero Cents ($27,962.00) for annual servicing
of equipment pursuant to the Agreement.
3 City and Contractor expressly agree that all other terms,
conditions and covenants contained in Contract Number 158-2009, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts
with this Addendum, in which case this Addendum shall be controlling.
IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year first above written, although signatures may be affixed at different times.
