RESOLUTION NO. 7-2010
A RESOLUTION RECOMMENDING PASSAGE OF AN ORDINANCE ADOPTING THE PROVISIONS OF I.C. 5-23 AUTHORIZING PUBLIC-PRIVATE AGREEMENTS
WHEREAS, the Board of Directors (the “Board”) of Richmond Power & Light (“RP&L”), oversees RP&L, a municipal electric utility providing service in and around Richmond, Indiana (the “City”);
and
WHEREAS, under I.C. § 5-23-3-1 and I.C. § 5-23-4-1, a governmental body may enter into agreements with an operator for the construction, operation, maintenance, repair, or management
of a public facility; and
WHEREAS, prior to entering into any public-private agreement under I.C. § 5-23, et seq. (the “Act”), it is necessary for the legislative body of the political subdivision, or if the
political subdivision does not have a legislative body, the fiscal body of the political subdivision, to adopt the provisions of the Act, by resolution or ordinance; and
WHEREAS, the Board is investigating entering into an agreement governed by the terms of the Act to extend the life of RP&L generation equipment;
WHEREAS, the Common Council (“Council”) of the city of Richmond, Indiana, is the legislative and fiscal body for RP&L.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of Richmond Power & Light as follows:
The Board has reviewed the provisions governing public-private agreements set forth in the Act and recommends Council adopt the provisions of the Act for the purposes of entering into
an agreement for the construction, operation, management, repair, and maintenance of a project to gasify municipal solid waste to create electricity and other products (the “Agreement”).
One (1) copy of this Resolution shall be kept on file for public inspection with both the Auditor for Wayne County and the Clerk for the City.
Passed and adopted this __6th ____ day of December, 2010, by the Board of Directors of Richmond Power & Light.
