As you recall, in advance of the January 2014 expiration of the Town's Cable Television License with Conicast of Massachusetts, input was requested from Deparnnent Heads and the Watertown Cable Access Corporation regarding future cable-related funding or equipment needs(see attached March 8,2013 Miscellaneous Items cover correspondenccs). Subsequent to the above mentioned effort,a Cable Television Public Hearing was held on March 5,2014 to hear from members of the public on(a)whether the current cable operator is in full compliance with its currently existing cable license;and(b)what are the Town's future community cable-related needs(see attached March 4a'&6a'2014 email correspondences). Subsequent to all of the above as part of the"Ascertainment"process,protracted and detailed contract negotiations were field with Conicast of Massachusetts. This proposed license is the product ofour lengthy negotiations with Comeast. This letter is divided into two sections: (1)Financial Support to Town and Term;and(2)Administrative and Technical Support Details. Driscoll Town Manager December 3,2015 Page 2 (b) Term: i i The proposed term is ten (10)years from October 15,2015, to expire on October 14,2025 (Section 2.2), This is the maximum term available fora renewal license under state law(IvI.G.L. e.166A, §13), --(2) ADMINISTRATIVE.ANDIT( IINICAL SUPPORT DI"I'AILS: (a) Level Plavina Field: Level playing field provisions are standard provisions recognized in contract law,and upheld by courts of law. fit the cable television licensing context,they typically provide that if the Issuing Authority issues a license to another cable operator, that additional license must contain approximately equivalent economic hardens and benefits. The level playing field provisions proposed by Conncast in this renewal license have become standard in the industry and were reviewed and revised by me, and in their present wording are acceptable as to legal form(Section 2.6(a)•(I)), A provision that would have extended level playing field principles to cover non- licensed cable providers in the future was deleted at our insistence. (b) Service Area: The service area will be all residential dwellings within the Town, located within 150 feet of Corneast's distribution plant,and where there is a minimum density of at least thirty(30)homes per aerial mile and sixty(60)per underground mile(Section 3.1(a)). These numbers are standard for an urban community. (c) Free Subscriber Drons: Comcast will continue to provide free cable drops and free basic subscriber service to six(6) municipal buildings and eight(8)school buildings(Section 3.3(a)-(b);Exhibit A), (d) Video Origination Sites: Within fifteen(15)months of signing, live video origination capability will be provided from six(6)sites: Victory Field;John Ryan Arena; Watertown Police Station; Watertown Public Library; Watertown Town Hall;and Watertown Middle School(Section 6.4(a)), KOPELMAN AND PAIGE,r.c. 1 Mr. Michael J. Driscoll Town Manager December 3, 2015 Page 3 (e) PEG Access Provider: The Watertown Cable Access Corporation will continue to provide PEG Access services for the Town(Section 6.2). (t) Protections for the Town[Publie Riahts: (i) S stem Iyisimtenance: The construction,maintenance,operation and repair of the cable system will at all times conform to OSHA,National Electric Safety Code,and FCC Regulations(Section 4,1(b)), (ii) Signal Ouality: Signal quality will at all time comply with FCC regulations (Section 4,1(e)). (iii) Plant Maus: Conneast will maintain a complete set of plant maps and make them available to the Town upon written request(Section 4,5), (iv) Indemnification: Comcast will indemnify the Town for all claims or suits arising as a result of Comcast's operation of the cable system pursuant to the license(Section 9,1). (v) Insurance: Comcast will provide insurance as follows: comprehensive general liability-$t Million/$5 Million; automobile liability:$1 Million; and worker's comp. Comcast will provide the Town with certificates of insurance for all required policies(Section 9.2(a)-(d)). (vi) License pees: Comcast will pay the standard $.50 per subscriber license fee to the Town on an annual basis, Under state law and Cable Division rulings,this money may be used for any public purpose(Section 9.4(a)). (g) Subscriber Rights and Consumer Protection: (1) FCC Customer Service Regulations: Comcast will comply with all FCC Customer service regulations and Massachusetts DTC business practice standards regarding telephone response time,repairs, and initigl installation of service, and billing(Section 7,1), (ii) Consumer Comnlaint Procedures: Comcast will forward to the Town and to the state Cable Division copies of any complaints it receives. Comcast will also provide the Town with its annual complaint report(Section 7.2), (iii) Protection of Subscriber Privaevt Comcast will provide the protections of subscriber privacy required by the federal Cable Act(Section 7.6), i KOPEL.MAN AND PAIGI✓ P.c. 1 Mr, Michael J, Driscoll Town Manager December 3,2015 Page 4 (h) License Enforcement; (i) Public FlearingAnd_Ligifid ted Damages: If the Issuing Authority believes that Comcast is in default, it must first notify Comcast in writing by certified mail,and if Comcast has not satisfactorily responded within thirty(30)days, it may then call a public hearing(Section 9.8(6)), If, following the hearing, the Issuing Authority determine that a material breach in the -license has occurred, it may exercise the options listed in the section,including seeking injunctive - - relief,a contract claim at law,or license revocation, or the imposition of liquidated damages for certain specified breaches (Section 9.8(d),(e); Section 9.9(a)-(d)), j (i) Side Letter Aereements: (i) Customer Service Office: By side letter agreement (copy enclosed),Comcast will keep its current 104 Maim Street office open through to the end of its lease(March 31,2016). i Should Comcast elect to close the office at or after that date, it agrees to give Watertown 30 days notice, Comcast has contracted with UPS to allow Comcast customers to return equipment to a local UPS store. (ii) Senior Citizen Discount; Comcast will extend the current Senior Citizen Discount to qualified Wateitovm customers,65 or older, head of household,and receiving SSI or Medicaid(copy of letter enclosed). i (3) CONCLUSION i' I have reviewed the Comcast proposed renewal license,and the proposed side letters, and I find that they are consistent with the substantive terms as negotiated by and agreed to between Comcast and your cable negotiators,and that they me acceptable as to legal form. Accordingly,I recommend the renewal license for your execution. I trust that this will be of assistance to you at the present time. Comcast will voluntarily offer a discount equal to$2.00 per month off Digital Starter, This discount will be for those persons age sixty-five (65)or older, who are heads of households and are receiving SSI or Medicaid. A qualifying subscriber must be able to show proof of qualifications. Acceptable documentation would be any of the following; Proof of Age—Drivers License,Birth Certificate,or Passport Head of Household—Lease, Deed,Tax Bill Proof of SSI,Fuel Assistance or Medicaid benefits This discount will be available no later than 90 days from the effective date of the recently executed Cable Television Renewal License and will be run concurrent with the recently executed Cable Television Renewal License. Those currently enrolled in a Sr. Discount program will retain their existing discount until making a change of service or receiving advance notice from Comcast.
