ORDINANCE NO. I `H
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR TO EXECUTE A CONTRACT WITH ALLIED SERVICES, L.L.C., DBA MID-
STATE WASTE, FOR SOLID WASTE COLLECTION AND DISPOSAL.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an amendment to the agreement with Allied Services, L.L.C., dba Mid-State
Waste, for solid waste collection and disposal.
Section 2. The amendment shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date
of its passa a and approval.

AMENDMENT TO SOLID WASTE AGREEMENT
WHEREAS, the City of Jefferson, Missouri, a municipal corporation, with offices located at
320 East McCarty Street,Jefferson City,Missouri,65101,hereinafter designated"City,"entered
into an Agreement with Laidlaw Waste Systems, Inc. on August 12, 1994 which was assigned
on January 1, 1998 to Allied Services, L.L.C., dba Mid-State Waste, a Delaware L.L.C.
authorized to do business in the state of Missouri, hereinafter referred to as "Contractor," and
amended on October 20, 1999, October 24, 2000, June 24, 2004, and August 24, 2006.
WHEREAS,the Agreement was to provide solid waste collection,transportation,and disposal
services within the City of Jefferson, Missouri; boundaries, and;
WHEREAS, both parties wish to amend the Agreement by revising the charges and rates for
pick up service, as outlined in "Exhibit A" to include appropriate escalators for years twelve
(12) through sixteen (16) of the agreement;
NOW,THEREFORE, be it agreed as follows:
A. Exhibit"A"of the original Agreement dated August 12, 1994,assigned January
1, 1998, and amended on October 20, 1999, October 24, 2000, June 24, 2004, and August 24,
2006 (hereinafter referred to as "Original Agreement' )is hereby amended by the addition of
the following language under Future Years:

Year 2 Max. Increase (1995-1996) — 3% above prior year(1994-1995)
Year 3 Max. Increase (1996-1997) — 3% above prior year(1995-1996)
Year 4 Max. Increase (1997-1998) — 3% above prior year (1996-1997)
Year 5 Max. Increase (1998-1999) — 3% above prior year(1997-1998)
Year 6 Max. Increase (1999-2000) — 3% above prior year (1998-1999) plus a
$0.75/month residential cart rental fee*
Year 7 Max. Increase (2000-2001) — 3% above prior year (1999-2000) plus a
$0.75/month residential cart rental fee*
Year 8 Max. Increase (2001-2002) — 3% above prior year (2000-2001) plus a
$0.75/month residential cart rental fee*
Year 9 Max. Increase (2002-2003) — 3% above prior year (2001-2002) plus a
$0.75/month residential cart rental fee*
Year 10 Max. Increase (2003-2004) — 3% above prior year (2002-2003)
plus a $0.75/month residential cart
rental fee*
Year 11 Max. Increase (2004-2005)** — 1.5% above prior year (2003-2004) plus a
$0.75/month residential cart rental fee*

$0.75/month residential cart rental fee*

Year 13 Max. Increase (2006-2007)** — 1.5% above prior year (2005-2006) plus a
$0.75/month residential cart rental fee*
Year 14 Max. Increase (2007-2008)** — 1.5% above prior year (2006-2007) plus a
$0.75/month residential cart rental fee*
Year 15 Max. Increase (2008-2009)** — 1.5% above prior year (2007-2008) plus a
$0.75/month residential cart rental fee*
Year 16 Max. Increase (2009-2010)** -- Not to exceed CPI - Garbage and Trash
Collection, U.S. Cities Average, based on
increase in said index for June 2008 to June
2009.
*The$0.75/month residential cart fee shall remain constant and shall not be subject to change
except by prior written agreement of the parties. It is not subject to annual percentage increases.
**Any containers leased by the City during the 2003-04 contract year shall remain at the 2003-
04 price and shall not be subject to the 1.5% increase.
B. All other sections of the Agreement dated August 12, 1994, assigned January 1,
1998, and amended on October 20, 1999, October 24, 2000, June 24, 2004, and August 24,
• 2006, shall remain in effect as stated.
IN TESTIMONY WHEREOF,the parties have hereunto set their hands and seals this 7
day of Oeteber, 2008.
