If the same appears to be in order perhaps it could be considered at the meeting of November 12th. There is no reason for this document to be recorded. Remaklus bb " 7 EASEMENT AGREEMENT THIS EASEMENT AGREEMENT made and entered into this �� il1 - day of November, 1987, by and between the CITY OF McCALL, a municipal corporation of the State of Idaho, the party of the first part, hereinafter called Grantor, and SNAKE RIVER VALLEY CABLEVISION L. P., a limited partnership, P. O. Box 71, Weiser, Idaho 83672, the party of the second part, hereinafter called Grantee, W I T N E S S E T H: That Grantor, for and in consideration of the covenants and agreements of the Grantee, hereinafter set forth, does by these presents remise, release and quitclaim unto the grantee, and to its successors and assigns, an easement for a right of way for the installation of an underground television service cable at a depth of 18 inches, on, under, through and across the premises hereinafter described, together with the right to construct, maintain and repair such television cable, for the purpose of conveying television signals to customers of the Grantee, together further with the right to excavate and refill ditches and/or trenches for the location and/or repair and maintenance of said television service cable. The land affected by such easement and right of way is located in Section 10, Township 18 North, Range 3 East, B.M. in Valley County, Idaho, and is described as follows: Commencing at the quarter corner to Sections 9 and 10, Township 18 North, Range 3 East, B.M.; thence [forth 0�1'20" East along the section line common to said Sections 9 and 10 a distance of 639.83 feet more or less to the intersection of said section line with the North right of way line of Ready Lane, the real point of beginning; thence North 0�1'40" East 290 feet; thence South 89�56'10" East 10 feet: thence South 0�1'40" West 290 feet; thence North 89�56'10" West 10 feet to the real point of beginning (See Exhibit "A" attached) " a_ TO HAVE AND TO HOLD all and singular the said premises together with the appurtenances unto the said Grantee until such grant is terminated by. Grantor as hereinafter provided. This grant shall be effective as long as said easement shall be actually used for the purposes above specified and all right hereunder granted shall revert to the owners of such lands when said use shall have been abandoned and dis- continued for a period of 90 days. Grantee specifically agrees as follows: 1. That upon receipt of 90 days' notice in writing from Grantor, Grantee shall remove said television cable from said premises and restore the same to as nearly as practicable to its original condition by the end of such 90 day period. 2. Grantee covenants to indemnify and save harmless the Grantor against any and all claims arising from the conduct or management of or from any work or thing whatsoever done in or about the premises herein described or arising from any dam- ages to any persons or property occurring during the use of said premises by Grantee, on or about the said premises, and from and against all costs, counsel fees, expenses and liabili- ties incurred in or about any such claim or any action or pro- ceeding brought thereon. 3. In the event that maintenance, operation or repair of city facilities or services requires that such television cable be removed or television service interrupted, Grantor shall give timely notice to Grantee and Grantee shall immedi- ately and at its expense move, sever., replace or take what- ever action is necessary in order for the Grantor to do and perform the repair, maintenance or service functions that are required. Grantor shall not unreasonably require the Grantee to move, sever or replace such television cable under the pro- vision of this section. 4. The Grantee shall at all reasonable times have the right to enter upon the lands hereinabove described for the -2- " purpose of constructing, repairing and maintaining said tele- vision cable doing as little damage as possible.
