Forbes, AICP , Community Development Director By : Adam Gulick , Associate Planner SUBJECT: FINAL SUBDIVISION MAP APPROVAL FOR PARCEL MAP NO. 72996, A NINE-UNIT CONDOMINIUM SUBDIVISION FOR AN EXISTING PARCEL LOCATED AT 4857-4905 GLICKMAN AVENUE RECOMMENDATION: The City Council is requ ested to : 1. Receive the Subdivision Improvement Agreement (Attachment "A "); 2 . Approve the final subdivision map for Parcel Map No. 72996 ; 3 . Authorize the City Manager to execute the Subdivision Improvement Agreement ; and 4 . Autho rize the City Clerk to certify Parcel Map No . 72996 . BACKGROUND : 1. On June 27, 2014, the City received an application proposing a three unit condominium subdivision at the property located at 4857 -4905 Glickman Avenue . 2 . On July 24 , 20 14 , the submitted tentative map was distributed to the City Engineer (Building/Pub li c Works), Los Angeles County Fire Department, and othe r agencies for comments . 3 . On February 10, 2015 , at a noticed public hearing , the Planning Comm ission reviewed and approved the tentative parcel map . City Council April 5, 2016 Page 2 of2 4. On October 22, 2015 , the City Engineer signed the final map indicating that the final map satisfied the state Subdivision Map Act. 5 . On January 25 , 2016 , the developer paid the security deposits to guarantee street improvements required for the project. 6. On February 11 , 2016 , the developer signed the City 's Subdivision Improvement Agreement. 7 . On February 11 , 2016 , the Los Angeles County Fire Department approved the Final Map . ANALYSIS: The tentative map to create a nine unit condomin ium subdiv ision was approved in 2015 . The project is consistent with the land use des ignation and w ith the City's development standards . The applicant has signed the Subdivision Improvement Agreement and submitted the security deposit for the required street improvements . The final map has been reviewed by City 's Engineer, and is now ready for recordation . Certifying the final map will allow the developer to finalize the condominium subdivision and pull the bu il ding permits to start construction . CITY STRATEGIC GOALS: Approval of final Tract Map No . 72996 will furth e r the City 's Strateg ic Goal of Economic Development. FISCAL IMPACT: Approval of this item will not have an impact on the City's budget for Fiscal Year (FY) 2015-16 . ATTACHMENTS: A. Ci ty and Develope r a re sometimes herei nafter indiv iduall y referred to as "Party " and hereinafte r collectively referre d t o as the "Parti es." RECITALS A . Developer has s ubmitte d t o City a n applicati o n for a pproval o f a fin a l tract map f or real pro perty located within City, a lega l descripti o n of which is attached hereto as Exhibit "A". The tract m a p is identifi e d in City reco rd s as Tract Map No . 72996. On Februa ry I 0 , 2015, the C it y conditionally approved Tract No. 72996. B . Deve lope r has not comp le ted a ll of the w o rk o r m a d e all of the Publi c Improvements required by th e Subdivision Map Act (Government Code sections 66410 et seq .), ("Map Act") the City Ordin a nces , the cond iti ons of approval for Tract No. 72996, o r o ther ordinances, reso lution s, o r p o li cies of C ity requirin g co n structi o n o f improvements in conjun ction with the s ubd iv is io n of land . C. Purs uant to City Ordinances a nd the a pplicable prov 1s 1o n s of the Map Act, Deve lo p e r and C ity enter into this Agreement for the timely construction and completion of the Publi c Improvements and the furnishing of th e securit y therefor, acceptabl e to the City E n g ineer a nd City Attorney, for Tract No . 72996 . D. C ity has authority to enter into thi s Subdivision Improvement Agreement purs uant to G overnment Code S ectio ns 66499-66499.10. E. DEFINED TERMS "Developer" shall mean Thomas a nd Ton y LLC, a Cali fornia Limited L iability Company. "Estimated Costs" s h a ll m ean the C ity Engineer's a pproxim ation of the ac tual cost to con struct the Public Improvem e nts, in c luding the replaceme nt cost fo r all la ndscaping. "Litigation Expenses" s hall mean a ll costs and expenses, to the extent rea so n a bl e in amo unt, ac tually and necessaril y incurre d b y a party in good fa ith in th e prosec uti o n of an action o r Page 1 of I S proceeding, includi ng, but no t limited to , court costs, filing, recording, and service fees, copying costs, exhibit production costs, special med ia rental costs, attorneys' fees , fees for investigato rs, wit ness fees (both lay a nd expert), t rave l expenses, depos it ion and transcrip t costs and any other cost o r expense, the award of which a co urt of competent j urisdiction may dete rmin e to be just and reasonable . "M ap Ac(' shall mea n the Subdivision Map Act, Government Code Sections 66410 et se q. "Pr op erty " shall mea n the all of the rea l property contained within the boundar ies of Tract Map o. 72996 located in the City of Temple City, California, as is more particularly described in the legal de sc ription a nd tract diagram attac hed hereto and incorporated hereby by reference at Attachment "A". "Public Improvem ents" sha ll include , but not be lim ited to , a ll grading, roads, streets, paving, cu rbs and gutters, s idewalks, paseos, pathways, tra ils, sa ni ta ry sewers, utilities , sto rm drain s, detenti o n and retentio n ba si ns and other drainage facilities, traffic controls, land sca ping , street lights and all other facilities required to be constructed and dedicated to the City o r other public entity as conditions of approval of Tentat ive Tract Map o. 72996 and as shown in detail o n the p lans, and specifications which have been approved by the City and inc o rp o rated into Tract Map o. 72996. "Wa rranty" sha ll mean the o ne-yea r pe r iod fol lowing com pl et ion of the Pub li c Improve ments by Deve lo per and the acce ptance of the Pub li c Im provements by t he City in which Deve loper warrants and guarantees al l P ublic Improveme nts . OPE RATI VE PRO VI SIONS NOW, THEREFORE, in cons ide ration of the mutua l promises and cove nants made by the pa rties and conta in ed here and other co nside ration, the va lu e a nd adequacy of which are hereby acknowledged, the pa rti es agree as follows: I. EFF E CTIVENESS. This Agreement s hal l not be effective unle ss and until all four (4) of the following conditions are sat isfied in the order provided : 1.1 Security. Developer provide s City w ith the Security of th e type and in the amounts required by this Agreement; Page 2 of I S 1.2 Final Map and Agreement Approval. The C ity Counc il of the City ("C it y Counci l") approves the final map fo r Tract No. 72996 a nd thi s Agreement; 1.3 Record Agreement. Develope r a nd C ity execute the Agreement and C ity records this Agreem e nt in the R ecord e r 's Offi ce of the County o f Los A ngeles; a nd 1.4 Record Final Map. Deve lo p e r records th e final m a p f o r Tract No. 72996 in th e Recorder 's Office of the County of Los A nge les. If th e a b ove describe d conditions a re not sati sfied in the order, m a nner a nd w ith in th e time prov id e d unde r thi s A g reem e nt, thi s Agreem ent sh al l automati call y te rmin ate wi th out n eed of furt he r actio n b y e ither C ity o r Develo p e r. 2. PUBLIC IMPROVEMENTS . Develo per s h a ll construct o r have con stru c ted a t its own cost , expense, and l ia bility t h e Publi c Improvem e nt s, as defined h erein, within the time and in the m a nn e r re quired und e r thi s Agreement. Con struction of the Public Improvements s h a ll incl ude a n y tran s iti o ns a nd /o r o ther in c id enta l work d eemed necessary for drainage o r public safety. The Deve lo per shall be respo ns ibl e for the replacem e nt, re location, or remova l of a n y co mpo n ent of a n y irr igati o n water o r sewer system in conflict w ith th e con struction o r in s tallatio n of the Pub li c Improvements . Such replacement , re locatio n , or re m ova l s hall b e perfo rm e d to the complete sati sfactio n of the C ity E n g in eer and th e owner of s uc h water o r sewer syste m. Devel o per fu rt h e r promises and agrees to prov id e a ll equipm e nt, tools, mate rial s, labo r, te s ts, des ig n work, a nd engineering se rvices necessary o r required b y City to fully and adequately comp le te the Pub li c Improvements. 2 .1 Prior Partial Construction of Public Improve ments. Wh ere co n stru cti o n of any Public Impro v e ments has b een partiall y compl ete d p rior to thi s Agreement, Deve lo per agrees to co mpl e te s uch Publi c Improvements or assu re the ir co mpleti on in accordance w it h this Agreement. 2.2 Permits; Notices ; Utility Statements. Prior to co mmenc in g a n y wo rk , Deve loper shall , at its so le cost, ex p e n se, a nd li ab i lity, o bta in a ll nece ssary permits a nd a pproval s and g iv e a ll n ecessary and in c id e n tal no ti ces re q uired for th e lawfu l construction of th e Public Improvem ents and perfo rman ce of D eve loper 's obl igations und e r this Agreement. Developer shall co nduct the work in full compl ia n ce w ith the regulations, rul es, and o th e r req uire ments contain e d in any pe rmit or a pproval iss u ed to Dev e loper. Pri or to comme n c in g a n y wo rk, Develo per sh a ll fi le a w ritte n statement w ith th e City C lerk and the City Eng in eer, s ig ne d by Developer and each utili ty wh ic h w ill provide utility service to th e Property, attesting th a t D evelo p er has made all depos it s legal ly re quired by th e utili ty for th e extension and provi s io n of utility service to th e Property. 2.3 Pre-approval of Plan s and Specifications. D eve lo pe r is pro hibited from com menc in g wo rk o n any Publ ic Improvement until a ll plan s a nd s pecifi cati o n s for s u c h Public Improvement have been s ubm itted to and ap p roved by the C ity E n g in eer, o r hi s or her des ign ee. Approval by th e C ity E ng in eer s ha ll no t re li eve Deve lo pe r from e n s uring t hat all Public Improvements conform with all othe r req uiremen ts a n d sta nd a rd s set fo rth in thi s Agreement. 2.4 Quality of Work; Compliance With Laws and Codes. The constructi o n plan s and spec ifi cations for th e P ubli c Improvem e nts s hall b e prepare d in accord ance w ith all Page 3 of IS appli cabl e federal , state and loca l law s, ordin ances, re g ulati ons, codes, standard s, and other require ments. The Public Impr ove ment s s hall be co mpl eted in ac cord a nce w ith a ll a pproved ma ps, plan s, spec ifi cati ons, stand ard draw in gs, and spe c ia l ame ndment s thereto on file with C it y, as well as all a ppli ca ble federal , s tate, a nd loc a l law s, o rdin a nces, regulati ons, co de s, s ta ndard s, a nd o th er require ments a pplicable at th e tim e wo rk is ac tuall y co mmenced . 2.5 Standard of Performance. Deve loper and it s co ntracto rs, if any, s hall perfo rm a ll wo rk requir ed to construct th e Public Impro ve me nts und e r thi s Ag re e men t in a s k ill fu l and workma nlik e manner , a nd co ns istent w ith th e standard s ge nera ll y recogni zed as be in g e mpl oyed by profess ional s in the sa me di sciplin e in th e tate o f Ca lifo rni a. Dev e loper re prese nts a nd ma in ta in s th at it or its co ntrac to rs s ha ll be skill ed in the pr o fess iona l calling necessa ry to perfo rm th e wo rk. Dev e lope r warrants th at a ll o f it s empl oyees a nd co nt racto rs sha ll hav e suffici e nt skill and ex perien ce to perfo rm th e w ork assigned to them , and that the y shall have a ll licen ses , pe rmits, q ua lifi cati o ns and approval s o f w ha teve r nature th a t are legall y required to perfo rm the wo rk , a nd that such li censes, permits, qu a lification s and a pp rova ls shal l be ma inta in ed througho ut th e te rm of thi s Agree ment. 2.6 Alterations t o Improve ment . A ll wo rk sha ll be d o ne and im prove me nt s made and co mp le ted as s how n o n approved pl a ns and spec ifi ca ti o ns, a nd any su bsequ e nt a lterati ons the reto. If durin g th e co urse o f co nstructi on and in sta llati o n o f th e Public Improve ments it is de termin e d that the pub l ic int e res t require s alte rati ons in the Public Improvement s, Devel o pe r shall und e rtak e s uch des ign and const ru ctio n chan ges as may be rea so nably requ ired by C it y. Any a nd al l a ltera ti o ns in th e plans a nd s pecificat ion s and th e Public Improve ments to be co mpleted may be acco mpli shed with out givi ng pri o r noti ce th ereo f to De ve lope r's sure ty for thi s A greem e nt. 2.7 Other Obligations Refer e nced in Co nditio ns of Tentative Ma p Aoorova l. In additi o n to th e forego in g, De ve lo pe r s ha ll sati sfy a ll of th e co nditi o ns of approva l on th e te nt ati ve ma p fo r th e Pro pe rt y. Th e co nditi o ns of a pprova l w hich have not bee n sa ti s fi ed pri o r to th e da te o f thi s Ag ree me nt are ident ifi ed on Ex hibit "D" he re to. 3. MAINTENANCE O F PU BLIC IMPROVEMENTS AN D LANDSCAPING. C ity s ha ll not be res po ns ibl e o r li a bl e for th e ma int e nanc e o r care o f th e Pub li c Impr ov em e nt s unt il C it y fo rm a ll y a pproves and accep ts them in acc o rd ance w ith it s po li c ie s a nd procedures. C it y shall exerc ise no co ntro l o ver th e Publi c Improve me nt s until approved and acce pted. An y use by any pe rso n of th e Pu blic Improve me nt s, o r an y po rti o n th ereof, s hall be a t th e so le and exclu sive ri sk o f th e Deve lop er at a ll time s pr io r to C it y's acce pt a nce o f th e Publi c Improvem e nts. Deve lo pe r sha ll mai nta in a ll the Publi c Imp rovement s in a state of go od rep a ir until the y are co mpl eted by Develope r and appro ved a nd accepted by C it y, and unti l the security fo r th e pe rform a nce o f thi s Agree ment is re leased. It sha ll be Devel o pe r 's res pons ib ili ty to initi a te a l l ma int e na nce wo rk , but if it sha ll fa il to do so, it sha ll pro mpt ly pe rfo rm such ma in te nan ce wo rk whe n notifi ed to do so by C it y. If De ve lo per fa il s to pro perl y prosecu te its ma inten a nce ob li ga ti on und e r thi s sect io n, Ci t y may do a ll wo rk necessa ry fo r s uc h ma inte na nce a nd th e cost th ereof sha ll be th e res pons ibi lity o f Deve lo pe r and its sure ty und e r t hi s Ag ree me nt. Ci ty sha ll not be res po ns ib le o r Pa ge 4 of IS li a ble fo r any damages or injury of a n y natu re in any way r e lated t o or cau sed b y the Public Imp rovements o r their condition prior to acceptance. 4. CONSTRUCTION SCHEDULE. Un less ex tended pursuant to thi s Sectio n 4.1 of this Agreement, Deve lo p er s h a ll full y and adequ ately compl ete o r h ave completed th e Public Im p rovements within 2 years (24 months) following approva l of the fi na l m ap for Tract No. 72996 or prior to the final date of the cons truction permits, whichever occurs firs t. 4.1 Extensions. C ity m ay, in its so le and abso lute di scretion, provide De ve loper w ith add iti o na l t im e within which t o complete the Public Improvement s. It is und erstood that by prov idin g the Securit y required under Section 12.0 et seq. of this Agreement, Devel oper and its s urety consent in a d vance to a ny exten sio n of t im e as m ay be given by City to Deve loper, and waives a n y a nd a l l right to notice of s uc h exte n s io n (s). Developer's acceptance of a n exten s ion of time gra nted b y C ity s ha ll co nstit ute a wa iv e r b y Developer a nd its s urety of a ll defense of laches, estoppel , statu tes of limitatio n s, and other li mitations of action in any action or proceed in g fil e d by C ity fo ll owin g the date o n w hi c h t h e Publi c Improvements were to have been completed hereu n der. In add iti on, as cons iderati o n fo r grantin g s u ch exten sio n to Developer, Cit y reserves the ri g ht to rev iew the p rov is io n s of t hi s Agreem e nt , in c luding, but n ot limited to, th e con stru ction s ta nda rd s , the cost estim ates estab li s hed by C it y, a nd the s uffi ciency of th e improvement security prov ided b y Developer, and to require adjustm ents thereto when warranted according to C ity's reaso nabl e di scretion. 4.2 Accrual of Limitations Period. A ny limitat ions p eriod prov id ed b y law related to breach of this Agreement o r the terms th ereof s ha ll n ot accrue until Developer h as provided the C ity En g in eer with written n otice of Develo p e r 's inte nt to a bando n or oth erwise n o t comp lete req uire d o r agreed upon Public Improvements. 5. GRADING. Developer agrees that a n y and a ll grading done o r t o be do ne in co njun ction w ith construction of the Public Improvements or development of Tract No. 72996 s ha ll conform to all federa l, state , and local laws, o rdinances, re g ul ation s, and oth e r requ irements, in c lu ding Ci ty 's grading regu latio n s. Al l grading, land scaping, a nd constru ctio n activ ities s ha ll be pe rformed in a m a nner to contro l e ros io n a nd prev ent fl ood in g pro bl ems. The City Eng in eer s ha ll have the authority to require eros io n plans t o prescribe reasonab le controls o n th e method, manner, and time of grading, la nd sca pin g, and con stru c ti o n activ iti es to prevent nuisances to surroundin g properties. Plans s hall in c lud e w ith o ut lim itation temporary drainage a nd eros ion contro l requirements , du st contro l procedures, restrictions o n truck and o th e r co nstru ct io n t raffic ro utes, no ise a batement procedures, storage of m aterial s and equipme nt, removal of garbage, trash , a nd refu se, secur in g the j o b s ite to prevent injury, a nd s imilar matte rs . In ord er to prevent damage to the Public Improvements b y improper drainage or othe r h azard s, t h e grad in g s hall be com pl eted in accordan ce w ith the time schedule fo r completion of the Publi c Improvements establi s he d by this Agreement, and pri or to City's approval a n d acceptance of the Publ ic Improvements and release of the Security as set forth in Secti o n 12.0 et ~·of thi s Agreement. 6. UTILITIES . Devel o per s ha ll provide utili ty services, includin g water, sewe r, p ower, gas, a nd te le pho n e service to serv e each parcel , lot, o r uni t of la nd w ithin Tract No. 72996 in accordance with a ll a pp licable federa l, sta te , and local laws, ru les , a nd r egul a ti o ns, in c ludin g, but no t limited to, the regu la ti o ns , sched ule s and fees of the ut iliti es o r agenc ies providing s uc h se rv ices. Deve lo per sha ll , at it s so le cost, ex pense, and l ia bility, pay a ll fees , c ha rges, a nd t axes ari s in g o ut of constru cti o n ofthe Public Imp rove ments, in c lu d in g, but not limi te d to, a ll pl a n c heck, des ign rev iew, e ng in ee rin g, in spectio n, and oth er serv ice fees, a nd any impact or co nn ec ti o n fees esta bli shed by C ity ordinan ce , resol uti o n, reg ul at io n, or pol icy , o r as establis hed by C ity re la ti ve to Tract No. 72996, o r as required by other gov ernm ental age nc ies havi ng jur isdict io n ove r Tract No. 72996 . 8. CITY INSPE CTION OF PUBLIC IMPROVEMEN TS . If t he Ci t y in s pecto r re qu est s it, t he Deve lo pe r at any t im e befo re acce pta nce of the P ub li c Imp roveme nts s ha ll remove or un cove r s uc h porti ons of t he fini s hed wo rk as may be di rected wh ic h have not prev io us ly been in s pect ed. ADMINISTRATIVE COSTS. The Security provid ed under this secti on m ay be re leased by w ritten a uth o ri zati o n of th e City E n g in eer after s ix (6) m o nt h s fro m the d a te Ci ty accepts th e final Publi c Improvements. The amount of s uc h Security sh a ll be red uce d by th e total of all stop n o ti ce o r m echanic 's li e n claim s o f which C ity is aware, plus a n amount eq ua l to twenty percent (20%) of s uch claims fo r reimbursement of C ity 's a nti cipated ad min ist rative and le gal expenses arising out of s uc h claims. 12.4 Additional Requirements . The s ure ty for a n y surety b o nds provided as Security shall have a current A .M. Best's rating of n o less than A :YIIl, be a b a nk o r ins ura n ce co mpa ny licensed to transact surety bu s in ess in Ca lifo rni a, and s ha ll be sati sfacto r y to City. As pa rt of t he obli gatio n secured by the Security and in addition to th e face amo unt of the Security, th e Developer o r its s urety s ha ll secure th e costs an d reasona bl e expenses and fees , in c luding reaso nab le attorney's fees a nd costs, incurred by C it y in e nfo rcin g the o bli gations of this Agreement. T h e Deve loper a nd its s ure t y stipul a te and agree that no c ha n ge, extension of time, a lte ration , o r add ition to th e t e rm s of this Agreement, the Publi c Improvem e nts, o r th e plans a nd s pecificatio n s for the Publi c Improvem e nts s h a l l in any way affect it s obli gati o n o n th e Security. 12.5 Form of Security. The eviden ce of the Security s h a ll b e provided o n the forms set forth in Attachment "C", unl ess oth er fo rm s are deemed acceptab le by th e City E n g in eer a nd the City A tto rn ey, and when such forms are completed to the satisfacti o n of C ity, th e forms a nd evidence of the Security shall be attache d hereto as Attachment "C" and in corp orated herein b y thi s reference. 12.6 Developer's Liability . While no action of Developer s h a ll be require d in o rd e r for City to re a li ze on its security under a n y Security in s trument, D eve loper agrees to coop erate w ith City to fac il itate C ity's re a li zatio n und e r a ny Security in strume nt, and to take no actio n to prevent C ity from such reali zatio n unde r a n y Security instrument. Notwith standing the g iving of a n y Security in s trume nt o r the s ubsequent ex pi ra ti o n of a n y Security in strume nt o r any failure by a n y s ure t y or financial in s tituti on to perform its obli gat io n s with res pect thereto, Developer sha ll be person ally li ab le for perfo rm ance und er this Agreement and for payment of the cost of th e labor a nd materia ls for the improvem ents required t o be constru cted or in stall ed he r e b y a nd sha ll , w ithin te n (I 0) days after written demand therefor, deliver to C ity such su b stitu te Security as City s h a ll require s atisfy in g the req uirements in thi s Section 12. 13. LIEN. As to Devel o per's default o n those o bli gatio n s for which security has been prov ided purs ua nt to Sectio n s 12.0 et ~· and 13 .0 of thi s Agree m e nt, C ity s hall first attempt to co ll ect aga in st s uc h security pri o r to exercis ing its ri g h ts as a contract li e nh o ld e r under this secti o n . 15. SIGNS AND ADVERTISING. D eveloper und e rstands and agrees to C ity's ordinances, regul atio n s, a nd requirements governi n g s igns and advertis in g structures. Develope r hereby agrees w ith and cons e nts to th e summ ary re m oval b y C ity, witho ut notice to Developer, o f a ll s ig ns o r o the r a dv ertising structures erected, placed , or s itu ated in v io lati o n of any C ity ord in a nce, re g ul a ti o n , or oth e r requirement. Re moval s ha ll be at th e expense of D eve loper and its s ure t y. D eveloper and it s s urety sh a ll indemni fy and ho ld City free and harm le ss from any claim o r dem a n d a ri s ing o ut of o r in c id e nt to s ig n s, adverti s in g s tructures , o r the ir rem ova l. 16. INDEMNIFICATION. Develo per shall d efend , ind e mnify , and h o ld ha rmless C ity, its e lecte d offic ia ls, officer s, e mployees, and agents fr o m a n y and a ll actua l o r alleged c la im s, dem ands, ca uses of action, li a bility , loss, dam age, o r injury, to pro pe rty or perso n s, including wro n gfu l death , w hether imposed by a court of law o r by administrative ac tion o f any federal , sta te , or local governmental bo d y o r agen cy, arising out o f o r in c id e nt to a ny acts, o mi ss io n s, ne g li gence, or w illful mi sconduct of Devel o per, its p e rsonnel , employees, agents , o r contractors in connection w ith or ari s in g o ut o f constru ctio n o r m a intenance o f the Public Improvem e nts, o r perform a n ce of thi s Agreem e nt. T hi s indemnificatio n includes, w ith o ut limitatio n, the pay ment o f all penalties, fines , judgments , awa rds, decrees, attorneys' fees, and re la ted costs o r expenses, and the re imbursement of C ity, its e lected official s , o fficer s, employees, a nd/o r agents fo r all le gal expenses a nd costs incurred by each of them. INSURANCE. 17.1 Tvoes; Amounts. Deve loper s ha ll proc ure a nd m a in ta in , and s hall req uire its contractors to procure and m a inta in , durin g co ns tructio n of a n y Public Improvement pursuant Page 9 of 15 to thi s Agree ment , in suran ce of th e type s and in the amo unt s described bel ow . If any of the Requi red In sura nc e contain s a gene ra l aggregate limit, s uc h in s ur a nce s hall apply se pa rate ly to thi s Agreement or be no less than two t imes th e spec ifi ed occurrence limit . 17 .1.1 G e n e r a l Li a bility . Devel o pe r and it s contractors s hall pr ocure and maintain oc curre nce vers io n ge ne ra l liabi li ty ins ur ance, o r e qu ivalent form, wi t h a combined single lim it of not less than $3,000,000 per occ urrence for bodily injury, perso nal injury , and propert y dam age. 17.1.2 Bus in ess A uto mo bile L ia bili ty . De ve lo per and it s contractors s ha ll pr oc ure and maintain bu s in ess a ut omob i le li abi lit y in sura nce, or equivalent form, with a combined s ing le lim it of no t less th an $1 ,000,000 per occurrence . De ve lope r and its cont ract o rs s ha ll procure a nd ma in ta in workers' compensati o n insu ra nc e wi th limits as required by the Labor Code of the State of California and empl oyers· liability in s urance with limits of not less than $1,0 00,000 per occ urre nce, at a ll tim es durin g whic h insured retain s employees. 17 .1.4 Pro fess io n a l L ia bili ty . For any consu ltant or other professional who wi ll engineer o r des ign t he Public Impro ve ments, liability in surance fo r errors a nd omi ss ions with limi ts not less tha n $1,000 ,000 pe r occ urre nce , sha ll be proc ur ed and ma intai ned fo r a per iod of five (5) yea rs follow in g c o mpleti o n of the Pub lic Improve me nt s . Such in s urance s hall be e nd o rsed to in clu de co ntr ac tu a l liability. 17.2 De du c tibl e . A ny deductibles or se lf-in su red retentions mu st be declared to and approved by City. At the opti on of Ci ty, eithe r: (a) the ins ur er s hall redu ce o r eliminate s uch deductibles o r se lf-insu red rete nti o ns as respects City, its e lected o ffi c ials , office rs, e mpl oyees, age nts, a nd volunteers ; or (b) Dev e lo per and its contracto rs s hall provide a financial g uara nt ee sa ti sfactory to C it y gua rantee in g pa y ment of loss es and re lated inve sti gat ion costs , c la ims , a nd administrati ve and defense e xpenses. 17 .3 A dditio n a l In s ure d ; Sep a ra ti o n o f In s ure d s . The Requir ed Ins ur ance shall name C it y, its e lected offic ia ls, officers, empl o yees , agents, a nd vo lunteers as additiona l in s ur ed s w ith re s pect to work pe rfonned by o r o n behalf of Devel ope r or its co nt ractors, in c luding mat e ri a ls, parts, or equ ipment furni shed in connection therewith . The Required In su ran ce sha ll contain standa rd se parati o n of insured pr ov is ions, and shall contain no spec ia l li mita ti ons on the sco pe of it s protect io n to City, it s e lected officials, officers, empl oyees, age nt s , and volunteers. 17.4 Primary In s ura n ce ; Wa iver o f S ubroga ti o n . The Required Insurance shall be primary with resp ec t to a ny in s urance or self-in s urance programs coverin g Ci t y, it s elected o ffi c ials , officers, emp loyees, agen ts , and vo lunteers. All po licie s for the Required In s urance sha ll pr o vide tha t the in s uranc e compa ny wa ive s all ri gh t of r ecove ry by way of s ub roga ti o n against C it y in connecti o n with an y damage o r harm covered by s uc h pol icy. 17 .5 Certifica tes; Ve rifi ca ti o n . Develope r a nd it s contractors sha ll furnish C ity with origi nal ce rtificate s of insurance and end orseme nts effecting coverage for th e Required In s uran ce. Developer a nd its contractors shall maintain the Required In suran ce for the term of t his Ag reement and s ha ll re place any certificate, po lic y, or endorseme nt w hich will exp ire pri o r to that date . Bes t ratin g of a t least A:Vl ll. 18. DEFAULT; NOTICE; REMEDIES . 18.1 Notice . If Devel o per negl ec ts, refu ses, or fai ls to fu lfill or tim e ly comp lete any ob li gati o n , term, or conditi on of this Agr ee me nt , or if C it y determines there is a vio lati o n of any federal, st ate , or loca l law, o rdinance , regulati o n, code, standard , or other requirement , City may at an y time th ereafte r d eclare Developer to be in defa ult or v io lat ion of thi s Agreement and make wr itt en demand upon Developer or its s urety, o r both , to imm ediately remedy the default or vio lati on. Deve lo per sha ll commence the work required to remed y the default o r vi o lati on with in ten (I 0) days of the written demand from th e C ity . If the defaul t or v io la t ion constitutes an imm edi ate threat to th e public heal th , sa fet y, o r we lfare, City ma y pr ov id e t he de mand verbally, and Develo per shall commence the required work wit hin twenty-four (24) hour s thereof. Imm ediate ly upon C it y's issua nce of th e demand to reme dy the defa ult, Developer and it s surety shall be liable to City for all costs of con struction and in sta llation of the Public Improve me nt s and a ll oth er ad mini str ative costs expe nses as pr ov ided for in Section 9.0 of th is Agreement. 18.2 Failure to Remedy; City Action . If the work requ ir ed to re med y the noti ced defau lt or v io lati o n is no t dili gentl y prosecuted to a sub sta nti al co mpl e tion acceptab le to C it y within a rea so nabl e time des ignated by the City, City ma y comp lete a ll remainin g work, arrange for th e co mpletion of a ll remainin g work, and /o r conduct suc h re medi a l activity as in its so le and absol ut e discreti on it bel iev es is required to rem e dy th e default or violation. A ll s uch wo rk o r re medial act ivit y s hal l be at the so le a nd abso lute cos t, ex pense , and liability of Developer and its suret y, w ith out th e necess it y of givi ng any further notice to Deve loper or sur ety. C ity 's right to ta ke such act io ns s ha ll in no way be limited by the fact that Developer or its s ure ty ma y have constructed any, o r no ne of the required or agreed up o n Public Impro ve ment s at the tim e of C it y's demand for perfo rm ance. In the eve nt C it y elects to complete or arrange for com pl eti o n o f t he rem ai nin g wo rk and improvements, C ity ma y require a ll work by Developer o r it s s ur ety to cease in ord er to allow adequat e coordinat ion by C ity.
