Forbes, AICP , Community Development Director ~ By : Hesty Liu , AICP , Associate Planner SUBJECT: FINAL SUBDIVISION MAP APPROVAL FOR TRACT MAP NO. 66051 , A SUBDIVISION PROJECT FOR THE CONSTRUCTION OF FIVE DETACHED CONDOMINIUM UNITS AT 5138-5148 SERENO DRIVE RECOMMENDATION: The City Council is requested to : a) Receive the Subdivision Improvement Agreement (Attachment "A"); b) Approve the final subdivision map for Tract Map No . 66051 (Attachment "B"); c) Authorize the City Manager to execute the Subdivision Improvement Agreement; and d) Authorize the City Clerk to certify Tra ct Map No . 66051 . BACKGROUND: 1. On December 7 , 2007 , the City received an application proposing a subdivision project consisting of five detached condominium units for the property located at 9114 Blackley Avenue (the project address has since changed to 5138-5148 Sereno Driv e). 2. On December 12 , 2007 , the submitted tentative tract map was distributed to the Los Angeles County Department of Public Works and Fire Department for comments . 3 . On October 14, 2008 , at a noticed public hearing , the Planning Commission reviewed and approved the tentative tract map . City Council December 15 , 2015 Page 2 of 3 4 . On November 18 , 2008 , at a noticed public hearing , the City Council rev iewed and approved the tentative tract map. 5. On December 2 , 2014 , the Declaration of Covenants , Conditions and Restriction (CC&R) prepared for the project was approved by the City Attorney . 6 . On January 29, 2015 , the City Engineer signed the final map i ndicating that the final map has satisfied the state Subdivision Map Act. 7. On November 3 , 2015 , the developer submitted the required security depos it and signed the Subdivision Improvement Agreement. ANALYSIS: The tentative map for the project was approved in 2008. The approval of the tentative map was based upon the conclusion that the project would be consistent with the General Plan and the Zoning Code . The approved tentative map was granted an initial life of two years from the date of approval which was set to expire on November 18 , 2010 . However, under the provisions of AB 333, AB 208, and AB 116 passed consecutively by the state to allow legislative extensions for an approved tentative map ; the approval of the tentative map was automatically extended to November 18 , 2016 . Now the developer is requesting that the City approve the final map . The final map has been rev iewed and signed by the City Engineer, who certifies the map for technical accuracy and compliance with the Subdivision Map Act. The developer has signed the Subdivis ion Improvement Agreement and submitted the security depos it for the street improvements . Approving the final map will allow the developer to fina lize the subdivision map and start construction of the project. CITY STRATEGIC GOALS: Approval of final Tract Map No . 66051 will further the City 's Strategic Goal of Economic Development. Pursuant to C ity Ordin ances and t he app licable provis ions of the Map Act, Developer and City enter into t hi s Agreement fo r the timely construction and completion of the Public Improvements and the furn is hin g of the security t herefor, acceptable to the City Engineer and City Attorney, for Tract No. 66051. . P UBL IC IMPROVEMENT S. D eve loper shall construct or have co ns tr ucted at its own cost, exp ense, and liability the Publi c Improvements, as defin ed herein , w ithi n t he tim e and in the m atm er requ ir ed u nder thi s Agr eem e nt. Co nstru cti on of the Pub lic Improve men ts sha ll include any tr ansit ions and/or other incident al work deemed n ecess ary for dr ainage or publ ic safet y. The D evelop er s hall be respon sible fo r the re pl acement, relocation , or removal of any co mp one nt of any irri gation water or sewer system in co nflict with the constru ctio n or in stallatio n o f the P ublic Improvem en ts. S uch replaceme nt, re locati on , or r em ova l shall be p erfmmed to th e comp lete s atis faction of the C ity En gineer and the owner of su ch water or sewer sys te m. D eveloper furth er promises and agrees to provid e a ll equ ipment, tools, materi als, la bor, tests, design wo rk, and engineering servi ces necessar y or r equir ed by C ity t o fu ll y and ad equ ate ly c o mplete the P ublic Imp rovements. 2 .1 Prio r Partial Con stmction of P ublic I mproveme nts . Prior to com mencing an y work , D eveloper s ha ll , at its sol e cost , expense, an d lia b ili ty, obtain all n eces sary permits a nd approva ls and give all necessary and inc id ental notices re quired f or the lawful c onstructio n of the Public Improvements and p erform an ce of Develop er 's o bli gati on s und e r t hi s Agree ment. Deveiop er shall c o ndu ct the work in fu ll co mp liance w ith t he regu lati ons, rules, a nd other r equireme nt s co nta in ed in anY p erm it or approv al issue d to Dev e lop er. Prior t o commencin g a ny wo rk, Develop er s hall fil e a written statement with the Ci ty Clerk and t he City E ngineer, signed by Developer an d each utility w hich will prov ide uti lity service to the Prop erty, attesting that Develop er has m ade all d eposits .legall y requ ir ed by t he utility for t he extens ion and prov is ion of ut ili ty se rvice to th e P roperty. · 2 .3 Pre-app roval of P la ns and S pecific ations . D eveloper is pro h ibited fr om com menc in g work on any P ub lic Improvement u nt il a ll plans and sp e c ificat ions fo r such P ub lic Improve me nt have bee n su bmitted to a nd app roved by th e C ity E ngineer, or hi s or her des ign ee . Approva l by the C ity E ng ineer sha ll no t relieve Develop er from ensuri ng th a t a ll Publ ic I mprovements confo rm with a ll o th er requirem ents an d stan dard s set fo rth in thi s Agreement. 2.4 Quality of Worl\:; Co mpliance With Laws and Codes . T he co nstru ction pl an s and spe cific at ions for t he Pu bl ic Im p rove ment s sha ll be p repar ed in accordanc e w it h a ll Page 3 of l S applicab le fed eral, state and local laws, ordinances, regul ation s, codes, sta nd a rds, an d oth e r req u ire m ents. The Pub l ic Im provem ents shall be completed in accordance w ith a ll approved maps, plan s, specificat ions, standa rd drawings, and sp e cial amendments t he reto o n fi le with City , as well as a ll applicabl e fe deral, state , and loca l laws, o rd ina nces, regu lations, co des, sta ndards, and other requ irements app lica ble at the time work is actuall y commenced. 2 .5 Standard of Performance . D eve loper and its contract ors, if any , shall perform a ll work require d to construct t he P u bli c Improvements under t his Agreem ent in a s ki llfu l and workmanli ke mann e r, an d cons istent w it h t he s tand ards genera ll y recogn ized as be ing e mp loyed by p rofess ionals in th e same di sc ip line in the State of Cali fom ia. Deve loper re presents and maintain s that it or its co ntractors shall be ski ll ed in the pr ofessional call ing necessary to p er form the work. Developer warr ant s that all of its emp loyees and contr actors sha ll have sufficient s k ill a nd ex per ie nce to p erform th e work assigned to th em, and that they sha ll h ave all lic enses, permits, qu al ificati on s an d approvals of whatever nature that are legall y req u ir ed to p erform th e work, and that suc h li ce nses, p erm its, qualifications and approvals sha ll be mainta ine d th ro ugho ut th e t erm of thi s Agreem ent. · 2 .6 Alterations to Improvements . All wo rk shall be d o ne and improvements made and completed as shown on approved plans and specificat ions, and any subsequent alterat io n s th ereto . If during th e co urse of co nstru ction and in sta ll at ion of th e Pub li c Improvements it is determ ined t hat th e pu b li c interest requires alt eratio ns in the Public Im provem ents, Developer s ha ll underta ke such design an d co nstructi on changes as may be r eason a bly required by Ci ty. An y and a ll alter ation s in the plan s and specifi cation s and t he P ubl ic Improvements to be co mp lete d m ay be accomplished w ith out g iv ing prior no ti ce thereof to D eve lop er 's su rety fo r thi s Agreem ent. 2 .7 Other Obligations Referenced in Co nditio ns of Tentative Ma p A pprov al. In additi on to t he. forego in g, Develop er sha ll satisfy all of th e co nd itions of app rov al on the tentative map for the Pr operty . The condi t ion s of a pproval w h ich have n ot been ·satisfi ed prior t o t he date of this Agreement a re identifie d on Exh ibit "D" here~o . 3. MAINTENANCE OF PUBLIC IMPROVEMENTS AND LANDSCAPING. C it y sha ll n ot be respo ns ibl e or liab le fo r t he m a in tenance or care of th e Public Improvements until C ity form ally approves and accept s th em in accorda nce w ith its policies and procedures . City sha ll exerc ise no contro l ove r the Pu bli c Improvem ent s u nt il approved an d accepted. Any use by an y person of the Public Imp rovements, or any pmtion t her eof, shall be at the sole an d exclusive ri s k of the D evelop er at all ti mes prior to City's a cceptance oftbe Publ ic Improvem ents. Develop er sh a ll m a intai n a ll the Publ ic Imp rovements in a state of good re p a ir until the y are compl eted by D eveloper and approved an d accepted by Cit y, and unt il the security fo r the p erfmman ce of thi s Agr eement is re leased . Main te nan ce shall includ e, but shall not be limited to, r epair of pavement, curbs, gutte rs, s idewa lks, s ignals, parkways, water mains, and sewers; ma intain in g all landscap ing in a vigoro u s an d t hri ving co nd it ion reaso na bl y acceptab le t o City; removal of debris from sewers and stor m dr ains; and sweeping, re pai r in g, and ma inta ining in good and safe condi ti on a ll street s an d street i mprovements. It sh all be Deve loper's respons ib ility to initiate all maintenance work, but if it shall fa il to do so , it s ha ll promptly perform s uch maintenance work when notified to do so by City. I f Developer fails to properly p rosecute it s maintena nce ob li gation under thi s section, C ity may do all wo rk necessary for s uch m ai nten ance and th e cost thereof shall be the respons ibil it y of Deve lop er and its s urety und er th i s Agreement. City sh all no t be re spon s ibl e or Page 4 of 15 l iable for any damage s or injury of any na ture in any way related to or cau sed by t he P ub lic Improvem ents or their condition p r ior to acceptance. 4. CONSTRUCTI ON SCHEDULE. Un less exte n ded p ur su ant to thi s Section 4.1 of thi s Agreem ent, Deve loper sha ll full y and adequ ately co mplet e or have co mpleted t he Publ ic Im proveme nts w ith in 2 years (24 mo n ths) fo ll ow ing approval of t h e fin al map for T ract N o . 660 51 or prio r t o t be fi nal d a t e of the construction perm its, w hic hever occurs firs t . 4 .1 Extensions. C ity may, in its so le and a bso lute discretion, p ro v id e Deve lo per with additional time within w hi ch to complete the P ublic Imp rovements . It is u nde rst ood that by prov iding the Security requ ir ed under S ecti on 12 .0 et ~· of this Agreement , D evelo per and its surety co nsent in advance to an y ext ensi on of time as may be given by Cit y to Develop er, and waives an y and a ll rig ht to n otice of s uch ex ten sio n (s). Dev eloper's ac ce ptance of an ext ensio n of time granted by C ity shall c onstit ute a waiver by Develop er and its sm ety of all d efense oflaches, es topp el, st atutes oflimitations, and other li m it ati ons of action in any action or proceeding fil e d by City follo w in g the date on w hich the P ubl ic Im provements w er e to have been compl eted hereund er. In addition , as cons ider atio n for grant in g s uch ext en sio n to D evelo per, City r eser ves the right to review the p rov is ions of this A gr eeme nt, includ in g, but not limited to, the const ructi on standards , th e co st est imat es esta bli shed by City, an d the suffi ciency of the improvem ent security provi ded. by Dev elo p er , and to require adj u stm e nts thereto w hen warranted accord in g to City's re asonable di scretion . 4 .2 Accrual of L im itatio ns Period . A ny limitati ons p eri od provided by law r e lat ed to br each of thi s A greement o r th e telm S th ereof sha ll not a ccru e until D evel op er has p rovided th e C ity Eng ineer with w r itten noti ce of D eveloper 's intent to aba nd on or o~h erwi se no t com p lete re quired or agreed upo n P ublic I mp rovements . 5 . GRADING. Develop er agrees th a t any and all grad in g done or to be d one in conjunct ion w ith construction of the P ubl ic Imp rovements or d evelopment of T ract No. 66051 shall conform to a ll f e d eral, state, and local laws, ord in ance s , regu latio n s, and other require ments, includ in g C ity 's grading r egulati on s . A ll gr ad ing, landscaping, and co n str uction activiti es shall be p erfm~med in a manner to con tro l erosio n and prevent fl ooding prob lem s . T he City E ngineer sha ll h ave the authority t o r e q uir e eros io n pla ns to prescri be reaso nable contr ols on the method, manner, and time of gr adin g, land scaping, and co ns truction a ctivities to p revent nui sances to s urro undin g p r operties. Plans sha ll in clude without lim itati on temp orary dra inage and er osion contro l r equirement s , du st contro l proce dures, r estrictions o n truck and o th er con stru cti o n traffic ro utes , n o ise abatem ent proced ures, st orage of materials and equ ip men t , rem oval of garbage , trash, and refuse, securing the j o b site to prevent injury , and s imi lar m atter s . In order to preve nt damage to the Public Improvem ent s by imp rop er drain age or ot he r ha zard s, th e gradin g sh a ll be compl eted in ac cordance with the ti m e schedu le for completi on o f the Publ ic Improvement s esta b li s hed by t his Agreement, and prior t o C ity's ap p roval and acceptan ce of the P ubli c Im prove m ents and r e le a se of t he 'Security as set fmth in Sect ion 12 .0 et se q. of thi s A greeme nt. 6 . UTI LIT IES . D evelop er sh a ll p rovide ut ility se rvices, i ncl udi ng wat er , sewer, and p ower, gas , a nd t e lephone service to ser v e each parce l, lot, or unit of land w ithin T ract No. 66 051 in acc ordance w ith a ll applica ble feder al, s tate, and loca l la ws, r ul es, and regul ations, incl udin g, but not li m ite d to, the reg ul at ions, sched ules and fees of the util it ies or agencies prov idi ng such services . Except for co mm ercia l or ind us tr ia l prop erti es, Developer shall a lso provide cab le Page 5 of 15 .----------~- televis ion facilities to serve each pa rcel, lot, or unit of land in accordance with all app licab le federal , state, and loca l laws, rul es, and reg u lati ons, including, but not limited to, t he require m e nts of th e cable company p ossessi ng a va lid franchi se w ith C ity t o provide such serv ice w ithin City's juris dictional l imits. Deve loper s ha ll , at its sole cost, ex pe n se, and liabi lity, pay all fees, charges, and taxes aris in g o ut of cons truction ofthe Publ ic Improvements, includin g, but not li mited to, all plan check, de s ign rev iew, eng in eering, inspect ion, an d other serv ice fees, and any impact or co nnection fees esta b lishe d by C ity ordinance, reso luti on , reg ul at ion, or poli cy, or as establ ished by C ity relative to T rac t No. 66051, or as r eq uired by other gove rnm ental agencies having jurisdiction over Tract No . 66051. 8. CITY INSPECTION OF PUBLIC IMPROVE MENTS. Deve loper s ha ll , at its so le cost, expense, and liability, and at a ll t imes du rin g construction of the Pub lic Improvements, maintain reasonable and safe fac ilities a nd prov ide safe access fo r in specti on by C ity of the Public Improvements and ar eas where constructio n of the Public Improvements is occurrin g or w ill occur. If the C ity in spector requ ests it, the D eve loper at any tim e befo re accep tance of the Publ ic Improvement s shall remove or un cover s uch portions of the fini she d work as m ay be directed w hich h ave not previous ly been in spected. After exam inati on, the Develope r s hall restore said p ortions of the work t o the standards requir ed h ereund er. In spection or superv is ion b y the City shall n ot be considere d as d ir ect contro l of th e indiv idual workmen on the j o b site. C ity's inspector sh a ll h ave the authority to stop any an d a ll wo rk not in .accord ance w ith the r eq uirem en ts co ntained o r refe renced in thi s A greem ent. T he in spectio n of the work by C ity sha ll not r e lieve Developer o r the cont racto r of an y o bli gati on s to fu lfi ll th i s Agreement as herein provi ded, and uns uitab le ma terial s or work may be rej ected notwith stand i ng th at s uch materi a ls or wo rk may have been previ o us ly overlool<ed or accepted. 9 . ADMINISTRATIVE COSTS. If D eveloper fails to construc t and insta ll a ll or a ny p art of the PubHc Improvements within th e time requ ir ed by thi s Agreement,. or if D eveloper fai ls t o comply with any othe r o bliga tio n conta in ed here in , Developer and it s surety shall be j ointly an d severally li a bl e to C it y fo r all admin is trative expenses, fe es, and cos ts, incl u ding reas onabl e attorney's fees and co sts, incurred in ob tainin g compl iance with th is Agreeme nt or in processing a ny legal action or f o r a ny other remed ies p e rmitted by law. 10. ACCEPTANCE OF IMPROVEMENTS; AS-BUILT OR RECORD DRAWINGS. Upon th e total or partial acceptance of the Pub lic Improvements by C ity, Deve lop er sha ll file w ith the Recorder's Offi ce of the County of Los Angeles a no ti ce of com pl eti o n for the accepted P ubl ic Improvements in accord ance w ith Ca lifornia C iv il Co de s ection 3093, at w hi ch time the accepted Public Imp rove ments s hall beco me the so le and exclu sive p roperty of C it y w ithout payment therefo r. l0.2 C ity Acce pta nce o f Public Improvements . I [ Tract No . 66051 was a pproved and record e d as a s in g le phase m a p, C ity shall not accept a ny o ne or more of th e Pa ge6ofl5 improvements until all of the Public I m provements are comp leted by Developer and approved by Ci ty . Issuance by City of occupancy perm its for any bui ldings or structures located on the Property sha ll not be construed in any manne r to cons titute City's acceptance or approval of any Public Improve ments. 10.3 Dev eloper's Obligation to P rovide As-Built or Record D raw ings. Notwith st anding th e fo r egoi ng, City may n ot accep t any P ubli c Improvements u nl ess a n d unt il Developer provides one ( 1) set of "as-bu ill" or record drawings or plans to the C ity Engineer fo r a ll such P u bl ic I mpr ovements . T he d rawi ngs s ha ll be cer t ifie d a nd sha ll refl ect t he cond itio n of the Publi c Improvements as constructed , w ith a ll changes incorporated there in. 11 . WAH.RA NTY AND G UARANTEE . Developer hereby warrants and guarantees a ll Public Improvements against any defecti ve work or labor d one, or defective m ateri als furnished in th e performan ce of th is Agreemen t, in c lud ing the ma in tenance of a ll landscaping within the Property in a v igoro us and thriving condit io n reasonab ly acceptable to C ity, fo r a period of one (1) year fo llowing completion of the work a nd accepta nce by C ity. During t h e Warr anty, Developer sh a ll repair, repl ace, or reconstruct any d efective o r othetw ise unsatisfactor y portion of t he Publ ic Improvements, in acco r dance w ith th e c unent ordi nances, reso lutio n s, regul ations, codes, standar ds, o r other requ irements of C ity, and to th e app roval of the C ity Eng i neer. A ll repairs, rep lacem ents, o r reconstruction duri ng the Warranty sha ll be at the sole cost , exp ense, and l iab il ity of Develop er a nd it s s ur e ty. As t o any P u bl ic Imp rovem e nts which have been r epair ed , r epl ace d , o r r econs tru cted dur in g the Warr a nty, D eveloper and its surety h ere by agree to extend the W arran ty for an additional one (1) year p eri od fo ll owin g City's a cceptance of t he r epaired , rep laced , o r recon str ucted P ub lic Improvem e nts . Nothing herein sha ll reli eve Developer from any o th er l iab il ity it may have under feder a l, state, o r l ocal law to r epair, rep lace, or reconstruct an y P ublic Impr ovement fo ll owing expiration of the Warranty or a ny exten sion the reof. Devel oper's warranty obligation under this sectio n s ha ll survive the exp irat ion o r termination of th is Agreement. 12. SECURITY; SURETY BONDS. Prior to C ity's approval and executio n of this Agreement, Develop er shall provide C ity w it h surety bonds in the amounts and under the terms set forth bel ow. The amo !.l nt of the Secur ity s ha ll be base d on t h e C ity E ng ineer's E stimated Costs. If C ity det ermines at any ti me p rio r t o Devel oper's comple ti on of th e P ubl ic Im pr ovements u nde r Section 4 [Co nstr uction Schedu le], in its sole and a bsolute d iscr et io n, that the Esti mated Cost s h ave ch a n ged , D evelop er shall adj us t the Security in t he am ount re quested by C ity. Develop er's com p li ance w ith this prov is ion (Sectio n 12 .0 et ~.)s h a ll in n o way limit or mo d ify Devel oper's ind emnification o bli gat io n prov ided in Secti o n 16.0 of t hi s Agr eement. 12 .1 Pet·formance B ond . To guarantee the faithful performance of the P u bli c I mprovements and a ll the provisions o f thi s Agr eement, to protect C ity if Deve loper is in defau lt as set forth in Sectio n 18 .0 et seq. of thi s Agreement, and to secure Devel oper's one-year guarantee and warranty of the P u bl ic Improvements, inc lud ing the maintenance of all landscaping in a v igorous and thriv in g co n dition , Developer sha ll provide C ity a faithfu l performance bond in the amount ofTWENTYSIXTHOUSANDNINEHU NDRED ($26,900), wh ich s um shall be no t less th a n o ne hund red percent (100%) of the E stimated C osts. 12 .2 Partial Release. A ll Security p rovided und er t hi s section sh all be released at the end of th e Warranty p e riod, or any extension thereof as prov ided in Section 11.0 of t h is Agreement, provided that D evelo p e r is not in defau lt on any pr ovis io n of thi s Agreement o r condition of approval for Tract No. 66051. 12.3 Labor & Materia l Bond. To se cure payment to the contractor s, su bco ntractors, l abor er s, material men, and other persons furn ish ing labor, materials , or e qQipm ent for performance of the Pub li c Impr ovements and th is A greement, Developer sha ll provi de C ity a labor and materia ls bond in the amo unt of TWENTYSIXTHOUSAND NINEHUNDRED ($26,900), which sum sh all not be less t ha n one hu ndred percent (100%) of th e Estimated Costs . T h e Security p r ovided under this sectio n may be released by written author ization of the City E ngine er after s ix (6) mon ths from th e date Ci ty accepts the fina l Publi c Improvements. T he am ount of s u ch Security sha ll be redu ce d by the tota l of all stop n otice or mechanic's lien claims of which C ity is awar e, plus an an1o unt equal to twen ty per cent (20%) of s uch cl aims fo r re imbu rsement of City's an ticipated a dministrative and legal ex penses aris ing out of su ch claims . 12.4 Additional Requirements . The surety for any s urety bonds provided as Security sha ll h ave a cu rrent A.M. B est's rat in g of n o less th an A : V III, be a b ank or in s ura nce company licen sed to tran sact s uret y business in Cali forn ia, an d shall be sat isfactory to City . As p art of the obli gati on secured by the Security an d in add it ion to the face amount of the Sec urity, t h e Developer o r it s surety s ha ll secure the co sts and reasonab le expen ses and fe es, inclu di ng r e.asonab l e attorney's fees and costs, in c urred by City in enf orcing the o bl igations of thi s Agreement. The Developer and its su rety st ipulate and agree that n o cha nge , ext ension of tin1e, a lter ation, ·or additi on to the te rms of thi s Agreement, the P ubli c Improve ments, or t he p lan s and specifications fo r the Pub lic Imp rovements sha ll in any way affect its o bli gation on the Security . 12.5 Form of Security. The evidence of t he Security sh all b e provided on the fo rm s set forth in Attac h me nt "C", unl ess oth er form s are dee med acceptab le by the City En gineer an d the City A ttom ey, an d when s uch form s are comp leted to the sat isfactio n o f City, the forms an d evidence of t he Security sh all be att ach e d h ereto as At tachment "C" a nd in corporated herein by this referen ce. 12 .6 Develo per's L ia bility. Whil e no acti on of Developer sh a ll be re qu ired in order for City t o realize on its secu.rity under any Security instrument, Developer agrees to cooperate with C ity t o faci litate City's reali zation under any Security instrum ent, and t o take no act ion to pre vent City from s uch rea lizatio n under a ny Securi ty· instrun1ent. Notwith standing the g iving of a ny Security in strument or t he s u bsequent expirat io n of any Security in st rume n t or any failu re by an y s uret y o r fi nancia l in stit uti on to perform its .ob li gatio n s wi th respect thereto, Developer shall be p ersonally liable fo r perfo rm an ce under this Agreement and for payment of th e cost of the labo r and material s for th e im provements required to be co nstructed or in sta ll ed here by and sha ll , w ithin ten (10) days after written d emand theref o r, deliver to City s uch substitute Security as C ity sha ll require satisf yi ng the requi rements in t his Section 12 . 13. MONUMENT SECURIT Y . P r ior to C ity 's execution of thi s Agreement, to guarantee payment to the enginee r or surveyor fo r the settin g of al l su bd ivis io n bo und aries, lot Pa ge 3 of 15 corner s, and s treet centerline monuments for Tract No. 66051 in compli ance with the app li cab le prov is ions of C ity 's Muni cip al and/or Deve lopment Code ("Subdivision Monumen ts"), Developer shall deposit cash with City in the amount of zero Dollars ($0), whic h sum shall not be less th an one hundred p ercent (100%) of t he costs of settin g the Su bdivi s io n Monum en ts as determined by the C ity E ngineer. Said cash deposit may be re leased by written a uthori zati on of the C ity E n g inee r after a ll re quired Subdiv is io n Monume nts are accepted by the C ity E ng in eer, C ity h a s received written acknowled gment of payme nt in full f rom the en g ineer or surveyor who set t he S ubdi v is ion Mo nu ments, and provided D eve loper is not in de fa u lt of any provision of t hi s Agreement or condition of approval for Tract No. 66051. 14. LIEN. To sec ur e the t ime ly performance of Developer's ob li gations under this Agreement, including those obligation s for w hi c h security h as been provided pursuant to Sections 12 .0 ct ~· a nd 13.0 of thi s Agreement, D eveloper hereby creates in favor of C ity a li en agai nst a ll portions of the Property not dedicated to City or some other governmenta l agency for a public purpose. As to Developer's default on th ose o bli gations for which s ecurity has been provided purs u ant to Sections 12.0 et seq . and 13 .0 of this Agreeme nt, C ity shall fir st attempt to coll ect agai11st s uch security prior to exet'c isin g it s ri ghts as a contract lienholder under thi s sectio n. 15 . SIGNS AND ADVERTISING. D eveloper understand s and agrees to C ity's ordinances , r egulation s, and requirements govern in g s igns and advertis in g structures. Developer hereby agrees w ith and consents to the s umm ary re mova l by City, without not ice to Developer, of a ll s ig ns or oth er adverti s in g structu res er ec ted , placed, o r s itu ated in vio la ti on of any City · ordinance, regulation , or other re quirement. Re mova l shall be at the expense ofDeveloper and its s urety. Developer and it s s urety s ha ll ind emn ify an d hold C ity free and harml ess f rom any c laim or demand a ri sing out of or in c id ent to signs, advertising stTuctures, or the ir re mova l. 16. INDEMNIFICATION. De vel op er s hall defend, indemn ify, a nd hold harmless C ity, its e lected officia ls, officers, employees, and age nts from any an d all actua l or alleged claims, d e mands, causes of action, li a bility, loss, dam age, or injur y, to property or perso ns , includ in g wron gfu l death, whether imp osed by a co urt of law o r by admini strativ e action of any federa l, state, or loca l governmental body or agency, a ri sing out of or incide nt to any acts, omiss ions, n eg li gence, or wi llful mi sconduct of Deve lope r, its p erso nn el, e mployees, agents, or contractors in connection w ith or ari s ing o ut of co nstructi on or maintenance of the Public Improvements, or performance of this Agreem ent. This indemnification includes, w itho ut lim itation , t he payment of a ll penalties , fi nes, j udgments, awa rd s, decr ees, attorneys ' fee s, and rel ated costs or ex pen ses, and the re imbursement of City, its elected officia ls, offic ers, employees, and /or a gents for all legal expenses and cos ts incurred by each of them . This indemnifica ti on exclud es on ly s uch p ort ion of any claim , demand, cause of actio n, liab il ity, loss, damage, p enalty, fine , or injury, to property or person s, including wrongful death, w hi ch is caused solely and exclu s ively by the gross n egli gence or willful mi sconduct of City as dete rmin e d by a comt or admini strat ive body of co mp etent jurisdicti on.· Developer's ob li gation to ind emnify City s hall su rvive the exp iration or termination of this Agreement, and shall not be restricted to in s urance proceeds, if any, received by City, it s e lected officia ls, offi cers, employees, o r agents . 17. INSURANCE . 17.1 Types ; Amounts . Developer s hall proc ure an d maint ain , a nd sha ll re quire it s co nt racto rs to procure and ma inta in , d u rin g constr ucti on of a ny Publi c Im provement pur s uant Page 9 of 15 to th is Agreem ent, in sur ance of the types and in the amo un ts de scribed be low. If any of the Required Insuran ce contains a general aggregate limit, such in s urance sha ll ap ply separate ly to th is Agreement or be no less th an two t imes t he spec ifie d occurre nce lim it. 17 .1.1 General" Lia b ili ty . D evelo per and its contra ctors sh a ll procure and m a intain occurre nc e vers ion genera l lia bi lity in s ur ance, or equi vale nt for m, wit h a combined s in gle limit of not less than $3,000,000 per occurrence for bod ily inju ry, pers ona l injury, and propetty d a mage. 17 .1 .2 Bu siness Automobile L iability. D evel op er an d its contractors shall procure a nd maintain bu s iness automobile lia bil ity in surance, or equivalent fo rm, with a combined s in gle li mit of not le ss than $1,000,0 00 per occunence. Such insurance shall includ e coverage fo r the ownership , operati on, ma in tenance, use, loading, or unloa din g of any ve hi c le owned, lea sed, hired, or borrowed by the in sured or for w hich the in s ured is respons ib le. 17 .1.3 Workers' Compensation. Developer and its contractors shall procure an d maintain workers' co mpensation in suranc e with li mits as r e quired by the Labo r Code of the State of Cali fornia an d emplo yer s' liability in suran ce with limits of not less than $1,000,0 00 p er occurrence, a t a ll times during w hich ins ure d ret ains empl oyees. 17.1.4 Professional L iab ility. For any co nsult ant or oth er profess ional who w ill engineer or d esign th e Publ ic Improvem e nts, li ability ins ur ance for errors and om issions w ith limits not less than $1,000,000 per occurrence,. shall be procured and ma intained for a p eriod of five (5) years followin g comp leti o n of the Pub lic Improvements. S uch ins urance shall . be endorsed to include contractual li abi lity. 17 .2 Deductibles. Any dedu ctjbl es or se lf -in sured retentio ns must be declared to and approved by C ity. A t the optio n of City, eith er: (a) t he in surer shall reduce or e limin at e su ch deductib les or self-ins ured retentions as resp ects C ity, its elected offici als, officers, emp loyees, agents, and volunteers; or (b) Develop er and its contract ors shall provide a financial guarantee satis factory to City guarant eei n g payment of losses and re lated investi gation costs, claims, and admini strative and defen se expenses. 17.3 Additional I nsured; Sepai'atio n of Insureds . T he Required In s urance shall name C it y, its elected officials , officers, employees, age nts, and volunteer s as a dditional ins ureds with respect to work perform ed by o r on behalf of Developer o r its contracto rs, including m at eri a ls, parts, or equ ipm ent fu mi shed in connection therewith. T he Required Ins ur ance sha ll · contain s tandard separation of in sured provisio ns, and shall co ntain no special limitati ons on th e scope of its p ro tec t io n to City, its elected of ftci a ls, officers , employees, age nts, and vo lunteers. 17.4 Primarv I nsurance; Waivet· of Subrogation. T he Required Ins ur ance sha ll be primary with re spect to any insurance or se lf-in s uranc e p rograms coverin g City, its elected official s, officers, empl oyees, agent s, and volunteers. A ll policies fo r the Requ ired Insurance shall p rovide th at the ins ura nce company waives all right of reco very by way of subrogati on against City in connection with any damage or barm co ve red by such po licy . 17.5 Certifi c ates; Ve rification . D evelo per a nd its contr actors s hall furni sh City w it h o ri g inal certifi cates of in sur a nce and endorsements effectin g coverage f or the Req uired [ns urance. T he ce rt ifica tes and endorsemen ts for each in s ur ance policy sha ll be s igned by a pe rso n Page 10 ofiS a uth orized by t hat in surer to bind coverage o n its behalf. A ll ce1i ificates and en dorsem e nts m ust be received and appr oved by City before wo r k purs uant to this Agreemen t ca n begin. City reserves t h e r ight to require complete, certified cop ies of all requir e d in surance policies, a t any time. 17.6 Term ; Cancellation Notice. Developer and its contract ors shall maintain the Required Insuran ce for the term of th is Agreement and shall replace any cert ificate , policy, or endorsement which will expire prior to t hat date . A ll po lici es shall be endorsed to provide that the Required Insu rance shall not be su spended, vo ided, reduced , canceled, or all owed to expire except on 30 days' prior written n otice to City. 17.7 Insurer Rating. Un less approved in writing by City, a ll Required Insurance s ha ll placed with ins urers licensed to d o business in the State of Cali fomia and with a current A.M. Best r ating of at least A: VIII. 18. DEFAULT; NOTICE ; REMEDIES . 18.1 Notice. IfDeveloper n eglects, refuses, or fai ls to f ulfi ll or t imely co mplete any obl igation , term , or condi ti on of this Agreement, or if City determi11 es the re is a vio lation o f a n y federa l, s tate, or local law, ordinan ce, regu lation, code, st andard, or other requirement, City may at any time thereafter declare Devel oper to be in defau lt or vio l a tion of thi s Agreement and m ake written d em and u pon Devel oper or its s urety, or both , to imme di ately rem edy th e defau lt o r vio lat io n. Developer sha ll commence t he wor k required to remed y th e defa ult or vio lation w ithin ten (10) days of the wr itten demand fro m t he City. If the defaul t or v iolati on constitutes an immediate th reat to the publ ic h ealth , safety, or welfare , City may provide the demand verball y, and Developer sha ll commence the r equi red work withi n twen ty-four (24) h o urs thereof. Immediatel y upo n C ity's issuance of t he de mand to reme.dy the d efau lt, Deve lop er and its s urety sh a ll be li able to City for all costs of con stru ct io n and install ation of the Publ ic Improvem ents and a ll o ther administrative costs expenses as p rovided for in Section 9.0 of this Agr eement. 18.2 Failure to Remedy; City Action . If the work required to remedy t h e n oticed defa ult or vio l ation is not di li gently prosecuted to a substantia l completi on acceptable to City within a reasona ble time designated b y the City, C ity may complete all r emaining work, arrange for the completion of all remaini ng work, and/or conduct s uch remed ial activity as in its sole and absol ute di scretion it believes is requi red to remedy the default o r v i olat ion. A ll suc h work or remed ia l activi ty sha ll be at th e so le an d absol ute cost, expense, a nd li ability ofDeveloper and its surety, wit hou t the necessity of g iv in g any f·urther notice to Developer or s urety. C ity's righ t to take s uch acti ons shall in no way be limited by the fact that Devel oper or its s urety may have const ructed any, or none of the required or agreed upon Public Improvem ents at the time of City's demand fo r perf ormance. In the even t City e lects to complete or ar range fo r completion of the remaining work and improvement s, City may require all work by Develop er or it s s urety to cease in ord er to all ow adequate coordination by City . Notwiths tand ing the foregoi n g, if c onditions preced en t for revers ion to acreage can be met and if the interests of City will not be p rejudiced t h e reby, City may also p rocess a reversion to acreage and thereafter recover from Deve lop er or its s urety the full cost and expense incurred. 18 .3 Other Remedies. No action by C ity pursuant to Sect io n 18.0 et seq . of th is Agreement shall pro hibit City fro m exercising any o th e r ri g ht or purs ui ng any other lega l or equitab le rem edy available under thi s Agreement or any federal , state, or local law. C ity m ay in st itute an act ion for d amages, injunctive reli ef, or specific perfonnance. 19. GENERAL PROVISIONS. 19.1 Authoritv to Enter Agreement. Each Pa rty warran ts that the individuals w ho have s igned th is Agreeme nt have th e legal power, ri ght, an d authority make this Agreemen t and bind each respective Patty. 19.2 Cooperation; Further Acts . The Parties s ha ll fu lly cooperate w ith one an other, and sha ll take any additional acts or s ign any additi onal doc um e nt s as may b e n ecessm·y, appropriate, or conv enient to atta in t he purposes of t hi s Agreement. 19.3 Con struction; References; Captions. It bein g agreed the Part ies or the ir agents have patticip ated in the preparation ofthis Agreement , th e lang uage of this Agreement shall be co nstrued s imp ly, according to its fair meaning, and not strictl y for o r aga inst a ny P a rty. Any term referencing time, days, or period for performance sha ll be dee med calen dar days and not work d ays . A ll references to Develop er include a ll p ersonnel, employees, agents , and subcontr actors of Developer, except as otherwi se specified in thi s Agreement. A ll references to City include its e lected offic ials, officers, employees, agents, and vo lunteers except as otherwi se sp ec ified in t hi s Agreement. The captio ns of the variou s artic les and paragraphs are for convenien ce and ease of re ferenc e only, and do not defi ne, limit, au gm ent, or describe the sco pe, content , or intent of thi s Agreem ent. 19.4 Notices. The forego ing shall be true w heth er City's actions are intentio nal or un intentio na l. Developer agrees to wa ive, as a def~n se, counterclaim or set off, any and all defects, irregu lar ities or deficiencies in th e authorization , execution or performance of the Public Improvements or t hi s Agreement, as we ll as t he laws, rul es, r eg ulations, ordinances or resolutio ns of C ity with regard s to the auth or ization, exec ution or performance of the Public I mprovements or this Agreement. 19.7 Assignment or T ransfer of Agreement. Developer sha ll not assign, hypothecate, or transfer, either directly or by operation of law, t hi s Agreement or any i11tere st herein without prior written consent of C ity. Any attempt to do so shal l be null and void, and any ass ignee, hypothecatee, o r transferee shall acquire no right or inter est by reason of such attempted a ssignme nt, hypothecation, or transfer. Unless specifically stated to the contrary in C ity's written consent, any assignment, hypothecation, or transfer shall not release or di sc harge Developer from any duty o r re sponsibi li ty under this Agreement. 19.8 Binding Effect. Each and all of the covenants and conditions s hall be binding on and sha ll inure to the benefit of the P arties, and their s uccess ors, heirs , perso nal representatives, or ass ign s . This sect ion shall not be construed as an authorizat ion for any Party to assign any right or obligati o n . 19.9 No Third Partv Beneficiaries. Ther e · a re no intend ed third party be neficia ri es of any ri ght or obl igation assumed by the Parties. 19.10 I nvalid ity; Severability.
