RESOLUTION NO. 16-9251
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF OPA-LOCKA, FLORIDA, RATIFYING THE
AGREEMENTS BETWEEN THE CITY OF OPA-LOCKA
AND E.R. BROWN ENTERPRISES, LLC EFFECTIVE AS OF
MARCH 30, 2016 (EXHIBIT "A"), AND ALLOWING
PAYMENTS UNDER THE SAME; PROVIDING FOR
INCORPORATION OF RECITALS; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, The former City Manager, David Chiverton, selected E.R. Brown
Enterprises, LLC to provide services as set forth in the professional services
agreement between the City and E.R. Brown Enterprises, LLC (EXHIBIT "A"); and
WHEREAS,The former City Manager, David Chiverton, authorized the work
and compensation under his purview and pursuant to Article VI Division 1 Section
2-315 (8) of the City Code of Ordinances; and
WHEREAS, It is in the best interest of the City to ratify the actions of the
former City Manager, and authorize the past due payments.
NOW THEREFORE BE IT RESOLVED THAT THE CITY COMMISSION
OF THE CITY OF OPA LOCKA, FLORIDA:
Section 1. The recitals to the preamble herein are incorporated by reference.
Section 2. The City Commission hereby ratifies the actions of the Former City
Manager, David Chiverton, with respect to the agreement (EXHIBIT "A") for
E. R. Brown Enterprises, LLC, including any payments for services rendered
thereunder.
Section 3. The City Commission hereby authorizes the City Manager to
tender payment to E.R. Brown Enterprises, LLC, for its past due invoice
(EXHIBIT "B").

Section 4. This Resolution shall take effect immediately upon adoption and is
subject to the approval of the State of Florida Financial Oversight Board.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT MADE THIS 30th DAY MARCH,2016 BETWEEN THE CITY
OF OPA LOCKA,FLORIDA(THE CITY)AND B.R.BROWN ENTRPRISES,LLC
(THE CONSULTANT).
Background:The City of Opa Locks desires to engage the services of Consultant to
represent said the CITY in its affairs as it pertains to interfacing with various Miami
Dade County Departments.An analysis and action plan has to be developed to address
issues with the City's declining Property Values,Property Exemptions and Value
Adjustments.Consultant will continue to work with the economic recovery team to
identify resources and develop processes to stabilize the City's Economic Position.
Moreover,the City of Opa Locka is desirous of implementing plans for future growth and
development that will positively impact the quality of life,general conditions of the City,
and economic opportunities.
1. The Consultant is tasked with the following responsibilities.
A. Will interface with Miami Dade County's Property Appraisers Office and Value
Adjustment Board on issues that impact declining Property Values,Exemptions
and Adjustments.
B. Will work in concert with the City Attorney's office to investigate,defend and
challenge applicants and general inquiries for adjustments and/or seek special
exemptions on properties.
C. Implement a strategic plan of action with procedures and guidelines to challenge
unscrupulous methods to avoid paying assessed property values.
D. Will continue to work with economic recovery team's plan of action to identify
additional revenue,eliminate debt and collect outstanding fees.
E.Will explore other economic and community development opportunities.
F. The Consultant will provide weekly written progress reports to the City Manager.
If requested Consultant will represent the City at meetings.

2. In consideration of the performance by the CONSULTANT for the service under
this Agreement,the City of Opa Loch agrees to pay:
A. The monthly fee of$5,000.00 and all funds must be paid by the fifteenth of each
month.Prior to any payment being made,the Consultant must submit an invoice
to the City for payment no later than the 10th day of each month.
B. Should the Consultant be required to travel outside of Miami-Dade County in the

3.This Agreement is .i. months with a start date of April 15,2015.The term and of
this Agreement can be attended via written notification by the City Manager.This
contract can be terminated by either patty upon 10 day notice in writing by either Party.
All funds due will be paid within 5 working days after that effective date of the
termination.
4.Consultant will abide by all State and Federal laws and Regulations in the conduct of
activities under this agreement.
5.Upon execution of this agreement all terms and conditions will be in full effect..
6.The City will provide all pertinent information necessary for the representation,
delivery and performance of services.
7.Nothing in this agreement shall be construed as an employer-employee relationship.
The Consultant shall not hold Itself out as an employee of the City.
8.This Agreement shall be construed in accordance with the laws of the State of Florida.
9,If a lawsuit is brought to enforce the terms of this Agreement,jurisdiction shall be
proper in a court of competent jurisdiction in Miami-Dade County,Florida.

10. If a lawsuit is brought to enforce the terms of this Agreement,the prevailing party
shall be entitled to attorney's fee,suit cost and other reasonable expenses.
11.If any provision of this Agreement is deemed invalid by a Court of competent
jurisdiction,it shall not affect the validity of the remainder of this Agreement.
