Forbes, AICP , Community Development Dire ctor ~ By: Hesty Liu , AICP , Associate Planner SUBJECT : FINAL SUBDIVISION MAP APPROVAL FOR PARCEL MAP NO. 73447 , A FLAG LOT SUBDIVISION AT 4910 HELEO AVENUE RECOMMENDATION : The City Council is requested to : 1. Recei ve the Subdivision Improvement Agreement (Attachment "A"); 2 . Approve the fina l subdivision map for Parce l Map No . 73447 (Attachment "B"); 3. Authorize the City Manager to execute the Subd ivi sion Improvement Agreement ; and 4 . Auth orize the City Clerk to ce rtify Parcel Map No. 73447 . BACKGROUND: 1. On March 16, 2015 , the City rece iv ed an applicatio n proposing a flag lot subdiv ision for th e property located at 4910 He leo Aven ue . Following the submittal of the appl ication , t he tentative parcel map prepared for the subdivision was forwarded to the Los Angeles County Fire Departm ent, the City's Bu ilding and Engineering Divisi o ns , and the loca l utility com pan ies f o r review and comments. 2 . On August 11 , 2015 , at a noticed public hearing , the Planning Commission reviewed and approved the tentative parce l map . 3 . On Septembe r 9, 2016 , the City's Building and Eng ineering Division completed the final map review and advised the deve loper that after entering ) the Subdivis ion lt-1""0 City Council December 20 , 2016 Page 2 of 2 Improvement Agreement with the City, the subdivision final map would be ready for approval. 4 . On October 31, 2016 , the developer purchased the security bonds and signed the Subdivision Improvement Agreement. 5 . On November 29 , 2016, the Los Angeles County Fire Department approved the final parcel map. ANALYSIS: The tentative parcel map is for the subdivision of an existing single-family lot into two parcels . The map was approved based upon the conclusion that the project was consistent with the General Plan and Zoning Code . The tentative map had an expiration date of August 11 , 2018 . Now the City's Building and Engineering Division has rev iewed and certified the final map. The developer has purchased the security bonds and entered into the Subdivision Improvement Agreement. Based on the conclusion that the final map is in substantial compliance with the tentative map, staff requests that the City Council approve the final map. Approving the final map will allow the developer to finalize the subdivision map so that a single-family res id ence can be improved on each of the parcels. CITY STRATEGIC GOALS : Approval of final Parcel Map No . 73447 will further the City's Strategic Goal of Economic Development. FISCAL IMPACT: Approval of this item will not have an impact on the City's budget for Fiscal Year 2016-17. ATTACHMENTS: A. Copy of the Subdivision Improvement Agreement B. The co nstru cti on plan s and s pec ifi ca ti ons for the Pu blic Improve ments sha ll be prepared in acco rdan ce wit h a ll app licable federa l, state and lo ca l laws, or din ances , re gulati ons, co des , s tanda rds, and oth er requireme nt s. The Pub lic Improvements sha ll be co mpl eted in acc o rd ance wit h all approved maps , pl a ns, s pec ificati ons, standard drawin gs, and s pe c ial a mendm ents thereto o n fi le wi th C ity, as wel l as a ll appli cab le federa l, state, and loca l laws, o rd inances , regulati ons, co des, standard s, and othe r req uireme nt s ap pli ca bl e at th e tim e work is act ually comme nced. 2.5 Standard of Performance. Deve loper and its co ntra cto rs, if any, sha ll perform a ll work requ ired to construct the Public Improvements und er this Agreement in a sk illful and workmanl ik e mann er, and co ns istent with th e standard s generall y reco gni ze d as being em plo ye d by professional s in th e sa me d isc ipline in th e State of Ca liforni a. Deve loper represents and maintain s that it or its co ntractors shall be s k illed in the profess iona l ca ll ing necessary to perform the wo rk. Dev e loper warra nts that al l of its empl oyees and co ntractors sha ll have s ufficient s ki ll and ex peri ence to perfo rm th e work ass igned to them , and that they sha ll have all li cen ses, permits , q uali ficati ons and approval s of whatever nature th at are lega lly required to perform the wo rk , an d that such li censes, permits, qualifi ca tions and approva ls shal l be maintained t hrou gho ut the term of thi s Agre e ment. 2.6 A lterations to Improvements. A ll work shall be done and improve ments made a nd co mpleted as shown on approved pl ans and s pecifications, and any sub seque nt a lterati ons thereto. If durin g the course of const ruction and in stall ati on of the Pub li c Improve me nts it is determined that th e public interes t require s a lt eratio ns in the Public Impr ove ments, Deve lope r shall undertake such de s ign and construction changes as may be rea so nably required by C it y. Any and all alterations in the plan s and spec ificati ons and th e Pub lic Improve ments to be com pl ete d ma y be accomp lished with out g ivin g prior notic e thereof to Devel o per's sure ty for t hi s Ag reement. 2.7 Other Obligations Refere nced in Co nditions of Tentative Map Aoorova l . Tn add iti on to the forego in g, Deve lope r s hall sat isfy all o f th e cond ition s of ap prova l on the tentativ e map for the Prop erty. The cond it ions o f approva l whi ch have no t been sat isfied pri or to th e date of thi s Agreem e nt are ide ntifi ed o n Ex hib it "D" hereto. 3. MAINTENANCE OF PUBLIC IMPROVEMENTS AND LANDSCAPING. C ity s hall not be respo ns ibl e or liable for the maintenance or ca re of the Public Imp rovements until City fo rm ally app roves and acce pts th em in accordan ce with its pol icies and pr oce dure s. City s ha ll exe rc ise no contro l over t he Publi c Improvem e nt s unti l approved and acce pted. Any use by any per so n o f the Pub lic Im prove ment s, or a ny po tii on th ereo f, s hall be at th e so le and exclusive ri sk of th e Deve lo per at a ll tim es pri or to City's accepta nce of the Publi c Improve ments. Develope r sha ll maintain a ll the Public Improvements in a state o f goo d repa ir until th ey a re co mpl eted by Developer and approved and accepted by Ci ty, and unti l th e secu rity for th e pe rfo rm ance of t hi s Agreeme nt is release d. Mainte na nce shal l include , but s ha ll not be limited to, repa ir of pavement, cur bs, gutters, s id ewa lks, signal s, parkways, water main s, and sewers; maintaini ng all landscap in g in a vigorous and thri ving condi ti on reaso nab ly acceptab le to City; remova l of deb ri s fr om sewe rs and storm drain s; and sweep in g, repai rin g, and maintaining in good and sa fe co ndit ion all street s and stre e t improvements. It s ha ll be De ve lope r 's respo ns ib ility to ini tia te all maintenance work , but if it s hall fai l to do so , it s hall pro mptly perform s uch ma int enance wo rk when notified to do so by C ity. If Develope r fails to proper ly pro sec ut e its mainten ance obl iga ti on und er th is secti on, City may do all work necessary for such main te nance and the cost thereof sha ll be the Page 4 o f" IS respon s ibi lity of Deve loper and its sur ety und er th is Ag ree ment. City shal l not be re sponsible or I iab le for any damages or injury of any nat ure in any way re lated to or caused by the Publ ic Improvemen ts or the ir conditio n pri o r to acceptance. 4. CONSTRUCTION SCHEDULE. Un less extended purs uant to th is Section 4.1 of thi s Ag reement, Deve lo per s hall fu ll y a nd adequate ly co mpl ete or have comp leted the Pu bli c Im provements wit hin 2 years (24 months) fo ll owi ng approva l of th e fina l map for Parce l Ma p No. 73447 or prior to the final date of the construction permits, whichever occurs first. 4.1 Extensions. City ma y, in its so le and ab so lute di sc retion , prov ide Devel o per with addi ti ona l tim e wi thi n w hich to comp le te the Pub lic Improvement s. It is un derstood t hat by prov idin g the Sec urity required under Section 12.0 et ~-of t hi s Agreement, Devel o per and it s s urety con sent in advance to an y ext ens ion of tim e as may be g ive n by City to Developer , and waives any and a ll right to notice of such extens ion(s). Deve loper's acce ptance of a n extens io n of time gra nted by C ity sha ll co nst itute a wa iver by Deve loper and its surety of a ll defense of laches, es topp el , statute s of I im itation s, and other I imitati o ns of act ion in any action or proceeding ti led by C ity fo ll ow ing the date on whic h the Public Improv ements we re to have been completed hereu nd er. In add ition, as considerati on for granti ng such extens io n to Deve lo per, C ity reserves th e ri ght to rev iew th e pr ovis ion s of t hi s Agree me nt, includin g, but not lim ited to , the co nstructi on stan da rd s, th e cost es t im ates estab li shed by City, and the suffic iency of t he imp rovement sec uri ty provid ed by Deve lo per, and to req ui re adjustments th ereto w hen warra nt ed accord ing to City's reaso nable di scretio n. 4.2 Accru al of Limi tations Period. An y limitati o ns pe ri od provid ed by law related to breac h of thi s Agre ement or th e terms th e reo f s hal l not accru e until Developer has pr ovi ded the C ity Eng in eer with wr itte n not ice of Deve lope r 's intent to a band on o r o th erwise not comp lete required or agreed upon Pub li c Improvem ents. 5. GRADING. Deve lo per ag rees that any and all gradin g done or to be done in conjunct ion with co nstru ctio n of t he Pub li c Im proveme nt s o r develop me nt of Parcel Map o. 73447 sha ll co nfor m to all fede ra l, state, and loc al law s, ordin ances, reg ulatio ns, and ot her requirements , incl udin g City 's grading regulation s. A ll gra din g, land sc ap ing, a nd constru ction act ivit ies sha ll be pe rform ed in a manner to control erosio n and preve nt flood in g proble ms. The C ity E ngineer sha ll have th e auth ori ty to require eros io n pla ns to pre sc rib e reasonab le contro ls on th e meth od , man ner, and tim e of g rading, land sc aping, and constructio n activ iti es to prev ent nui sance s to s urrou ndin g pr operties . Plans sha ll in c lud e wi th o ut limitatio n tem porary drainage and erosio n co nt ro l requirements , dust co ntro l procedures , restri ctions on tru ck and other co nstru cti on traffic routes, noi se aba tement procedures, storage of mate rial s and eq uipment, remo va l of ga rba ge, tr as h, and refuse, securi ng th e job s ite to prev ent injury, an d s im ilar matters. In o rder to prev ent damage to th e Public Improv eme nt s by imp rope r drainage or other hazards, the grading sha ll be co mpl eted in acco rd ance wit h the time sc hedu le for co mp let io n of th e Pub lic Improvements esta bli s hed by thi s Agree me nt, and prio r to C ity 's approval and acceptance o f the Publi c Impr oveme nt s and re lea se of the Sec urity as se t fort h in Secti on 12.0 et ~-of th is Ag reement. 6. UTILITIES. Developer s ha ll provide uti lity se rvic es, inc ludin g water, sewe r, pow er, gas, and te le phon e service to serve eac h parcel , lot , or un it of land within Parcel o. 73447 in acco rd ance w ith a ll app lica ble federa l, state, and loc al laws, rule s, and reg ulat ions, in c ludin g, Page 5 of 15 but not limited to , the re gul ations , schedu les and fees of the utili ties or age nc ies pro vid in g such se rvi ces. Except for commerci a l or indu str ial properti es, Devel o per s ha ll also prov ide cab le te levi s ion fa c ilities to se rve eac h parce l, lot, o r unit of land in accord ance with a ll ap pli cab le fe de ra l, state , and loca l la ws, rules, a nd regu lat ions, includ ing, bu t not limited to , the requ ire ment s of th e cab le co mpany po ssess in g a va li d f ranc hise with C ity to prov id e suc h se rvice within C ity's jurisdi cti ona l limits . Dev elope r s ha ll, at its so le cos t, expe nse, and liability, pay all fe es, c ha rges, an d taxes ar is in g out o f co nstruction of the Pub ! ic Impr ove ments, inc ludin g, but not limited to , a ll p lan check, des ig n review, engineer ing, in spe cti on, and oth er se rvice fees, and any impact or co nnection fe es establi shed by C it y o rdinance, reso lu tion, regu lati on, or po licy, o r as estab li shed by C ity relative to Parc e l No. 73447, or as required by ot her govern menta l agen c ies havin g jurisdi ction ove r Pa rce l No . 73447. 8. CITY INSPECTION OF PUBLIC IMPROVEMENTS. Deve lo per shall, at its so le co st, ex pen se, and li ability, and at a ll tim es durin g co ns tructi on of th e Pub li c Im provements, maintain reasonab le and sa fe fa ciliti es and pro vid e sa fe access for in spec ti on by C ity of the Publ ic Imp ro ve ment s and areas w here co nstruction of th e Public Improvements is occ urrin g or will occ ur. ADMINISTRATIVE COSTS. If Developer fa ils to co nstruct and in sta ll a ll or a ny part of th e Pub li c Im provements wit hin th e t im e req uired by th is Agreement, o r if Developer fai ls to co mpl y wi th any other o bligat io n conta in ed herein , Deve loper a nd its su rety shall be jo in t ly and severa ll y liab le to C ity for all adm in istrat ive expe nses, fe es, a nd cos ts, in c ludin g reaso nab le attorn ey's fees and cos ts, incurred in obta in ing co mpliance with thi s Ag reement or in process in g any lega l acti o n or for an y other re medies perm itt ed by law. 10. ACCEPTANCE OF IMPROVEMENTS; AS-BUILT OR RECORD DRAWINGS. The C ity Co un cil ma y, in it s so le and abso lute di scre ti on, accept fu ll y co mp leted porti o ns of the Pub li c Improveme nts pri or to s uch tim e as all of the Pub lic Impro veme nt s are compl e te, whi c h sha ll not re le ase or modify D eve lope r's o bl igat io n to comp lete t he rema ind e r of th e Publi c Improvements within th e ti me required by thi s Agreement. 10.1 Developer's Not ice of Completion . Upon th e tota l or part ia l accepta nce of th e Public Impro ve ments by C ity, De ve lope r shall file wit h the Reco rde r's Office of the County of Los Ange les a notice of comp leti on fo r th e accepte d Publi c Impro ve me nts in accorda nce wit h Ca liforni a C ivi l Co de section 3093, at w hi ch t im e the accepte d Publi c fmp rove ment s s ha ll become t he so le and exclu s iv e property of City w ith o ut pay ment th e ref or . Notwithstand ing the forego in g, C ity may not acce pt any Pub li c Improvements un less and until Developer provides one (I) se t of"as-built" o r rec ord drawi ngs or plan s to the City Engineer fo r all such Pub li c Imp rovements. The drawi ngs shall be cert ifie d and shall ren ec t th e co nditi on of the Public Improvemen ts as co nstructed, w ith a ll changes inco rp orated therei n. I I. WARRANTY AND GUARANTEE. Deve loper hereby war rants and gua rantees a ll Publi c Improve me nt s again st any defecti ve work or labor do ne, or defective materi als furnis hed in th e perform a nce of thi s Agree ment, inc lu d in g th e ma inte nan ce of all land sc aping within the P roperty in a vigo ro us and thrivin g co ndition reaso nab ly acce ptable to City, for a per iod o f one (I) year following com pleti on of the work an d acceptance by City. Dur ing the Warranty, Developer s hal l repair, rep lace, or recon struct any defectiv e or ot he rw ise un sati s fact ory portio n of the Public I mpr ovements, in acco rda nce with the cu rr ent ordinan ces, resolutions, reg ula tions , co de s, stand ard s, or other requirements of C ity, a nd to the app roval of th e City Engi neer. Al l repa ir s, rep lacements , or reco nstru ction during the Warranty s hall be at the so le cost, expe nse, and I ia bi I ity of Develope r and it s s ur ety. Pri or to C ity's approval and execution of this Agreement, Deve lo pe r s hall provide C ity with s urety bonds in the amounts and und er the terms set forth below. T he a mount of the Sec uri ty s hall be based o n the C ity Engineer's Es t imated Costs. If C ity determ ines at a ny t im e prior to Deve lo per's comp letion of th e Public Improvements under Sect ion 4 [Const ruction Schedu le], in it s so le and absolute di scretion, th at the Estima ted Costs h ave cha nge d, Deve loper shall adj ust the Security in the amount requested by C ity. Developer's compliance with this prov is ion (Section 12.0 et ~.) s hall in no way limit or mod ify Devel o per's ind em ni ficatio n ob li gation provided in Section I 6.0 of this Agreement. 12.1 Perfor·mance Bond. To guarantee the fa ithful performance of the Pub lic Imp rovements a nd all th e provisions of thi s Agreement, to protect City if Deve lope r is in default as set forth in Sec ti on 18.0 et ~·of th is Agreement, and to sec ur e Deve loper 's one-year gua rantee and wa rra nty of the Publi c Im proveme nt s, in c lud ing the maint enance of al l land sca ping in a vigorou s and thrivin g cond iti on, Deve lope r s hall pr ovide C ity a fa ithful performance bond in the amount of eight een th o usandsevenhu ndredthirtytw o ($18732), which sum sha ll be not le ss than one hundred percen t (100%) of the Est imated Costs. All Security provid ed und er this sec tion sha ll be released at th e end of the Warranty pe ri od, o r a ny ex tension the reof as pr ovided in ec ti on 11.0 o f th is Agreement, provided that Developer is not in default on any provisio n of thi s Agreement or co nditi on of approva l for Parce l Map o . 73447. 12.3 Labor & Material Bond. To secur e pa ymen t to the co ntrac tors, s ubco ntract o rs, labo rers, mate ria l men, and ot he r perso ns furnishing labo r, mater ia ls, or equipm ent for perform a nce of the Public Imp rove me nts and thi s Ag ree ment, Deve lo per sha ll provi de C ity a lab or and materials bond in the amo unt of eighteenthousa nd seve nhundredthirtytwo ($18732), which s um s hall not be less th an one hundred perce nt (I 00%) of the Esti mated Cos ts. The Security provided und e r thi s section may be release d by wr itte n a uthor ization of the City Eng in ee r after s ix (6) month s fr om the date City accepts the final Pu b I ic Impr ove ment s. As part of th e o bligation sec ured by the ec uri ty and in additio n to the face a mo unt o f th e ecurity, th e Devel ope r or its su rety s ha ll sec ur e th e costs and reaso nab le expe nses and fees, including reaso nabl e a tt o rne y's fees and cos ts, inc urred by Ci ty in en forcing th e o bli gations of this Agreement. The Developer and its sur ety stipulate a nd ag ree th at no c han ge, ex ten ion of time, a lterati on, o r additio n to th e te rm s of thi s Agreement, the Public Improve men ts, or th e plan s and s pec ifi cat ions for the Publi c Improve ment s s ha ll in any way a ffect its obli gat ion on th e ecurity. 12.5 Fo rm of Secur ity. T he ev ide nce of the Sec ur ity s ha ll be pr ovi ded on th e form s se t forth in Attachment "C", un less oth e r form s are deemed acceptab le by the C it y Eng in ee r and th e C ity Atto rn ey, and when such fo rm s are co mpl ete d to th e satisfact ion o f Ci ty, the forms and ev id ence of the Security sha ll be atta ched her eto a Attac hment "C" and in co rp orated herein by thi s referen ce. 12 .6 Developer's Liab ili ty. Fo r any co ns ultant or oth e r profess ional who will e ng in ee r or des ign the Publi c Improve me nt s, li abi lit y insura nce for errors and omi ssions with limi ts not less th an $1,000,000 per occurren ce, s hal l be procured and ma int a ine d for a period of fi ve (5) years fo ll owi ng compl etio n of the Public Impr ove men ts. Such insurance s ha ll be endorsed to include contrac tual li abi li ty. 17.2 Deductibles. Any dedu ctibl es or se lf-i nsured reten tions mu st be declared to and ap proved by City. All po li cies for the Required In s urance sha ll provide that th e in sur ance com pan y wa ives al l right of recovery by way of subro ga ti on against C ity in connecti o n with a ny damage or harm covered by such po li cy. Develo pe r and its contracto rs sha ll maintain th e Required Insu rance for the ter m of t his Ag reement and sha ll replace any cert ificate, policy, or e nd orsement whi ch will exp ire prior to th at date. A ll po licies shall be endorsed to provide that the Req uire d In sura nce s ha ll not be suspen ded, voided , red uced, ca nceled, or a ll owe d to expire except o n 30 days' prio r wr itt e n notice to C ity . 17.7 Ins ur·e r Rating. Unless app roved in wntmg by City, al l Required In sura nce sha ll place d w ith ins ure rs lice nse d to do bus in ess in t he State of Califo rni a and with a c urrent A.M. Best rati ng of at least A:VlJI . 18. D EFAULT; NOT I CE; REMEDIES. 18.1 Notice. If Deve lo pe r neglects, refuses, or fa ils to fu lfi II or timely complete any o bl igat ion, term, o r co ndi tion of th is Agree ment, or if C ity de termines t here is a vio la tion of any fede ra l, s tate, or loca l la w, o rd inan ce, reg ul a ti o n, co de, stan da rd, o r other re qui rement, C ity may at a ny t im e thereafter dec lare Deve lo per to be in defa ult or violati on of this Agreement an d ma ke writte n de mand up on Deve loper o r its s urety, or bot h, to imm edi ate ly remedy the default or v io latio n. Deve loper sha ll commence th e wo rk required to re medy the default or vio lation within te n (I 0) days of t he wr itten demand fro m th e C ity. If the default or vio lat ion constitutes an im mediate th reat to th e public healt h, safety, or welfa re, City may provide the demand verbally, a nd Deve lope r sha ll co mmence the required work within twenty -four (24) hours thereof. Im mediate ly upo n C ity 's iss uance of the demand to reme dy t he defau lt, Deve lo per and its surety s ha ll be liab le to City f o r a ll costs of co nst ru ct io n and ins ta ll ati on of th e Public Imp rovements and a ll oth er adm in istrat ive cos ts expenses as prov ided fo r in Section 9.0 of thi s Agree me nt. 18.2 Failure to Re medy; C ity Action . If the wo rk req uire d to remedy the noti ced default or v io la ti on is not di lige nt ly prosec uted to a s ub stantia l completio n acceptable to C ity wit hin a reaso nab le time des ignated by th e City, C it y may comp lete a ll remaining work, a rra nge for t he com ple t ion of a ll rema ini ng work, and /or co ndu ct such remedial activity as in its so le and abso lute di sc retio n it believes is required to reme dy the defau lt or vio lation. All such work o r remedial acti v ity shall be at the so le and abso lute cos t , expense, and liabi lity of Developer and its surety, witho ut th e necessi ty o f g ivin g any furthe r no t ice to Developer or surety. City's ri ght to take such ac ti o ns sha ll in no way be lim ited by the fac t that Develope r or its surety may have co nstru cted any, or no ne of the re quir ed or agreed upo n Pu b lic Improvemen ts at the time of C ity's de ma nd fo r perf ormance. In th e eve nt C ity e lec ts to co mpl ete or arra nge for comp letion of th e remai ning wo rk and improve me nts, C ity may re q uire a ll work by Develo per o r its surety to cease in order to a ll ow adeq uate coo rd inati on by C ity. Notwithstandi ng the foregoing, if co nd itions precedent fo r reversion to ac reage ca n be met a nd if the inte rests of C ity will not be prejudiced thereby, C ity may a lso process a reversion to acreage and thereafte r recover from Deve loper or its su rety th e full cost and expense incurred.
