Forbes, AICP , Community Development Director ~ By : Hesty Liu , AICP , Associate Plann er SUBJECT: FINAL SUBDIVISION MAP APPROVAL FOR PARCEL MAP NO. 73448 , A FLAG LOT SUBDIVISION AT 4920 HELEO AVENUE RECOMMENDATION: The City Counci l is requested to : 1. Receive the Subdiv ision Improvement Agreement (Atta chment "A"); 2 . Approve the fina l subdivision map for Parce l Map No . 73448 (Attachment "B"); 3 . Authori ze the City Manager to execute the Subdivision Improvement Agreement; and 4 . Authorize the City Clerk to certify Parcel Map No . 73448 . BACKGROUND: 1. On March 16 , 2015 , the City received an application proposing a flag lot subdivis ion for the property located at 4920 He le o Avenue . Following the submittal of the application , the tentative parcel map prepared for the subdivision was forwarde d to the Los Angeles County Fire Departm ent , the City 's Build ing and Eng ineering Divisions , and the local utility companies for rev iew and co mm e nts . 2. On August 11 , 2015 , at a noticed publ ic hearing , the Planning Commission reviewed and approved the tentative parcel map . 3. On September 9, 2016 , the City 's Build ing and Engineering Division completed the f ina l map review and advised the developer that after entering \ th e Subdivision \UTD City Council December 20, 2016 Page 2 of 2 Improvement Agreement with the City, the subdivision final map would be ready for approval. 4. On October 31 , 2016 , the developer purchased the security bonds and signed the Subdivision Improvement Agreement. 5. On November 29, 2016 , the Los Angeles County Fire Department approved the final parcel map . ANALYSIS: The tentative parcel map is for the subdivision of an existing single-fami ly lot into two parcels . The map was approved based upon the conclusion that the project was consistent with the General Plan and Zoning Code . The tentative map had an expiration date of August 11 , 2018 . Now the City 's Building and Engineering Division has reviewed and certified the final map. The developer has purchased the security bonds and entered into the Subdivision Improvement Agreement. Based on the conclusion that the final map is in substantial compliance with the tentative map , staff requests that the City Council approve the f inal map . Approving the final map will allow the developer to finalize the subdivision map so that a single-family residence can be improved on each of the parcels. CITY STRATEGIC GOALS : Approval of final Parcel Map No . 73448 will further the City 's Strategic Goal of Economic Development. FISCAL IMPACT: Approval of this item will not have an impact on the City's budget for Fiscal Year 2016-17. ATTACHMENTS: A. Copy of the Subdivision Improvement Agreement B. "Wa rranty " shall mean th e one-yea r pe riod fo ll owing co mplet ion of t he Pub lic Imp roveme nt s by Deve lope r and th e acceptance of the Publi c Impr ove ments by the C ity in whi ch Devel o per war rants and guar ante es all Publi c Im provements. OPERJ\ TIVE PROVISIONS OW , THEREFORE , in co ns ideration of th e mutu a l promi ses and cove nant s made by the partie s and co ntain ed here and other co ns id erat io n, the va lu e and ade qu acy of whi c h are hereb y acknow ledged, the parties agree as follows: I. EFFECTIVENESS. This Agreement s ha ll not be effect i e unless and until all fou r (4) of the followin g conditions are sa ti s fi ed in the order provided: Page 2 of IS 1.1 Securitv. Deve lo per provides C ity w ith the Secu r ity of the type and in the amou nt s req ui red by thi s Agree ment; · 1.2 F in al Map and Agreement Approval. The City Co uncil of th e C ity ("City Co unci l") approves th e fin a l map for Pa rce l No. 73448 and thi s Agreement; 1.3 Record Agreement. Deve loper and C ity execute the Agree me nt and C ity rec ord s th is Agree me nt in the Reco rder's Offi ce o f th e Cou nty of Los Angeles; and 1.4 Record Final Map. Develo pe r reco rds th e fina l map for Parcel o. 73448 in th e Reco rd er 's Offic e of th e Cou nty of Los Angel es. If th e a bove de sc rib ed co ndi tio ns a re not sat isfi ed in the order, ma nne r an d wit hin th e time prov id ed und er th is Agreeme nt, this Agree ment shal l auto mati ca ll y terminate w ith o ut need of furth e r action by e ith er C ity or Deve lo pe r. 2. PUBLIC IMPROVEMENTS. Develope r sha ll co nst ru ct or ha ve constructed at it s own cost, ex pense, and li ability the P ub lic Improv ements, as defined herein, within the tim e and in th e manner required und er thi s Agreement. Co nstructi on of the Pub li c Improvements shall in cl ude any trans iti ons and/or other in ci denta l work deemed necessary for dr a ina ge or public sa fety. T he Develo per sha ll be respo ns ibl e for th e replace ment, relocation, or re mova l of any co mp o nent of a ny irr iga ti on water or se wer sys te m in conflict with the co nstr uct ion or in stall atio n of th e Public Improvements. Such rep lace ment, re loca ti on, or re mova l s hal l be pe rformed to the co mp lete sa ti sfac ti on of th e City Engi nee r and the ow ner of s uch wa te r or sewe r syste m. Dev e loper furt her pr omi ses and agrees to prov id e al l equip me nt, too ls, mate ria ls, labo r, tests, de sign work, and eng in ee rin g serv ices necessary or require d by C ity to fully and adequatel y co mpl ete the Pub li c Improve ments. 2 .1 P rior Partial Co nstruction ofPubli c Improvements. Where construc ti on of any Public Impr ovements has bee n partiall y compl eted pri or to thi s Agree men t , Deve lope r a grees to co mpl ete such Pub li c Improve ment s or ass ure th e ir com pl etion in accordan ce with thi s Agreement. 2.2 Permits ; Notices; Utili ty Stat ements. Pri or to co mmenc in g any wo rk, Developer s ha ll, at its so le cost, expense, and liability , obtai n all necessary permits and approva ls and g ive a ll necessary and in ci dental not ices requ ired fo r the lawful construction of the Pub li c I mpr ove me nt s an d performance of Deve loper 's ob I igations unde r thi s Agreement. Develope r s hall conduct th e wo rk in full compliance w ith the regulat io ns, rul es, and other req uir ements contai ned in any permit or appro va l iss ued to Deve loper. Pr ior to co mmencing any work, Developer shal l file a written stateme nt wit h th e C ity C le rk and th e City Eng in ee r, signed by Deve lope r and each util ity wh ic h will provid e uti li ty se rv ice to the Pro perty, attest in g tha t Deve lope r ha s made a ll de posits lega ll y required by the uti lity for th e exten sion a nd prov is ion of utili ty se rv ice to th e Property. 2.3 Pre-approval of P lans and S pecific a tion s. Deve lo per is proh ibited from commencing wo rk on an y Pu blic Improve me nt until a ll plans and specifica ti ons for such Pub lic Im pro veme nt have been submitted to and approved by the C ity Engineer, or his or her de s ignee. Approval by the C ity Engin eer sha ll not re li eve Develo per from ensuri ng th at al l Publi c fmpr ove me nt s co nfo rm with a ll other req uirements and stand ard s se t forth in thi s Agreement. Page 3 of15 2.4 Quality of Work; Compliance With Laws and Codes. The const ru ctio n plan s and speci fi ca t ions for th e Pub I ic Improvements s ha ll be prepared in accorda nce with al l ap pli cable federa l, state and loca l laws, ordinan ces, reg ulati ons, co de s, s tandard s, and oth er requ ir eme nts. The Publi c Improve me nts sha ll be co mpl eted in accordance wi th all approved maps, plan s, spec ifi ca ti ons, stand ard drawing s, and s pecia l amendme nt s thereto o n fi le with C ity, as we ll as a ll appli cable fe dera l, state , and loca l law s, o rdinan ces, regula ti o ns, co de s, standard s, and ot her requirements ap plicab le at the tim e work is act ua ll y co mm e nced. 2 .5 S tandard of Performance. Deve lope r and it s contractors, if any, sha ll perform a ll wo rk required to cons tru ct th e Pub li c Improvements under thi s Ag reeme nt in a sk ill fu l and work manlike mann er, and co ns iste nt with th e standards generally recognized as be in g e mpl oyed by profess ion a ls in the sa me di sc iplin e in th e S tate of Ca lifo rni a. Deve lo pe r represents and maintain s th at it or its co ntr ac tors sha ll be s kill ed in the profe ssio nal ca llin g ne cessary to pe r form the work. Deve loper wa rr a nts th at a ll of its emplo yees and co ntra ctors sha ll have s uffi cie nt s kill a nd ex peri ence to pe rfor m the work assigned to them , a nd that th ey shall have all li ce nses, perm its, qualificati ons an d a pprova ls of whateve r natur e that a re le ga ll y required to perform th e work , and th at s uch li ce nses, pe rmit s, qua lifi cati ons and approva ls shall be maintained thr oughout th e te rm of thi s Agreement. 2.6 Alteration s to Improvements. A ll wo rk sha ll be done a nd imp rove me nt s made and comple ted as s how n on approved p lans and s pecific ati ons, a nd a ny su bseq ue nt altera t ions thereto. If durin g the co ur se of co nstru cti on a nd ins tall ati on of th e Pub I ic Improve ments it is determined that th e publi c interest req uires alterat io ns in the Public Impr ove me nt s, Develope r sha ll undertake such des ign and co nstru ction chan ges as may be reaso nab ly req ui red by City. Any and a ll alteratio ns in th e plan s and s peci fi ca ti ons and th e Pu bli c Impro vements to be comp leted may be acco mpli shed with o ut givin g prior noti ce th e reo f to Developer 's s ure ty for thi s Agreement. 2.7 Other Obligations Refe renced in Condition s o f Tentative Map Ao oroval. In add iti on to th e fo regoi ng, Deve lope r hall sat isfy all of th e condi ti ons of app rova l o n th e tentative map for th e Property. The conditions of app rova l whi ch have no t been satis fi ed pri or to th e date o f th is Agr ee ment are id entifi ed on Ex hi bit "D" here to. 3. MAINTENANCE OF PUBLIC IMPROVEMENTS AND LAND SCAPING. C ity sha ll not be res pons ib le or liab le for the maintenance or car e of the Publi c Impr oveme nts unti l C ity fo rm a ll y approv es and acce pts th e m in accordan ce wit h its pol icies and proce dur es. C it y s ha ll exe rci se no co ntro l over the Pub lic Impr ove ments until approved and acce pted. Any use by any perso n of th e Publi c Improvements, or any po rti on the reof, s hall be at the so le and exclus ive ri sk o f the Deve lo pe r at all tim es pri or to C ity's acce pta nce of the Publi c Improvemen ts. Developer sha ll maintain all th e Publi c Improve me nt s in a state of goo d repair unti l they arc comp leted by Deve lo pe r a nd appro ved and acce pted by C ity, and unti l the sec uri ty for th e pe rformance of th is Agree men t is re lease d. Maintena nce s ha ll inc lud e, but s ha ll not be limited to, repair of pavement, curb s, gutte rs, s id ewa lks, s igna ls, parkwa ys, water main s, and sewe rs; maintaining a ll landscap in g in a vi go rous and thri vin g co nditi on reaso nab ly acceptab le to C ity; removal of debri s from sewers and s to rm drain s; and swee pin g, repairin g, a nd maintaining in good and safe con diti on all streets and street imp rove ments. It shall be Deve loper 's res pons ibili ty to initiate a ll ma in te nance wo rk , but if it sha ll fa il to do so, it sha ll pr ompt ly per fo rm s uc h ma int enance work when notifi ed to do so by C ity. If Deve lo pe r fa il s to prope rl y prosec ut e its ma in tenance ob liga t ion und er this secti on, C ity ma y do a ll wo rk necessa ry fo r such ma int ena nce and the cost thereof s hall be the Page 4 of IS re s pon s ibility of Deve lop er and its surety under thi s Agree ment. C ity sha ll not be re sponsib le or liable for any damages or inj ury of a ny nat ure in any way related to or ca use d by th e Pub lic Im proveme nt s or the ir con di tio n prior to acc e pta nce. 4. CONSTRUCTION SCHEDULE. Un less ex tended pursuant to thi s Sectio n 4.1 of t hi s Agreement, Devel o per sha ll fu ll y and adequately co mplete or have co mpl eted the Public Improveme nts within 2 years (24 months) following app rov a l o f the fin al map for Parcel Ma p No. 73448 or prior to the final date of the construction permits, whichever occurs first. 4. L Extensions. City ma y, in it s sole and absol ut e d isc ret ion , prov id e Deve lop er with add ition a l tim e within wh ich to complete the Pub lic Improv ements . It is und ersto od t hat by pro vi di ng the Sec uri ty requ ired under Sect ion 12.0 et ~·of thi s Agreement, Deve lop er and its surety con sent in advance to any ex te nsio n of t im e as may be g iven by Ci ty to Deve lop er, and wa ives an y and a ll right to notic e of such exte ns io n(s). Developer's acceptance of an ex te ns ion of time granted by C ity s ha ll const itute a waive r by Developer and it s su rety of all defen se of laches, es topp e l, statute s of limitati ons, and other li m itat io ns of actio n in any action or proceedin g filed by C ity fo ll owi ng th e date on which the Public Improvements were to have been completed hereu nde r. In additi on, as co ns iderati on for gra nting s uch ex tension to De ve loper, C ity re serves th e ri ght to rev iew the prov is ion s of this Agreement, inc ludi ng, but not limit ed to, the co nstmction standards , th e cos t est imates establ ished by C ity, a nd the suffic iency of the im prove men t sec ur ity pr ov id ed by Dev e loper, and to req ui re adj ust ment s t he reto when wa rra nt ed accord in g to City's reaso nab le di scretio n. 4 .2 Accru al of Limitat ions Peri od . Any li mitati ons pe riod provided by law re lated to breach of th is Agreement or the terms th ereof sha ll no t accr ue unt il Dev eloper has pr ov id ed the City Eng in ee r wit h wri tten notic e of Develope r's inte nt to aba nd on or oth erw ise not comp lete required or agreed up on Pub lic Improve ments . 5. GRADING. Developer agrees that any and all gradin g done or to be done in co njuncti on wi t h co nst ructi on of the Pu blic Imp rove ments or developm ent of Pa rce l Map o. 73448 shall conform to all federa l, sta te, and loca l laws, ordi nances , reg ulations , and other requirements, inc lud in g City 's gra din g reg u lat ions. A ll gradin g, landscap ing, and constr uction activities s ha ll be pe r for med in a manne r to con tro l eros io n a nd prevent floodi ng pro bl ems. The C ity Engin eer shal l have th e authority to re quire e ros ion plans to presc rib e reaso nab le contro ls o n the me th od , manner, and tim e of grading, land sca pin g, a nd co nstru ct io n ac tivit ies to preve nt nui sa nces to su rr ound in g pro perties. Pla ns s ha ll inc lud e without limitati on tempo rary drainage a nd erosion control requirements, du st co ntr o l procedu res , res tri cti ons on truck and other construction tra ffic ro ute s, noise abatement proced ur es, sto ra ge o f materials and eq uipm ent, remova l of ga rbage, tra sh, and refuse, sec uri ng th e j o b s ite to prevent injury, and s imi lar matters. In o rd er to prevent da mage to the Pub lic Imp rovem e nt s by improper drainage or othe r haza rd s, the gradin g s hal l be co mpl eted in accordance w it h th e t im e sc hedu le fo r co mp let ion of th e Public Improv eme nt s estab lished by thi s Agree me nt, and pri or to C ity 's a ppr ova l and acce ptan ce of th e Publ ic Impr ove me nts and release of t he Security as set fort h in Sec ti on 12.0 et ~· of this Agreemen t. 6. UTILI TIES. Developer s ha l l provide utility se rvi ces, in cl udin g wate r, sewer, power, gas , and te lep hone service to serve eac h parcel, lot, or un it of land w ith in Parce l o. 73448 in acco rd ance wit h a ll applicable federa l, state, and loca l laws, rules , and regu lation s, including, Page So f iS but not limite d to , t he regul a ti ons, sched ul es and fees of th e uti li ti es or agenc ies pro viding s uch ser vic es. Excep t for commercia l or in dus tr ial propert ie s, Develope r s ha ll a lso prov id e cable t e levis io n fac ili t ies to serv e each parcel, lo t, o r un it of lan d in accordance w ith a ll a ppli ca ble fed e ra l, s tate, a nd loca l laws, ru les, and regul ations , including, but not li mited to , the re quirem e nt s of the cable company p ossessin g a va lid franchi se w ith City to provide s uch service within C ity's jurisdi ct ional limits. A ll uti l ities s hal l be in s talled unde rgro und. 7. FEES AND CHARGES. D e ve lo per s hall , a t its so le cost, ex pe nse, a nd li abil ity, pay all fees, charges, and taxes arisi n g o ut of constructio n of the Pub I ic Improvements, in cluding, but not limite d to , a ll plan c heck, des ig n re view, e n g ineerin g, in s pecti o n, a nd other servi ce fees, a nd a ny impact o r co nn ection fees establ is hed by C ity ord in a nce, re soluti o n, regul a ti o n, o r pol icy, o r as estab l is hed by C ity re lati ve to Parce l No. 73448, o r as re quire d b y other governm e nta l agencies hav ing jurisdictio n over Parce l No. 73448. 8. CITY INSPECTION OF PUBLIC IMPROVEMENTS. Deve loper s hall , at its s o le cost, expense, a nd l iability, and at a ll times durin g cons truction o f the Pub l ic Impro vements, m aintai n reas o nable and s afe fa c ilities a nd prov id e sa fe access for in spect ion by C ity o f the Public Improvem e nts a nd a reas where constructio n of the Public Impro vem ents is occurring or will occur. If th e C ity in s pector requests it, the Devel o pe r at any tim e before acceptance of th e Pub li c Improvements sha ll re m ove o r uncover s uch po rti ons of the fini s he d work as may be directed w hi c h have no t previo us ly been in s pected . Afte r exa m ina t ion, t he Developer s h a ll resto re s aid po rti o ns o f th e work t o t he standards require d hereu nder. To sec ure pa yme nt to th e contractors, sub co ntrac to rs, laborers, mat eria l men, and oth e r perso ns furn ish ing labor, mate ria ls, or equipm ent for perfo rm a nce of th e Pub lic Improvements and thi s Agree ment , Deve lo per shall provide C ity a labor and mater ia ls bond in t he amount of eightee nth ousa ndseve nhundr edthirtytwo ($18732). whic h s um shal l not be less than o ne hundred percent (I 00%) of the Es timated Costs. The Secur ity provided under thi s sec ti on may be re leased by written author ization of the C ity Eng in eer after six (6) mon th s from th e date City accepts the fin a l Public Impro ve ments. T he amoun t of s uch Sec urity sha ll be red uce d by th e total of a ll sto p notice o r mecha ni c's li e n c laims of whi ch C ity is awar e, plu s a n amou nt eq ua l to twe nty percent (20%) of suc h c la ims for reimburse ment of C ity's anticipated ad min istrat ive and legal ex penses ari sing out of s uc h claims. 12.4 Additional Requirements . T he sur ety for any sur ety bonds pro vid ed as Secu rity s ha ll have a current A.M . Best's rat ing of no less than A:V III, be a bank or ins ur ance compan y li ce nsed to tr ansact sur ety bu s in ess in Cali fornia, and sha ll be satisfactory to City. As pa 1t of the ob ligation sec ured by the Secu r ity and in ad diti o n to th e face amou nt of the Security, the Developer or it s s ur ety shall secure th e costs and reasonable expenses and fees, inc luding rea sonab le attorney's fees and cos ts, incurred by City in enforci ng the obligation s of this Agreement. T he Develo per and its s urety st ipu late and agree th at no cha nge, exte nsion of time, a lt eration, or add it ion to the tenns of this Agree ment, th e Publi c Impro ve ments , o r t he plans and spe c ifi cat ions fo r the Pub lic Improvements s ha ll in any way affec t its ob ligat ion on th e Secu ri ty. 12.5 Form of Security. The ev idence of the Sec uri ty s ha ll be provided on th e form s set forth in Attachmen t "C", un less other form s are deemed acceptab le by the City Eng in eer and th e C ity Attorney, and whe n such for ms are co mpl eted to th e satisfacti o n of C ity, th e forms and evidence of t he Sec uri ty sha ll be attac hed hereto as Attac hm ent "C" a nd incorp o rated here in by thi s refere nce. 12.6 Developer's Liabili ty . Whil e no act ion of Develo pe r sha ll be req uir ed in ord er for C ity to rea lize on it s sec urity und er any Sec urity in strum en t, Deve lope r agrees to cooperate w it h City to facilitat e City's real iza ti on und er a ny Sec uri ty in strum ent , and to take no act ion to prevent City fr o m s uch rea li zat ion unde r any Sec urity in strum ent. INDEMNIFICATION. Deve lo pe r sha ll procure a nd main tai n, and shall require it s co ntrac tors to pr ocur e and maintain, du ri ng co nstructi on of an y Publi c Improve ment purs uan t to thi s Agreement, in s ur ance of th e types and in the amo unts descr ibed below. If any of the Required Insurance contain s a ge neral aggregate limit, such insur ance sha ll app ly se paratel y to thi s Agreement or be no less than two t imes the spec ified occ urr enc e limit. 17.1.1 General Liability. Developer and its co ntr actors sha ll procure a nd mainta in occ urrence ve rs ion genera l liabil ity in s urance, o r equ iva le nt form , w ith a co mbin ed single li mit of not less tha n $3 ,000 ,000 per occ urrence for bodily inj ury, persona l injury , an d pr o perty dam age. 17.1.2 Business Automobile Liability. Deve lope r a nd it s co ntr acto rs s hal l pro c ure and ma inta in bu s in ess a utomob ile li ab ility in s uran ce, or eq ui va lent form , with a comb in ed s in g le limit of not less than $1,000,000 per occ urrence. Suc h in sur a nce s ha ll include coverage fo r the ownership, ope ra ti on, maintena nce, use, loa din g, o r un loa din g of any ve hi c le ow ned, lea sed, hired, or borrowed by the in s ured or for whic h the in su red is res pons ibl e. 17.1.3 Workers' Compensation. Developer and its co ntracto rs s ha ll procure and ma inta in workers' co mp e nsa ti on in surance w ith limits as required by th e Labor Code of the State of California and empl oye rs' liabi lity in sur a nce with lim its of not less than $1,000 ,00 0 per occu rr enc e, at a ll time s during whi ch in sured retains emp loyees. 17.1.4 Professional Liability. For any cons ult ant or other profess io na l who will eng in eer o r design the Publ ic Improve ments, li a bili ty ins urance for erro rs an d omi ssio ns with limi ts not less th an $1,000,000 per occ urr ence, s hall be procured a nd mai ntai ned for a period of fiv e (5) years fo ll ow in g co mpletion of the Pub li c lmpro vements. S uc h in surance sha ll be en dorsed to in c lud e co ntractua l l iabili ty. 17.2 Deductibles. A ny deductibl es or se lf-in sured reten ti o ns mu st be decla red to and approved by C ity. At th e op tion of C ity, e ithe r: (a) the in s ur er shall reduce or e limi nate such deduc t ib les or se lf-insured retenti ons as res pects C ity , its e lected offi c ia ls, officers, empl oyees, age nts, and vo lunt ee rs; or (b) Deve lope r a nd its co ntracto rs shal l provide a financial gua rantee sa t isfacto ry to City guara nt ee in g pa yment of losses an d related investigati o n costs, c laim s, and adm inis trativ e an d defense ex penses . 17 .3 Additional Ins ured; Sepa r ation of Insureds . Th e Req ui red Insurance sha ll name City, it s elected officia ls, officers, e mpl oyees, age nts, and voluntee rs as add itiona l in sureds with res pe ct to work perfo rm ed by or o n behal f of Deve loper or its co ntra ctors, including materials , parts , o r equipm ent furnishe d in co nn ect io n th e rewith . The Requ ired In surance sha ll co ntai n stand a rd se parati o n of in s ured provi s ion s, and shal l co nt ai n no s pec ial li mit at ions on th e sco pe of its protection to City, it s e le cte d offic ia ls, o ffi ce rs, emp loyees, age nt s, and vo lunteers. 17.4 Primary Insurance; Waiver of S ubroga ti on . The Required In surance s ha ll be primary w ith re spect to any in su rance or se lf-in su ra nce program s coverin g C ity, its elected officials, officers, e mpl oyees, agents, and vo lunteers. A II policies for the Required Ins urance s hall prov id e that the in su rance compa ny wa ive s a ll right of recovery by way of subrogati on aga in st C ity in connecti on wi th any damage or harm covered by such po licy. Develope r and it s contractors shall furnish C ity with ori ginal certificates of in s urance and end orsements effect in g coverage fo r th e Required In s urance . The ce rtifi cates and en dorseme nts for eac h in surance poli cy shall be sig ned by a perso n aut hor ized by that insurer to bind cove rage on it s behalf. All certificates and e ndorsements mu st be re ce iv ed and approved by C ity before work pur s uant to thi s Agreement can begi n. C ity reserves the ri ght to req uire complete, certified co pies o f a ll required in suran ce po li cies, at any tim e. 17 .6 Term; Cancell ation Notice. Devel oper and it s co ntra ctors s ha ll ma intain the Required Insu rance for the term o f thi s Agreement and sha ll repla ce any certificate, policy , or end orse ment which w ill expire pri or to that date. All po li c ies s hall be endorsed to provide that the Required In s urance shall not be suspended , voided , reduced , cance led , or a ll owe d to exp ire exce pt on 30 days' prior writte n noti ce to C ity. 17.7 Insurer Rating . Unless approved in wntrng by C ity. a ll Require d In suran ce shall placed with in su rers li ce nse d to do business in the tate of Ca lifo rni a and with a current A.M. Bes t ratin g of at lea st A:VIIl. 18. DEFAULT; NOTICE; REMEDIES. 18.1 Notice. If Deve lope r neg lects, refu ses, or fail s to fulfil l or tim e ly co mpl ete an y ob ligati on, term, o r co ndit ion of this Agreement, or if C ity determines there is a violat ion of a ny federal, state, or local law , ord inan ce, reg ulat ion , co de, standard , o r other requirement, City may at any time the reafte r dec lare Deve loper to be in defau lt or vio lation o f thi s Agree ment and mak e wri tten demand up o n Deve lope r o r it s sur ety , or both , to imm edi ately remedy the default or vi o lation. De veloper s hall commence th e wo rk re quired to remed y the defau lt or violation within ten (10) days of the written demand fr om th e C ity. If the default or vio lation constitutes an immediate thr ea t to th e publi c hea lth , safety, or we lfa re, C ity may prov ide the demand verbally, a nd Deve lo per shall commence the required work withi n twenty -fo ur (24) hou rs thereof. Immedi ately upon C ity 's issuan ce of th e de mand t o re medy the default , Deve lo per and it s surety shall be liabl e to C ity for al l costs of co nstru ctio n and in stallat ion o fth e Publi c Impr ovemen ts an d a ll other ad mini st rative cos t s expe nses as prov ided fo r in Secti on 9.0 of th is Agree ment. 18.2 Failure to Remedy; C ity Action. If the work required to remedy the noticed default or v io lation is not diligently prosec ute d to a s ub stantial co mpl etion acce ptabl e to Ci ty within a re aso nabl e time des ignated by th e C it y, C ity may co mpl ete a ll rema ining work , arran ge for the com p letion of all remainin g work , and/o r co ndu ct such remedial act ivit y as in it s sole and absol ute di scret ion it be lieves is req uir ed to re medy the de fault or vio latio n. A ll such work o r remedial ac ti v ity shall be at the so le and abso lu te cost, exp ense, an d liabili ty o f Developer and it s s urety, witho ut the necess ity of givin g a ny further notice to Developer or s urety. City's ri ght to take such act ions shall in no way be limited by the fact that Dev e loper or its surety may have con structed any, or none o f the req uir ed or ag ree d up on Publi c Improvem ent s at th e tim e o f C ity's dema nd for performance. In the event C ity e lects to co mpl ete or ar ra nge for comp leti on of the re maini ng work and improve me nts, C ity ma y require a ll work by Deve loper or it s su rety to cease in ord e r to a ll ow adequate coord in ation by C ity . otwithstanding the foregoing , if co ndit ions pr ecedent for revers ion to ac rea ge ca n be met and if the interests o f C ity will not be prejudi ced th ere by, C ity ma y also process a reve rs ion to ac reage a nd the reafte r recove r from Dev e loper or its s urety th e fu ll cost a nd ex pense in curred. City ma y in stitute an acti on for dam ages, injunctive rel ief, or s pecific performance. 19. GENERAL PROVISIONS. 19.1 Authority to E nter Agreement. Eac h Party war rants t hat th e individuals w ho have signed th is Agreement have the lega l power, right, and autho r ity make t hi s Agreement and bind eac h res pective Party. 19.2 Cooperation; Fu rther Acts. The Pa rtie s s ha ll fully coo pe rate wit h o ne ano the r, and s ha ll ta ke an y additi ona l acts o r s ign an y additiona l documents as may be necessa ry, appro pr iate, or co nve ni ent to atta in the pu rpo ses of this Agree ment. 19.3 Construction; References ; Captions. lt being agreed the Parties or their agents have participated in the preparati on of this Agreement, the langua ge ofthis Agreement sha ll be construed s impl y, according to its fai r meanin g, and not stri ct ly for or against any Party. Any term referencing t ime, days , or period for perfo rman ce sha ll be deemed ca lenda r days and not work days. All refe ren ces to Deve lo per in c lude a ll perso nn e l, emp loyees , age nts, and s ub contractors of Devel o per , except as otherwise spec ifi ed in thi s Agree ment.
