BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an agreement with ALPLA Inc to amend the current contract to extend the area leased to ALPLA, Inc. Section 2. The agreement shall be substantially the same in form and content as the agreement attached hereto as Exhibit 1. Section 3. WHEREAS, on August 1, 2004, the City entered into that certain Lease Agreement ("Lease Agreement") with the Company for the lease of approximately 10 acres of real property . located on Militia Drive within the City (the "Project Site") in contemplation of the construction of a 94,000 square foot manufacturing facility (together with the Project Site, the "Project") on said real property; WHEREAS, the Company acquired on June 8, 2007 an additional 10 acres of land adjacent to the Project Site (the "2007 Parcel"), the legal description of which is attached as Exhibit A hereto; WHEREAS, the City has acquired title to the 2007 Parcel from the Company on or about the date hereof, and such 2007 Parcel constitutes a portion of the assets leased to the Company under the Lease Agreement; and WHEREAS, the parties hereto desire to extend the term of the Lease Agreement with respect to the 2007 Parcel through 2012 and to amend certain other provisions thereof in accordance with the terms of this Amendment. NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00), in hand paid by each of the parties hereto to the other, the receipt, adequacy and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: • Section 1. Amendments. The Lease Agreement is hereby amended by inserting the following new Section 15.9 immediately following Section 15.8 of the Lease Agreement: Section 15.9 2007 Project Addition. The City has acquired on or about November 30, 2007 title to an additional 10 acres of land adjacent to the Project Site (the "2007 Parcel"), which constitutes a portion of the Project leased to the Company hereunder. Notwithstanding any provision to the contrary in this Lease, this Lease shall continue in full force and effect with respect to the 2007 Parcel until December 20, 2012 ("2007 Parcel Term"). The Company and the City acknowledge and agree that Company intends to exercise its option to purchase the Project less and except the 2007 Parcel upon termination of the Lease Term specified in Section 3.2 of this Lease, and that after such time, the 2007 Parcel will be the only property leased to the Company hereunder. Upon the termination of the Lease Term specified in Section 3.2 of this Lease, the Company shall pay annually a rental fee of$10.00 (ten dollars) to the City for the remainder of the 2007 Parcel Term. The Company shall have the option to purchase the 2007 Parcel ("2007 Parcel Option") at any time under the terms described in Article XI of this Lease. Upon the termination of the 2007 Parcel Term, the City shall execute a general warranty deed conveying title to the 2007 Parcel to the Company. The City agrees to cooperate with and follow the instructions of the Company, at the Company's sole expense, with regard to any claim made regarding the City's right, title, and interest to the Project. Such duty to cooperate shall survive the termination of this Lease. 2. Ratification. Except as expressly amended hereby, the Lease Agreement is ratified and confirmed as in full force and effect. 3. Successors and Assigns. This Amendment shall inure to the benefit of and shall be binding upon the Company and the City and their respective successors and assigns. 4. Captions. The captions or headings in this Amendment are for convenience only and in no way define, limit or describe the scope or intent of any provisions or sections of this Amendment. 5. Governing. This Amendment shall be governed by and interpreted in accordance with the laws of the State of Missouri. 6. Execution in Counterparts. This Lease may be executed in several counterparts, each of which shall be deemed to be an original and all of which shall constitute but one of the same instrument. My commission expires: 3o, 2-0 0,F • [Amendment to Lease Agreement] • FIRST AMENDMENT TO PAYMENT IN LIEU OF TAXES AGREEMENT This FIRST AMENDMENT TO PAYMENT IN LIEU OF TAXES AGREEMENT (this "Amendment") dated as of November 30, 2007, between CITY OF JEFFERSON, MISSOURI, a home rule city organized and existing under the laws of the State of Missouri (the "City") and ALPLA, INC., a corporation organized and existing under the laws of the State of Georgia (the "Company"). WHEREAS, on August 1, 2004, the City entered into that certain Payment in Lieu of Taxes Agreement ("PILOT Agreement") with the Company for the lease of approximately 10 acres of real property located on Militia Drive within the City (the "Project Site") in contemplation of the construction of a 94,000 square foot manufacturing facility (together with the Project Site, the "Project") on said real property; WHEREAS, the Company currently pays to the City amounts in lieu of property taxes on the Project pursuant to the PILOT Agreement with a term ending on December 31, 2009; WHEREAS, the Company acquired on June 8, 2007 an additional 10 acres of land adjacent to the Project Site (the "2007 Parcel"), the legal description of which is attached as Exhibit A hereto; WHEREAS, the City has acquired title to the 2007 Parcel from the Company on or about the date hereof, and such 2007 Parcel constitutes a portion of the assets leased to the Company under the Lease Agreement; and WHEREAS, the parties hereto desire to further extend the term of the PILOT Agreement with respect to the 2007 Parcel through 2012 and to amend certain other provisions thereof in accordance with the terms of this Amendment. NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00), in hand paid by each of the parties hereto to the other, the receipt, adequacy and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: Section 1. Amendments. The PILOT Agreement is hereby amended as follows: (a) By adding, in Section 1.1, in alphabetical order, the following definition: "2007 Parcel" means the 10 acres of land adjacent to the Project Site title to which 2007 Parcel was acquired by the City pursuant to that certain Special Warranty Deed from the Company dated November 30, 2007 and recorded in Deed Book 557, Page 132, Real Property Records Cole County, Missouri. (b) By adding the following new Section 8.8 in Article VIII, immediately following Section 8.7: • Section 8.8. 2007 Parcel. (a) Notwithstanding any provision to the contrary in this Agreement, this Agreement shall continue in full force and effect with respect to the 2007 Parcel until December 31, 2012 ("2007 Parcel Term"). Subject to Section 3.3 of this Agreement, the Company covenants and agrees to make PILOT Payments with respect to the 2007 Parcel equal to the following percentages of actual property taxes that would have otherwise been payable on or before December 31 for each calendar year during the 2007 Parcel Term. The PILOT Payments shall be made as listed below and disbursed pursuant to Section 3.5: Calendar Year Percentage 2008 20% 2009 25% 2010 40% 2011 60% 2012 80% (b) If title to the 2007 Parcel has not been transferred to the Company prior to January 1, 2013, on or before December 31 of such year and each year thereafter until the title of the 2007 Project is transferred to the Company, the Company shall pay to the Collector of Revenue of the City of Jefferson, Missouri (the "Collector") a PILOT Payment equal to 100% of the amounts that would otherwise be payable to each taxing • jurisdiction if the project were not otherwise exempt from taxation.
