DAUGHTREY & ASSOCIATES FOR WORK PERFORMED ON THE CITY OF OPA-LOCKA'S FIVE YEAR FINANCIAL RECOVERY PLAN; PROVIDING FOR INCORPORATION OF RECITALS; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, pursuant to the State & Local Agreement of Cooperation, the City of Opa-locka ("City") is required to develop a Five Year Financial Recovery Plan subject to the approval of the Governor of the State of Florida; and WHEREAS, on October 25, 2017 the City Commission, through Resolution 17- 9426, accepted the proposal from Newall J. Daughtrey & Associates, to develop a Five Year Financial Recovery Plan, submitted pursuant to Request for Proposals Number 17-1012200; and WHEREAS, Newall J. Daughtrey & Associates completed the work contemplated by the proposal and subsequent agreement with the City but has not received payment for its final invoice in the amount of$12,000.00; and WHEREAS, the City Commission finds that it is in the best interest of the City to authorize payment to Newall J. Daughtrey & Associates for services performed in furtherance of the development of a Five Year Financial Recovery Plan. NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF OPA LOCKA, FLORIDA: Section 1. RECITALS ADOPTED. The recitals to the preamble herein are incorporated by reference. Section 2. AUTHORIZATION The City Commission hereby authorizes payment, in an amount not to exceed $12,000.00, to Newall J. Daughtrey & Associates for work performed on the City of Opa-locka's Five Year Financial Recovery Plan. Section 3. SCRIVENER'S ERRORS. Sections of this Resolution may be renumbered or re-lettered and corrections of typographical errors which do not affect the intent may be authorized by the City Manager, or the City Manager's designee, without need of public hearing, by filing a corrected or re-codified copy of same with the City Clerk. Resolution No. 18-9495 Section 4. EFFECTIVE DATE. This Resolution shall take effect immediately upon adoption and is subject to the approval of the Governor or his designee. Daughtrey,Acting City Manager • Date: May 17,2018 Re: Newall J.Daughtrey On July 28,2017 A.L.Jackson&Company,P.A.resigned as the City's consultant to develop the Five Year Financial Recovery Plan. Shortly thereafter the City issued an RFP and accepted the proposal from Newall J. Daughtrey & Associates for the development of the City's Five Year Financial Recovery Plan. During the FY 2017-18 Budget Process the City budgeted for$41,000 in other professional services specifically allocated for the Financial Recovery Plan. Newall J.Daughtrey&Associates submitted invoices 001-004 in the total amount of$17,500 and was paid accordingly.On February 16,2018 invoice 005 in the amount of$12,000 was submitted along with the draft Five Year Financial Recovery Plan and interim reports leading up to the draft Financial Recovery Plan, however City Manager Eddie Brown did not submit the invoice to be paid. At the Regular Commission Meeting of May 9, 2018 it was requested that I withdraw the legislation authorizing payment to Newall J.Daughtrey&Associates for Invoice 005 in the amount of$12,000 for services provided in accordance with RFP#17-1012200 for the development of the City's Five Year Financial Recovery Plan. It was brought to my attention that City Manager Eddie Brown entered into an agreement with ANSF Financial and Darvin Williams to assist the City with developing a Five Year Financial Recovery Plan, however the agreements were not presented to the City Commission for approval. To date, ANSF submitted two invoices and were paid a total of$5,000.Darvin Williams submitted three invoices and were paid a total $10,500, he currently has three unpaid invoices in the amount of$10,537.50. As of today, the line item currently has a balance of $4,553.80 due to the hiring of additional contractors. The proposed amount for the services of developing the City's 5 Year Financial Recovery Plan was $35,000-$70,000. Once the expenses reached $35,000, Newall J. Daughtrey & Associates were responsible for providing the City with an estimate of hours and fees needed to complete the engagement for approval by the City Commission and the Financial Oversight Board. Newall J.Daughtrey&Associates submitted invoices 001-004 in the total amount of$17,500 and was paid accordingly.On February 16,2018 invoice 005 in the amount of$12,000 was submitted along with the 5 Year Financial Recovery Plan and interim reports leading up to the draft Financial Recovery Plan, however City Manager Eddie Brown did not submit the invoice to be paid. On April 11,2018 Mr.Brown was terminated by the City Commission of the City of Opa-locka and I was appointed as Acting City Manager for the City. In the abundance of caution I am requesting that you provide a legal opinion to assure that no conflict exist by me serving as the City's Acting City Manager and recommending that the City Commission authorize payment to Newall J. Daughtrey& Associates in accordance with Resolution No. 17-9426. City Manager, City of Opa-Locka 780 Fisherman Street Opa-Locka, Florida 33054 In March 2017, we were engaged to assist the City of Opa-Locka, Florida ("the City") to develop a Five Year Financial Recovery Plan (the "Plan") under Executive Order 216-135 and the agreement between the City and the State of Florida. To date, scant progress has been made towards completion of the Plan for a myriad of reasons. A successful Plan requires the leadership of a governing board totally commited to the citizenry and long term financial viability of the City. Additionally, a highly experienced team of professionals across the organization is needed to make the difficult decisions to improve and maintain the financial health of the City. Executive and senior management must work as a team in a spirit of shared sacrifice. Even with these elements in place, the City still faces many challenges in developing the Plan. In our opinion, the organizational infrastructure needed to support the preparation of a credible Plan is somewhat deficient, and recent events do not instill a sense of hope or reasonable expectation that the situation will improve in the near term. Under these circumstances, we do not believe we can effectively assist the City with its Plan preparation, and it is with deep regret to inform you of our decision to resign from our engagement effective July 28, 2017. We will be rendering our first and final invoice, and any unused portion of the retainer, if any, will be returned to the City. All the very best to the City in its future endeavors. WHEREAS, the City of Opa-Locka ("city") solicited proposals to assist the City with preparing a Five Year Financial Recovery Plan;and WHEREAS,on October 12,2017,Newell J.Daughtrey&Associates submitted the sole sealed quote in response to RFP No.17-1012200,attached hereto as Exhibit A;and WAS, the City Commission deems Newell J. Daughtrey & Associates as being the most responsive and responsible bidder. NOW THEREFORE, BE IT RESOLVED THAT THE CITY COMMISSION OF THE CITY OF OPA-LOCSA,FLORIDA: Section 1.ISCITALS APOPTED4 The recitals to the preamble herein are incorporated by reference; Section 2.AUTHORIZATION The City Commission hereby accepts the proposal of Newell J. Daughtrey & Associkes for the Preparation of Five Year Financial Recovery Plan pursuant to REP No. 17-1012200 and authorizes the City Manager to negotiate a professional services agreement in a form acceptable to the City Attorney, to be brought back before the City Commission for final approval. SECTION 7. GOVERNING LAW AND EXCLUSIVE VENUE. 7.1 This Agreement will be governed by the laws of the State of Florida. Any claim, objection,or dispute arising out ofthe terms of this Agreement shall be brought in Miami-Dade County. SECTION.8.ATTORNEYS'FM 8.1 In the event of litigation relating to the subject matter of this agreement, the prevailing party shall be entitled to receive from the other party its reasonable attorneys'fees and costs. SECTION.9 FLORIDA PUBLIC RECORDS LAW. 9.1 Pursuant to Section 119.0701 of the Florida Statutes,CONTRACTOR shall: (a) Keep and maintain public records that ordinarily and necessarily would be required by a public agency in order to perform theservice. (b) Provide the public with access to public records on the same terms and conditions that a public agency would provide the records,and at a cost that does not exceed the cost provided bylaw. (c) Ensure that public records that are exempt from public records disclosure requirements are not disclosed,except as authorized by law. POLITICAL ENDORSEMENT PROHIBITION. 16.1 CONTRACTOR shall not engage in political activities that promote or oppose specific amdidates. SECTION 17. PUBLIC ENTITY CRIMES 17.1 A person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a bid proposal or reply on a contract to provide any goods or services to a public entity, may not submit a bid proposal or reply on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids,proposals or replies on leases of real property to a public entity,may not be awarded or perform work as a contractor, supplier, subcontractor or company under a =tract with any public entity and may not transact business with any public entity in excess of the threshold amount provided in Section 287.017 Florida Statutes for Category Two for a period of thirty-six(36)months following the date of being placed on the convicted vendor list. Additionally, pursuant to City's policy, a conviction of a public entity crime may cause the rejection of a bid offer or proposal.The City may make inquiries regarding alleged convictions of public entity aimes.The unreasonable failure of a bidder, offeror or proposer to promptly supply information in connection with an inquiry may be grounds for rejection of a bid offer, Proposal or reply. In the event the City determines that such records are not being adequately maintained by CONTRACTOR,the City may cancel this Agreement in accordance with Sections 10 and 11 herein. In no event shall any provision of this Agceement make the City or any political subdivision of the State of Florida liable to any person or entity that contracts with or provides goods or services to CONTRACTOR in connection with the services CONTRACTOR has agreed to perform hereunder or otherwise or for any debts or claims of any nature accruing to any person or entity against CONTRACTOR. The FRP shall enhance the City's ability to regain short-and long-term f. Managerial and operational efficiendes and accountability shall be improved; g. A Capital Improvement Plan for the City shall be developed and updated annually;and m. The City may continue to borrow funds_under the revolving loan program managed by the Florida Department of Environmental Protection,subject to the approval of that agency. The City shall not enter into any new form of debt or liability,which exceeds twelve(12)months for repayment,without the prior-written approval of the Governor. 5. REPORTING TO THE GOVERNOR. Beginning August 1,2016,and every month thereafter,the City shall provide the Governor with a Monthly Revenue and Expenditure Report that compares actual revenues and expenditures in each fund with the projected revenues and expenditures contained in the Annual Budget. 6. FINANCIAL INTEGRITY ORDINANCE. Maior issues that must be resolved: 1.Water Billing, collections and leakage a)BEng The city is currently no less than 90 days behind in its billing to the city's residents and not all residents routinely receive a bill. This,when coupled with meter 6� reading challenges, present the city with a formidable task, but one which can be resolved. b)Utilty=BEng Deposits- We must develop - a repayment plan to replace all of the customer deposits that the City has spent to fund deficits in the past. Currently we owe about$1,300,000 to this fund. c)Meters.- Presently, meters are being replaced, as the city- has been dissatisfied with the read rate on the exasting units. The read rate on the automated equipment is not sufficiently- high, resulting in numerous manual readings and input, which not only slows down the process, but also subjects the city to the likelihood of human error. The current meter replacement project must be expedited as it is a pivotal component in resolving the city's current billing issue. a - 63 d)Leakages Presently, the city is only able . to bill for 60,000 of every 10000 gallons of water purchased from Miami-Dade water and sewer, as a significant percentage is lost due to poor infrastructure. The pipes need to be replaced and their replacement needs to be treated as a high priority. e) We must do a better Job by fiidng and reading our water meters and billing for services in a timely manner. We must do a better Job of collecting all funds- for water and sewer services owed to the City limier leakages are eliminated,while improvements are implemented in the billing for usage of our water • and the collection of funds that are owed to the City, our financial condition will be enhanced as a result of these efficiencies. The extra funds that we are paying Miami-Dade water and sewer for water lost to leakage, should translate into savings which can be assigned to the retirement of debt incurred for the installation of new pipes. 3 CT 2.Sewer blUkig from MIamI•Drde County The Qty of Opa-iocka is paying Miami-Dade County for twice as much sewage treatment as we should. Industry norms dictate that for each 100,000 gallons of water purchased, at Most we should be paying for 70,000 gallons for sewage treatment Instead, the City is_paying for over 140,000-gallons of sewage treatment each month. We are paying almost twice as much as we should. If we did the repairs needed to our sewer system, we could repay the cost of construction to fix our system and have additional funds to keep our system upgraded. Another contributing factor to the disparity in water purchased and sewage costs is storm water being directed into the sewage system by commercial operators within the City. We must stop people from putting storm water into our sewer system or devise a billing mechanism, as these are services for which they are not presently being invoiced. 4 a The city also has a $7 million outstanding balance, in the county which has to be addressed. 3.Storm weer utilities problems The City is not charging the rates for Storm water utilities approved In Ordinance number 1417, effective October 9, 2014. Also, the City is not billing or collecting for water or sewage as required by this ordinance. Many properties within the City are not being billed . for storm water fees. In Burton &Associates water& Sewer and storm water revenue sufficiency analysis, they stated that the City's FY 2015 estimated,revenue for storm water was $280,000.00 but the FY 2015 estimated expenses for - storm water was $570,000.00. This short fall is being paid from the City's general fund. if the City would start billing and collecting from each property within the City, they would be able to pay for the cost to operate the storm water system correctly. The City could also pay for the needed S at capital projects that are need to improve the storm water system within the City. 4.City utwty-accounts All water services must receive a utility bill, including the City for Its water usage. This includes the water used on the median in the streets, on the parks, and In:aN off. City's buildings and facilities: 5.Red light finds owed by the City The use of state of Florida Red Light Camera funds for . city operations must cease. Instead, a repayment plan must be developed for the $2.1 million owed to the state, which was used to run the city's operations and for which it is presently indebted. • • We must use zero based budgeting" to manage the city. We will set-a-side 10% of the known revenues for repayment of "old debt". We will set-a-side 10% of the known revenue for "emergencies and a working capital fund'.
