NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized to execute a Master Lease with the State of Missouri for parking spaces. Section 2. The agreement shall be substantially the same in form and content as the lease attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage.and approval. • Passed: d �� a D Approved:�b�g f Presi ng Officer Mayor ATT APP VED AS TO FORM: f ty Cle Ci unselor • _ Ord lit i50 • CITY OF JEFFERSON MASTER PARKING LEASE THIS PARKING LEASE,made and entered into by and between the City of Jefferson,Missouri ("Lessor"), and the State of Missouri Office of Administration ("Lessee"), for the purpose of renting parking spaces situated in Jefferson City, Missouri ("Leased Property"), more particularly described as follows: 1. Premises. The Lessor hereby leases unto the Lessee the property identified in Exhibit A. 2. Term. The term of this Parking Lot Lease is for the period beginning July 1, 2006, and continuing on a month-to-month basis until such time as notice is given as defined in paragraph 7 below. 3. Rental. All rental payments will be made on a monthly basis,payable in arrears upon invoices submitted by Lessor. The price per space shall be as shown on the attached Exhibit A. The monthly total rental shall not exceed $10,000.00. • 4. Lessor Covenants and Agrees: a. Lessor will invoice Lessee only for spaces which are in use for the billing period. Lessor and Lessee understand and agree that the total number of parking spaces leased for any single month will vary as the requirements of the Lessee. Lessee will notify Lessor of any change in the total number of parking spaces required. Lessor agrees to provide additional parking spaces at the stated price per space per month when such spaces are available, and upon prior request of Lessee. b. Lessee shall be deemed to be occupying the premises as a Lessee on a month-to-month tenancy, with the parties therefore subject to thirty (30) days written notice of termination. In addition,Lessor must give thirty(30)days prior written notice to Lessee of any change in the availability of parking spaces or of any change in the price per space per month as states on Exhibit A. C. Lessor shall maintain the said property in good repair during the term of all renewal periods of this Lease. d. Lessor must direct and pay for removal of snow and ice from the sidewalks and parking area by 7:00 a.m.of each working day,or as required throughout the day;Saturdays and Sundays excluded. e. Lessor shall provide handicapped parking spaces in accordance with the American with Disabilities Act Accessibility Guidelines(ADAAG)within its total parking system. Upon request, additional spaces may be added on lots covered by this agreement. g. Lessor shall provide a well-lighted parking area. h. Lessor shall, so long as Lessee fully complies with all of the terms and conditions of this Lease,permit the Lessee to peaceably and quietly have,hold and enjoy the premises for the term of this Lease. Anything to the contrary in this Lease not withstanding, Lessor covenants and represents that Lessor has full right, title, power and authority to make, execute and deliver this Lease. i. Lessor shall indemnify and hold Lessee harmless from all liabilities, charges, expenses, and costs arising on account of or by reason of injuries, liabilities, claims, suits or losses directly resulting from a dangerous condition existing on the premises at the time of injury, unless said dangerous condition shall have been caused or created by, or have resulted from the negligent or wrongful act of omission of any employee of the Lessee within the course of employment. j. Any concerns of the Lessor regarding the daily operation of this Lease shall be directed to the Tenant for with the concern applies. 5. Lessee Covenants and Agrees: a. Lessee must use the premises for a parking lot so long as such use shall be deemed • feasible by the Lessee, and Lessee shall have the right to assign its rights under this Lease, in whole or in part,to any other governmental agency, subject to the same terms and conditions of this Lease. Lessee may not assign its rights under this Lease to any nongovernmental party without the written consent of the Lessor. 6 Lessor and Lessee un de r sta n d and agree that this Lease shall not be binding upon the Lessee unless and until general appropriations have been made by the Missouri Legislature and, if applicable, funds have been received from the United States Government, for the payment of rental or for any other payment under this Lease on behalf of the Lessee for the fiscal period embracing the initial period or any option period of this Lease. 7. Notice. That any notice provided for herein may be given to the parties by personal service or by regular mail addressed to the Lessor at City of Jefferson, Department of Community Development, Parking Division,320 East McCarty Street,Jefferson City,Missouri 65 10 1,or the Lessee at State of Missouri Office of Administration,Division of Facilities Management,Design&Construction, 840 Truman Building, 301 West High Street, Jefferson City, Missouri, 65101. The date of delivery of any notice shall be the second full day after the day of its mailing. 8. Jurisdiction. This covenants and agreements contained in this Lease shall be binding upon and shall inure to the benefit of the parties of this Lease,their respective successors,administrators,executors and assigns. Section 1 of the Parking Lease for the period beginning July 1, 2006, is amended to read as follows: 1. Premises.
