AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI,AUTHORIZING THE CITY
ADMINISTRATOR TO ENTER INTO AN AGREEMENT WITH THE JEFFERSON CITY
AREA CHAMBER OF COMMERCE TO FUND A RIVERFRONT ACCESS STUDY, AND
TO PROVIDE FISCAL OVERSIGHT.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section-1. The City Administrator is hereby authorized to enter into an agreement
with the Jefferson City Area Chamber of Commerce (hereinafter Chamber) whereby the
City agrees to pay to the Chamber the amount of Thirty Thousand and no/100 Dollars
($30,000.00),said funds to be transferred from the Capital Improvement Sales Tax Funds,
• Riverfront Park, Account No. 3500-9900-7350-1018, as the 'City's contribution to the
Chamber's retaining a consultant to study options for access IQ development-of the
Jefferson City river front and Adrian's Island. The terms of this agreement shall be as
approved by the City Administrator with the advice and consent of the City Counselor,bjtit
and shall provide for adequate oversight of the ultimate expenditure of these funds byft

Section 2. This Ordinance shall be in full force and effect from and after the date
of Its passa and approval.

AGREEMENT TO FUND RIVER FRONT ACCESS AGREEMENT
• This agreement made and entered into this ;V day of , 2007, by and between,
the City of Jefferson City, Missouri, a municipal corporation, hereinafter sometimes referred to
as"City,"and the Jefferson City Area Chamber of Commerce, a corporation, hereinafter referred
to as the "Chamber,"
The Chamber agrees to recruit and retain, with the advice and consent of the City, a consultant to
study options for public access to Adrian's Island and the Jefferson City River Front.
City will reimburse the Chamber for its costs in retaining such consultant in an amount not to
exceed Thirty Thousand and no/100 Dollar ($30,000.00). Said amount will be paid to Chamber
upon presentation of invoices from the consultant hired.
Chamber will provide such information as the City may request to verify the amount and purpose
of all funds expended.
Chamber will keep the City informed of progress made at regular intervals.
City may terminate this agreement on 30 days notice, however City will be obligated to pay its
proportionate share of all invoices by the consultant which occurred prior to the effective date of
cancellation.
• Either party's waiver of any provision of this Agreement shall not imply a subsequent waiver of
that or any other provision.
If part of this Agreement shall be held to be unenforceable, this agreement shall be construed us
if it never contained the unenforceable part
Each person signing this Agreement on behalf of a party warrants that he or she is duly
authorized by all necessary and appropriate corporate action to execute this Agreement.
This Agreement shall be construed in accordance with and governed by the Laws of Missouri.
It is agreed between the parties hereto that there are no oral or other agreements or
understandings between them. This Agreement supersedes all prior agreements between the
parties, and is intended as a complete and exclusive statement of the full agreement between the
parties.
IN WITNESS WHEREOF, the parties have hereto set their hands effective the date
referenced in the first paragraph.
