WHEREAS, this corporation AT,96' y-y ap,eipe,NTDA/ incorporated under the laws of the
state of 1,17-/9/f ("Corporation ), den ms to obtain financial accommodations
from FIRST SECURITY BANK OF UTAH National Association ("BANK"), through the use of one or more VISA Cards issued
to this Corporation in the name of certain of its employees and agents, and
WHEREAS, this Corporation intends to authorize certain of its employees and agents to use such VISA Cards for and in
connection with corporate business, and
WHEREAS, BANK will not extend such accommodations and issue such VISA Cards unless this Corporation agrees to
all the terms and conditions of the BANK'S Corporate VISA Card Application and Agreement, including (without limitation)
that this Corporation assume sole responsibility (and liability) for the use of such VISA Cards (whether or not such use and the
indebtedness incurred thereby was authorized by Corporation) and this Corporation shall repay the same, plus finance
charges, in accordance with the terms and conditions of the BANK S Cardholder Agreement and Disclosure Statement, and
WHEREAS, it is deemed in the best interest of this Corporation to obtain the financial accommodations offered by BANK
on the terms and conditions herembefore set forth,
NOW THEREFORE BE IT RESOLVED that this Corporation apply to BANK for the issuance of one or more VISA Cards In
the name of those employees and agents as, in the judgement of the officer or officers hereinafter authorized, this Corporation
may from time to time require, _

quire, and to pay all indebtness incurred by use of such VISA Cards, whether authorized or unauthorized
RESOLVED FURTHER, that BANK is authorized to act upon this resolution until written notice of its revocation Is
delivered to BANK and the agreements executed by Corporation in connection therewith are terminated as therein provided,
and that the authority hereby granted shall apply with equal force and effect to the successors in office of the officers herein
