MILLER Fee: GAO Ex-Officio Recorder Deputy Index to: EASEMENT e,v.1 WOOLEY BOARDWALK CONSTRUCTION, MAINTENANCE, SNOW STORAGE, WETLAND MITIGATION, PUBLIC OR CITY CONDUIT UTILITIES, KIOSK AND SIGNAGE EASEMENT This Grant is made on April 25, 2019 by and between SMR HOMEOWNERS'ASSOCIATION, INC., its successors and assigns (hereinafter called the "Grantor"), and CITY OF McCALL, a municipal corporation of the State of Idaho (hereinafter called the "Grantee"). RECITALS a) Grantor owns certain real property situated in Valley County, Idaho, more particularly described in Exhibit A hereto; and (b) Grantor desires to grant to Grantee, and Grantee desires to accept, a perpetual, exclusive public easement (the "Easement") in, to, over, upon, across and through the Exhibit A property as depicted in Exhibit B and described on Exhibit C hereto for the purposes of constructing, installing, operating, cleaning, maintaining, and repairing a boardwalk, for above ground snow storage, wetland mitigation, public or city conduit utilities and kiosk and signage located in the Easement. AGREEMENT/GRANT OF EASEMENT NOW, THEREFORE, in consideration of the recitals above, which are incorporated below, and good and valuable consideration, the receipt and sufficiency of which hereby is acknowledged, Grantor, by giving this Easement, and Grantee, by recording this Easement and/or exercising the rights granted herein, agree as follows: 1. Grant of Easement. Grantor hereby grants and conveys to Grantee, in perpetuity, an irrevocable, non-exclusive easement in, to, over, upon, across and through the Exhibit A property as more particularly depicted on Exhibit B hereto and legally described on Exhibit C (the "Easement") for the construction, installation, operation, cleaning, maintenance and repair of (i) a boardwalk for use by the general public, (ii) above ground snow storage, (iii) wetland mitigation, (iv) public or city conduit utilities for fiber optics, etc., (v) a kiosk and signage, (vi) for ingress and egress access to the Easement, together with Grantee's right to enter and occupy such adjoining land belonging to Grantor outside of the Easement for the purposes of constructing, installing, operating, cleaning, maintaining and repairing the Easement with personnel and with such equipment as is commonly used, or is reasonably adapted, to that work, (vii) for permanent public access to the boardwalk, as depicted on Exhibit B, (viii) for WOOLEY BOARDWALK CONSTRUCTION, MAINTENANCE, SNOW STORAGE AND PUBLIC OR CITY UTILITIES EASEMENT - 1 construction and maintenance ingress and egress access to the wetlands mitigation area, and (ix) the right to deposit outside of the boundary of the Easement debris, snow, and other matter necessarily required to be removed from the Easement to clean and maintain it, provided no greater width of land outside of the boundary of the Easement than is reasonably necessary for such deposits shall be occupied by that debris, snow, or other matter. The Easement granted hereby is exclusive to Grantee. 2. No Liens. Grantor warrants and represents that Grantor can convey the Easement to Grantee in fee simple, free and clear of encumbrances. Grantee waives any requirement for Grantor to provide Grantee with a title insurance policy insuring title in Grantee. 3. Construction. Grantee shall construct, install, operate, clean, maintain, and repair the boardwalk and access thereto, above ground snow storage, wetland mitigation, public or city conduit utilities for fiber optics, etc., and kiosk and signage in the Easement at the sole expense of Grantee and in conformance with the plans approved by the Grantee. 4. Wetland Mitigation. Grantee acknowledges that a minimum of 12,000 square feet of the Easement shall be dedicated to wetland mitigation. The parties agree that the exact location of the wetland shall be as approved by the U.S. Army Corps of Engineers as shown in the attached exhibit. (Exhibit D) 5. Utilities. Grantee agrees that the conduit utilities for fiber optics, etc., shall be installed to the underside of the boardwalk. 6. Kiosk and Signage. Grantee acknowledges that the kiosk shall be informational in nature and the signage shall be interpretive and associated with a bump on Grantor's common ground adjacent to the pathway and pond on the West End of the Easement. 7. Structures on Easement. Grantor will not erect any temporary or permanent structures in the Easement. 8. Landscaping. Grantor will not place any plantings or ground cover in the Easement. No trees or large shrubbery may be planted in the Easement without permission of the Grantee such that use of the easement for its intended purposes is not compromised. Grantee shall not be responsible to restore or replace any landscaping currently on the Easement or for the cost of such landscaping destroyed by Grantee during the construction or use of the Easement by Grantee. 9. No Motorized Vehicles. Grantor acknowledges that no motorized vehicles will be allowed on or within the Easement premises excluding maintenance equipment approved or used by Grantee. 10. Maintenance, Repair; Costs and Expenses. Grantee shall be solely responsible for the operation, cleaning, maintenance and repair of the Easement as well as for all costs and expenses relating to said operation, cleaning, maintenance and repair of the boardwalk, above ground snow storage, wetland mitigation, public or city conduit utilities, kiosk and signage. WOOLEY BOARDWALK CONSTRUCTION, MAINTENANCE, SNOW STORAGE AND PUBLIC OR CITY UTILITIES EASEMENT - 2 Grantee shall maintain and repair the Easement, as reasonably necessary, to facilitate use thereof by the public. 11. Limitation of Liability. The provisions of Idaho Code Section 36-1604 shall apply with regard to the use of the Easement by the public, including but not limited to the following: (1) Grantor Exempt from Warning. Grantor owes no duty of care to keep the Easement safe for entry by others for recreational purposes, or to give any warning of a dangerous condition, use, structure, or activity on such premises to persons entering for such purposes. Neither the installation of a sign or other form of warning of a dangerous condition, use, structure, or activity, nor any modification made for the purpose of improving the safety of others, nor the failure to maintain or keep in place any sign, other form of warning, or modification made to improve safety, shall create liability on the part of Grantor where there is no other basis for such liability. (2) Grantor Assumes No Liability. Grantor does not, with regard to individuals who are either directly or indirectly invited or permitted to use the Easement for no charge for recreational purposes, thereby: (i) Extend any assurance that the Easement is safe for any purpose; or, (ii) Confer upon such person the legal status of an invitee or licensee to whom a duty of care is owed; or, (iii) Assume responsibility for or incur liability for any injury to person or property of such persons. (3) Grantor Not Required to Keep Easement Safe. Nothing in this section shall be construed to: (i) Create a duty of care or ground of liability for injury to persons or property; or, (ii) Relieve any person using the Easement for recreational purposes from any obligation which they may have in the absence of this section to exercise care in their use of such land and in their activities thereon, or from legal consequences or failure to employ such care; or, (iii) Apply to any person or persons who for compensation permit the land to be used for recreational purposes. WOOLEY BOARDWALK CONSTRUCTION, MAINTENANCE, SNOW STORAGE AND PUBLIC OR CITY UTILITIES EASEMENT - 3 (4) User Liable for Damages. Any person using the Easement for recreational purposes, with or without permission, shall be liable for any damage to persons or property which they may cause while on said property. 12. Adjoining Property. Grantor or Grantee may take such steps and implement such measures as are reasonably necessary to prevent the unauthorized entry onto Grantor's adjoining property by users of the Easement. 13. Run with the Land. All provisions of this Easement, including the agreement as to payment of all costs and expenses therefor shall run with the Exhibit A property and shall benefit and bind the heirs, successors and assigns of Grantor and Grantee. 14. Remedies. The parties hereto, their heirs, successors and assigns shall have all rights and remedies provided at law or in equity to enforce their rights hereunder. In the event of any action or proceeding by either party hereto against the other, in any way arising out of this Wooley Boardwalk Construction, Maintenance, Snow Storage and Public or City Utilities Easement, or attempting to enforce any right herein granted, the losing party shall pay the prevailing party's reasonable attorney fees and costs. December 2018 1.1 Project Description Wooley Avenue is a road in McCall that connects the downtown area to the eastern bypass around McCall (Spring Mountain Boulevard). As a connector it receives substantial traffic by both motorized and non -motorized users providing an unsafe zone, due to the lack of roadway width and narrow shoulders. The proposed Wooley Avenue Boardwalk Separated Pathway project will allow non -motorized users to safely travel through the project area (see Figure 1). The proposed Wooley Boardwalk will be ten feet wide and approximately 1060 feet long. It will be constructed using helical piers and treated lumber, with the helical piers placed approximately every ten lineal feet (see Figures 2 and 3). 1.2 Avoidance and Minimization Three options were considered during the project planning phase. 1. Installation of the path on the North side of Wooley Avenue. 2. Widening the road with fill on the south side to create a separated pathway. 3. Construction of a boardwalk through the wetlands adjacent to Wooley Avenue. Option number one was quickly ruled out due to the steep embankment along the north side and the narrow right-of-way. Option number two would have required significant fill in the adjacent wetlands and was ruled out in favor of option number three which will have the least overall impact on the adjacent wetlands. 1.3 Project Site Wetland Classifications A wetland delineation was performed by Crestline Engineering in March 2012. In the report the wetland classification in the area of the proposed path consists mainly of Palustrine Persistent Emergent along with shorter sections of palustrine deciduous scrub - shrub and palustrine broad-leaved deciduous forest. Wooley Boardwalk Wetland Mitigation Report Page 1 1.4 Wetland Impacts and Compensation The proposed Boardwalk will impact 10,632 sq. ft. (.244 acres) of wetlands. It is proposed to mitigate this impact with a 1:1 ratio + 10% of enhanced pollinator wetlands (see Figure 4) This will entail removing the existing wetland foliage in this area and reestablishing with pollinator friendly species. 2.1 Wetland Enhancement The goal of this wetland mitigation plan is to provide a location with the appropriate acreage for the proposed compensation area, and detail the type of plants, shrubs, and trees that will be planted in the mitigation area. The species of each of these will create more habitat for pollinators such as the Monarch Butterfly. Based on discussions with the USACE on December 4, 2018 the wetland mitigation for this project will consist of the enhancement of portions of the emergent wetlands contained within the project area with higher quality pollinator species (plants, shrubs, forbs, and trees). This will also increase the ecological diversity and provide better wildlife habitat. Educational interpretive signage will also be incorporated into the project at two separate pathways bump out locations. 2.2 Pollinator Species There have been significant declines in pollinator species (bees and butterflies). Because of the national goal to create more habitat for these species, the mitigation plan includes the establishment of a sustainable population of native pollinator friendly plants, shrubs, grasses, forbs, and trees which can be expected to bloom throughout the growing season from late spring and into early fall. 2.3 Wildlife Increasing vegetative diversity will also provide improved habitat for animals. The enhanced vegetation will provide food and cover for wildlife and birds. 2.4 Water Quality The mitigation site includes a small stream flowing through the emergent wetland area. The increased vegetation (plants, shrubs, and trees) will provide shade and help decrease the water temperature. Wooley Boardwalk Wetland Mitigation Report Page 2 3.1 Site Selection Criteria This site was selected for the goal of improving and creating habitat for pollinators and wildlife. In addition to being large enough to accomplish the mitigation requirements in one area, this site appears to be a good selection due to the lack of diverse vegetation in this area.. 4.1 Site Protection Instrument The mitigation location will be protected through the Spring Mountain Ranch HOA. Maintenance and preservation of the protected area shall be the responsibility of the City of McCall Parks and Recreation Department through written approval by the Spring Mountain Ranch Homeowners Association. This area is HOA common ground/ open space for Spring Mountain Ranch, and as such is protected from any form of development. 5.0 Base Line Information As part of the monitoring plan for mitigation, baseline information is provided. 5.1 Topography The mitigation site is at an elevation of 5051 to 5052 feet above msl. It contains a relatively flat emergent wetland area with some mostly dead aspen trees along the fringes. 5.2 Soils See attached (Figure 6) for soils information. 5.3 Plants Vegetative species in the proposed mitigation area are mainly broad leaf cattail (typha latfolia) with some quaking aspen (populous tremuloides) located along the fringes. Additional species may be located within the area. Wooley Boardwalk Wetland Mitigation Report Page 3 6.0 Credit Determination Methodology The USACE (meeting with Eric Gerke Dec. 4) has suggested that we propose for mitigation the wetland enhancement for pollinator species of an existing adjacent emergent wetlands. This would be completed at a 1:1 ratio with a 10% addition. The wetland impact from the proposed boardwalk will be 10,632 s.f., therefore the proposed wetland mitigation area is 11,700 s.f.. 7.0 Mitigation Work Plan Planting types and timing are instrumental for successful establishment of vegetation. Planting will be completed in the spring/early summer to take advantage of hydrology. Seeding will mainly be completed in the mid late fall (before first snow). A plant schedule can be found in (Table 1). Plants and seeds will be distributed across the mitigation area and planted to complement existing conditions and vegetation with a goal to mitigate existing mono -cultures. 7.1 Planting Plan The mitigation area boundaries are shown on Figure 4.
