Since1952, the County has contracted with the Peninsula Humane Society (PHS) for animal control field andsheltering service. All 20 cities in the County have contracted with the County for these services.Historically, cities have taken advantage of the economies of pooling resources in order to realize lowercosts for services than each city would likely achieve by providing its own services.The mandated animal control functions are provided by PHS in the newly constructed building at 12Airport Boulevard in San Mateo, while the charitable, mission-driven functions, such as animal adoption,are provided at the Tom and Anette Lantos Center for Compassion at 1450 Rollins Road in Burlingame.The City entered into current animal control services agreement between the County of San Mateo andthe 20 cities in the County, which will expire on June 30, 2020. This amendment will extend the term ofthe agreement for one additional year. The County is evaluating its existing agreement with PHS and thisextension will allow for the completion of the evaluation prior to making recommendations on a long-term agreement. Section 4.2 of the Agreement is replaced in its entirety with a new Section 4.2which shall read as follows:4.2 The County shall provide the services as outlined in this Agreement for the followingestimated amounts. In November 2020, the actual cost will be detennined usingthe estimates provided to the Cities in March, and based on the contracted methodologyset forth in section 3.8 of the Agreement, in which each City's annual contract costs arebased on that City's 3-year rolling average of usage (shelter and field services) and offsetby that City's share of the licensing revenue for the last calendar year. The licensingrevenue is divided on a percentage basis determined by the number of licenses sold ineach City.6. Section 5.3 of the Agreement is hereby amended by the addition of a subsection c.which shall read as follows:"c. The Parties acknowledge that the new Shelter has been constmcted and PHS isoccupying it in order to provide animal control services as set forth in Attachments 1 and2. Further, the Parties have previously entered into a Memorandum of Agreementregarding Funding ofConstmction of an Animal Care Shelter, dated September 9, 2014("Memorandum"), attached and incorporated as Attachment 3. The Parties agree that thetotal cost of the shelter constiTjction project is being updated as provided by Section 2 ofthe Memorandum, and the Parties agree that, when available, County will provide toCities the final total cost of the Shelter constmction which will be paid proportionately byeach City as provided by the Memorandum. Further, the Parties acknowledge and agreethat the proportionate share of each City will be amended as provided by section 3 of theMemorandum. The Parties acknowledge that continued animal conti-ol and shelterservices to a City as provided herein is contingent on that City approving any amendedcost and proportionate share, as previously agreed in the Memorandum."7. Section 5.8 of the Agreement is hereby replaced in its entirety with a new Section5.8, to read as follows:"Term and Termination. Subject to compliance with all tenns and conditions, the term ofthis Agreement shall be from July 1, 2015 through June 30,2021. Except as otherwise provided by this section, this Agreement may not be terminated byany party during the effective period j&om July 1, 2015 through June 30, 2021. Each Cityis responsible for its annual percentage share under this Agreement for the entire term ofthis Agreement.In the event any City fails to pay its percentage share as set forth in this Agreement andExhibit B, every other City shall promptly pay its Proportionate Share of Cost of the non-payment, unless and until the County is able to recover the non-payment from the late ornon-paying City.This Agreement shall automatically terminate in the event oftennination of the AnimalControl Services Agreement. Upon termination, the County shall have no furtherobligation to provide, facilitate or coordinate services specified herein or in the AnimalControl Services Agreement or Animal Licensing Services Agreement. Each City shallpromptly pay its Proportionate Share of Cost as set forth in Exhibit B for all servicesrendered prior to termination.""8. Section 5.15 of the Agreement is hereby replaced in its entirety with a newSection 5.15 to read as follows:"5.15 Notices. Any notice, request, demand, or other communication required orpermitted under this Agreement shall be deemed to be properly given when both: (1)transmitted via facsimile to the telephone number listed below or transmitted via email tothe email address listed below; and (2) sent to the physical address listed below by eitherbeing deposited in the United States mail, postage prepaid, or deposited for overnightdelivery, charges prepaid, with an established overnight courier that provides a trackingnumber showing confirmation of receipt.Any notices required by or given pursuant to this Agreement to any City shall be inwriting and shall be delivered to the Clerk of that City at the address of the principalbusiness offices of the respective City listed in the introduction of this Agreement or atsuch other address as any City may specify in writing to the County.In the case of County, to:Name/Title: Louise F. Upon termmation. Contractor may make and retain acopy of such materials. Contractor shall be entitled to receive payment for work/servicesprovided prior to tennination of this Services Agreement. PHS/SPCA provides animalsheltering services in a PHS/SPCA-owned building, located on County property at AirportBoulevard.The PhlS/SPCA building has been evaluated twice in recent years by the County PublicWorks Department. PHS/SPCA has informed the County that its building is inadequate tomeet the current standards for animal care. The Public Works Department has furtherdetermined that it is not viable to significantly repair or upgrade the current building.PHS/SPCA has determined that it will not construct a new building for sen/ices providedexclusively to the County and cities.On February 15, 2013, your Board requested a list of capital projects required to improvethe condition of the County's existing buildings. The list was presented as the Five YearFacilities Capital Plan to your Board on August 6, 2013, and included was a new animalshelter building with a total estimated cost of $20 million. Attachment 3page 2 of 34DISCUSSION:The Public Works Department conducted an extensive review of mandated animalsheltering services, local utilization and similar Bay Area projects. Ultimately, the PublicWorks Department determined that the cost of constructing a new shelter would bebetween $15.1 million and $20.2 million. The Public Works Department also consideredalternatives to constructing a new sheltersuch as retrofitting County-owned buildings or using pre-fabricated building technologies.All of the alternatives were determined to be more expensive than building a new shelterfrom a life-cycle cost perspective.A new shelter, similar to the current shelter, would house animals from all cities andunincorporated areas in the County. All participating entities would save money by sharingin this service agreement. The County would serve as the lead agency in managing theconstruction of the new building, and would be the sole owner of the completed building. Allparticipating entities, including the County, would share the cost by repaying the Countythrough a 30-year, interest-free lease agreement. As of May 6,2014, all participating entities have approved the cost participation Memorandum ofAgreement (Attachment A).The terms of the Memorandum of Agreement dictate that the lease amount paid by eachparticipating entity will be calculated each year using a combination of a 3-year average forshelter usage (weighted at 80%) and population (weighted at 20%)(Attachment B). The basis for this allocation is to attribute a larger cost share to level ofshelter services used by each participating entity, and a smaller portion to potential usecaptured by population.Construction is expected to begin in the fall of 2014 and be completed within 18 months.The current building would remain open during construction. County Advancing Construction Costs: The Parties agree that the County shall advance, onan interest free basis, all funds required to pay the construction costs for the new Animal CareShelter facility. For purposes of this Agreement, "construction costs" include all expenses forarchitectural and inspector services, project management serrice, environmental review,planning and building fees and costs, and actual contractor construction services. The Partiesunderstand and agree that construction costs for the Animal Care Shelter facility are anticipatedat this time to be twenty million two hundred thousand dollars ($20,200,000). The Parties willbe provided with further information regarding the construction costs for the Animal CareShelter facility within a reasonable period of time after such information becomes available orprior to the Certificate of Occupancy being issued. The Parties agree that if the County receivesinformation indicating that the construction costs for the Animal Care Shelter facility will exceed$20,200,000 by 10% or more, the County shall provide notice to each City of the revisedestimated construction costs within a reasonable period of time before such additionalconstruction costs are incurred. The Parties further agree that the County shall, upon request of aCity, promptly confer with such City or Cities regarding the additional construction costs andany means by which such additional construction costs may be minimized.3. Parties' Payment of Proportional Share of Construction Costs; Each Party agrees that, durmgthe term of this Agreement for as long as the new Animal Care Shelter facility is occupied aiidused for animal care shelter purposes, the Party shall pay the County an annual Lease Paymentbeginning on the first July Ist after a certificate of occupancy is issued for the new Animal CareShelter facility, and on each subsequent July 1 for the next twenty nine years thereafter. EachParty's Lease Payment shall be equal to the Party's proportional share of the construction cost oftfie new Animal Care Shelter facility amortized on a straight line basis over thirty years, as set «Attachment 3page 9 of 34forth in Exhibit A to this Agreement, as Exhibit A may bo amended from time to time asprovided in Section 1 of this Agreement. Each Party's obligation to make a Lease Payment shallremain in place only for so long as the Party is a signatory to the Agreement for Animal ControlServices, or any successor agreement addressing materially the same subject matter. In the eventthat a Party tenninates its participation in this Agreement pursuant to Section 4 of thisAgreement, the County shall, upon receiving notice of that Party's termination, recalculate theremaining Parties' Lease Payment obligations pursuant to the Construction Cost AllocationMethodology set forth in Section 1 of this Agreement. The County shall promptly provide allremaining Parties with notice of their recalculated Lease Payment obligations. The agreementprovides that the County of San Mateo will advance the funds for construction to be repaid bythe municipalities according to their share, through a 30-year, interest-free lease agreement.The agreement further provides that project costs were initially estimated to be $20,200,000and that if the County received information indicating that the construction costs for the animalcare shelter facility will exceed the initial estimate by 10 percent or more/the County wouldprovide notice to each City of the revised estimated construction costs.The original bridging documents used as the basis of design in 2014 estimated the animalshelter would be 30,000 SF of interior space. To meet the needs of the animals, the new animalshelter increased the interior space and exterior kennel space to approximately 42/000 SF. fnaddition to the added square footage, additional enhancements were added. An upgradedheating ventilation air conditioning (HVAC) unit ($600K) and a photovoltaic system ($1.2M)were added to meet a required air exchange for the animals and to meet the County's GreenPolicy, both of which the County will not seek reimbursement from the cities.The County has received a revised estimated project cost for the animal care shelter facility inthe amount of $26,600,000. The new anticipated annual lease costs of $826,843 are the resultof cost escalation in the construction market and design and mechanical enhancementsnecessary to ensure proper and humane animal care. The last column on Attachment Baddresses the new estimated annual lease amount for each city/town. The project construction started in May 2018 and is expected to be completed byNovember 2019. The animal care shelter facility is currently estimated to be $26,600,000.
