WHEREAS, the Owner (as a direct signatory and through its former agent, the Department of
Management Services of the State of Flonda (the "DMS")) has previously entered into the
Agreement between the Owner and Construction Manager, and
WHEREAS, the Agreement has previously been revised by Amendment Nos 1, 2, 3, 4, 5, 6, 7,
8, 9, 10 and 11,
WHEREAS, it is now necessary to revise the Agreement to Install the Dewatenng Recharge
System for the Village Community Center
NOW, THEREFORE, in recognition of the good and valuable consideration provided by the
covenants hereof between the parties, the Owner and the Construction Manager hereby covenant
and agree to amend the Agreement to include work for the Owner directed changes for the
Village Community Center and to identify its funding source, to identify the drawings,
specifications and other documents upon which the GMP is based, and to otherwise revise the
Agreement, as follows
(1) Guaranteed Maximum Price — the Guaranteed Maximum Price (GMP) for construction
of Project VKB-98069000, Village Community Center, Village Fire Station, Village
Police Station, and Administrative Office of the Village, as defined in Article 7 1 of said
Agreement shall be
$21,418,894 59 (which includes the $81,728 00 GMP for the Installation of the
Dewatenng Recharge System as listed below in item 2 a for the Village Community
Center Building )
(2) Drawings and Other Supporting Documents — in addition to the drawings,
specifications and other supporting documents identified in previous amendments (No 1,
2, 3, 4, 5, 6, 7, 8, 9, 10 and 11) to the Agreement, the Guaranteed Maximum Pnce (GMP)
for construction of the Project, is based upon the following drawings and other supporting
documents
a Proposal #R -13C to the Village of Key Biscayne from James A Cummings, Inc ,
dated August 22, 2003, and as directed by the Village of Key Biscayne in accordance
with Field Change Order No 3, dated August 21, 2003 and Langan Engineenng
Report dated August 22, 2003, which are attached hereto as Exhibit "A 1 "
b The revised Project Budget, which is attached hereto as Exhibit "B "

Changes in Agreement — various changes are required to the exhibits and articles of the
Agreement to reflect the amendments descnbed herein It is agreed that the articles and
exhibits of the Agreement shall be deemed to be amended, to provide the following
a Installation of the Dewatenng Recharge System for the Village Community Center
Building in the amount of $81,728 00, and establishment of the GMP for the Project
of $21,418,894 59
(4) Effect On Agreement - except as provided above, the articles and exhibits of the
Agreement which are not affected by the amendments provided for herein shall remain in
full force and effect

outlined in the Agreement between the Owner and Construction Manager The extent of the time
required is not discernable at this time, once the impact has been determined, we will advise you

The daily cost for system usage is reduced to *$235 40 per day tax included

Based on our previous groundwater model studies a recharge system is required around the site The recctaucharge system
in conjunction with the sheetpiles will minimize the impact of groundwater drawdown around the site The recharge system
will consist of closely spread we'Ipo►n's around the perimeter of the excavation In addition an Exfiltraton/French drain
will be placed along the southeastern portion of the site The approximate layout of the system IS shown on the attached
figure wh ch was prepared by James A Cummings based on our meeting yesterday
The wellpoints w II be placed on 2 1/3 ft spacings and the tip will be at el 6 In areas where there are vehicular access
points the weltpotnts will be omitted and the recharge header pipe will be buned to avoid damage
The recharge trench will be 4 ft wde and about 4 to 5 ft deep (slightly penetrating below the water table) A geotextile
filter fabric will enclose the trench and crushed stone w11i be placed in the trench A perforated pipe capable of high
discharge flow will be placed within the crushed stone to carry the discharge waters through the trench The geotexttle
fabric will cover the top of the stone and fill will be placed above the trerch at least where it underlies tt'e access points
on the south and east sides The trench could be left open at the top along the eastem side A sketch of the trench cross-
section is attached

This letter is written to amend some of our suggestions discussed in our letter dated 19 August 2003 for installing the
dewatenng recharge system With the assistance of James A Cummings (the General Contractor) we have scrutinized
the cost effectiveness of installing closely spaced wellpoints and material costs for the recharge trench cross-section while
maintaining the technical feasibility of the system The recharge system plan configuration should remain the same as
shown in the plan attached to the previous 19 August 2003 letter
However based on our discussions with the General Contractor and after evaluating the recharge system preliminary cost
estimates the wellpoint spacing could be spread from 30 inches to the original 42 inches on the north east and south
sides of the excavation The wellpoint spacing should be kept at 30 inches on the west side of the site The wellpoint tip
elevations will be at el -6
The supplemental recharge trench in the southeastern area should have at least 12 inches of washed filter rock above the
top of an 8 inch diameter perforated pipe The on -site relatively clean sand removed from the excavation can be used as
trench backfill matenal overlying the filter fabric wrapped washed rock The overlying material should be free of
deleterious matenal and placed in compacted lifts where required As previously stated the depth of the trench should be
4 to 5 ft and should penetrate into the clean underlying sands Based on the Geotechnical Investigation done by others
our own field observations of the mass excavation bottom and the pilot test discharge pit excavation we anticipate this
range of depth to be below the organic soils and silty sand stratum of low permeability and into the underlying sand which
has a higher permeability
We understand these refinements to the recharge system discussed above will reduce recharge system costs These
refinements should have negligible impact on the desired effect of the recharge system
