A CAPITAL PROJECT AUTHORIZING RESOLUTION OF
THE VILLAGE COUNCIL OF THE VILLAGE OF KEY
BISCAYNE, FLORIDA, CONCERNING THE VILLAGE OF
KEY BISCAYNE CIVIC CENTER PROJECT,
AUTHORIZING CONSTRUCTION EXPENSE ITEMS
DESCRIBED HEREIN, AUTHORIZING AMENDMENT NO
15 TO AGREEMENT BETWEEN OWNER AND
CONSTRUCTION MANAGER CONCERNING MATTERS
DESCRIBED THEREIN, PROVIDING FOR EFFECTIVE
DATE
WHEREAS, pursuant to Section 3 07(b) of the Village Charter, the Village Council desires
to authorize the expenditure of Village funds for additional construction items for the Village's Civic
Center Project (the "Project") as described in the Village Manager's Memorandum, marked as
Exhibit "A" and attached hereto, and
WHEREAS, it is necessary to amend the Agreement between the Village and Construction
Manager to implement expenditures for the work authonzed herein, and
WHEREAS, the Village Council finds that it is in the best interest of the Village to proceed
as indicated in this resolution
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA, AS FOLLOWS
Section 1 Recitals Adopted That each of the recitals stated above is hereby adopted and
confirmed
Section 2 Work Authorized, Specification Of Funds
A That the construction activities for the matters descnbed in Amendment No 15 and
in Exhibit "A", attached hereto, are each hereby approved and authorized
B That the fund amount and source for the work items are hereby authonzed and
approved as described in Exhibit "A "
Section 3 Amendment To Agreement Approved. That Amendment No 15 to the
Agreement between Village and Construction Manager, in substantially the form attached hereto,
is hereby approved and the Village Manager and Village Clerk are hereby authorized, in their
respective capacities, to execute the Amendment to Agreement on behalf of the Village, once
approved as to legal form and sufficiency by the Village Attorney
Section 4 Implementation That the Village Manager is hereby authonzed to take any and
all action necessary to implement the purposes of this resolution and the Amendment to Agreement
Section 5 Effective Date. That this resolution shall become effective upon its adoption

THIS AMENDMENT made this 9th Day of December in the year Two Thousand and Three
By and between the Village of Key Biscayne, Flonda, a Florida municipality, (the "Owner") and
James A Cummings, Inc

(the "Construction Manager")
WHEREAS, the Owner (as a direct signatory and through its former agent, the Department of
Management Services of the State of Flonda (the "DMS")) has previously entered into the
Agreement between the Owner and Construction Manager, and
WHEREAS, the Agreement has previously been revised by Amendment Nos 1, 2, 3, 4, 5, 6, 7,
8, 9, 10, 11, 12, 13 and 14,
WHEREAS, it is now necessary to revise the Agreement to include Work Associated with
Owner Directed Design Changes for the Village Fire Rescue Station and Police and
Administration Buildings, and Site & Site Infrastructure Revisions
NOW, THEREFORE, in recognition of the good and valuable consideration provided by the
covenants hereof between the parties, the Owner and the Construction Manager hereby covenant
and agree to amend the Agreement to include work for the Owner directed design changes for
the Village Fire Rescue Station, Police and Administration Buildings, Site & Site Infrastructure
Revisions and to identify its funding source, to identify the drawings, specifications and other
documents upon which the GMP is based, and to otherwise revise the Agreement, as follows
(1) Guaranteed Maximum Price - the Guaranteed Maximum Price (GMP) for construction
of Project VKB-98069000, Village Community Center, Village Fire Station, Village
Police Station, and Administrative Office of the Village, as defined in Article 7 1 of said
Agreement shall be
$22,464,165 59 (which includes the $286,867 00 GMP for the Work Associated with the
Owner Directed Design Changes and Site & Site Infrastructure Revisions as listed below
in items 2 a through 2 s for the Village Fire Rescue and Police and Administration
Buildings )
(2) Drawings and Other Supporting Documents - in addition to the drawings,
specifications and other supporting documents identified in previous amendments (No 1,
2, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13 and 14) to the Agreement, the Guaranteed Maximum
Pnce (GMP) for construction of the Project, is based upon the following drawings and
other supporting documents

July 11, 2002, and Guerraro/Gonzalez Engineers correspondence dated March 10,

Changes in Agreement — various changes are required to the exhibits and articles of the
Agreement to reflect the amendments described herein It is agreed that the articles and
exhibits of the Agreement shall be deemed to be amended, to provide the following
a Establishment of the GMP for Work Associated with the Owner Directed Design
Changes for the Fire Rescue, Police and Administration Buildings, and Site & Site
Infrastructure Revisions in the amount of $286,867 00, and establishment of the GMP
for the Project of $22,464,165 59
(4) Effect On Agreement - except as provided above, the articles and exhibits of the
Agreement which are not affected by the amendments provided for herein shall remain in
full force and effect

ACID NEUTRALIZATION TANK INSTALLATION
Dear Mr Abbott,
To accomplish work noted in RFI #0P0211 dated July 11, 2002 and correspondence dated March 10,
2003 from OBM Miami, Inc and Guerraro/Gonzalez Engineers regarding the installation of a Acid
Neutralization Tank Structure for the Fire Rescue Station, an additive change order in the amount of
$5,358 00 is required This revised proposal shall rescind the prior proposal R -110F dated July 11 2003
in the amount of $3,625 00 This revision is required for the revised excavation methods used in the
installation of the Acid Neutralization Tank This Work is limited to excavation and complete installation
of the Acid Neutralization Tank Please see attached summary form and subcontractor quotations for a
recapitulation of this amount
The work of this change order request is limited to the Fire Rescue Station Acid Neutralization Tank, as
delineated in RFI #0P0211 dated July 11, 2002 and the following sketches issued with correspondence
From Guerrero/Gonzalez Engineers dated March 10, 2003 This Work is being coordinated with The Fire
Rescue Department for installation over the next several weeks

Dear Mr Abbott
To accomplish Work associated with providing a Trolley & Snatch Pulley System in Stair Tower #2 of
the Fire Rescue Station a change order in the amount of $1,924 00 is needed This Work was designed,
installed and coordinated in conjunction with Fire Rescue Station personnel The original Hose Rack
Assembly design did not include a means of hoisting the Fire Hoses for drying
The work of this change order request is limited to the Fire Rescue Station Track & Trolley System, as
delineated in OBM Miami, Inc correspondence dated June 11, 2002 and the following sketches issued
with change proposal from Dixie Metal Products dated November 4, 2002

WINGERTER LABORATORIES, INC (WLI) reserves the right to suspend or terminate work under this agreement upon failure of
the Client to pay invoices as due If an outside collection sere ice and/or attorney fees are required for obtaining payment of fees client
and endorser agree to pay all fees for additional services
3 Client will not use or cause to be used any WLI reports correspondence or reproductions thereof for advertising sales promotion,
or other publicity purposes without pnor written permission of WLI Client further agrees not to voluntanly present any data or
information obtained from this investigation as evidence m any dispute litigation or other administrative proceeding without pnor
written permission from WLI
4 In the event that WLI is requested by Client or required by law to testify or to provide discovery relating to its work on this project
(including without limitation testimony or discovery in connection with any depositions subpoena or any subpoena duces tecum)
Client shall pay the charges incurred by WLI in connection therewith (including without limitation staff time charges and reasonable
attorney s fees) Client shall incur all associated costs for subpoenaed deposition tunes when no payment is required from opposing
attorneys such as assisting witness or information seeking testimony Client shall hold harmless and indemnify WLI and its officers
and employees from and against any claims which arise out of or are connected with the above descnbed project
5 Test samples used by WLI in the conduct of this project will be retained thirty (30) days after WLI submits it report After this
period they will be discarded unless other arrangements are requested by the Client Storage charges will be invoiced for materials
retained beyond thirty (30) days If the Client requests that the matenals be returned shipment will be made C 0 D Hazardous
matenals will be disposed of at Clients sole expense and responsibility
6 Field work will be performed only under safe conditions Charges may be made by WLI for safety or security measures required
b ; hazardous job conditions and for measures to conform with all regulatory statutory or other legal requirements WLI will not
assume responsibility for damage to underground utilities septic tanks or other underground structures which may result from drilling
activities or mobilization of the truck mounted equipment if not identified to us prior to mobilization to the site
7 Client may terminate the project at any time upon thirty (30) days written notice by WLI Client shall pay charges for work
completed by WLI through date of termination
8 WLI will exercise reasonable skill and judgment normally exercised by testing laboratories performing similar professional
services WLI is not a guarantor of the project to which its services are directed, and its responsibility is limited to work specifically
performed for the Client WLI shall not be responsible for acts or omissions of the Client nor third parties not under control of WLI
9 WLI shall not be in default because of (Iry failure to pertorm this agreement under its terms if the failure arises from causes bel.ond
the control and without the fault or negligence of WLI Examples of these causes are I) acts of nature 2) fires 3) floods 4)
earthquakes 5) equipment failure 6) strikes 7) freight embargoes and 8) severe weather
