'1? MAR 2i 3411 Present: Paul Cass,Victor Noerdlinger,Jim Hungerford, David Abel Liaison Representatives: Jon Fuller,Paul Rooker,Ron Collins Absent: Chris Galazzi There was continuing discussion about the announcement that G&S Installers will be taking over the financing and installation of"some"of the CVEC Phase Two projects. The Orleans Capped Landfill is one of these projects. We are expecting a schedule update from CVEC shortly. Ron Collins mentioned that the Orleans Landfill and a project in P-Town were in jeopardy because they were "too far away from G&S's home base". CVEC and Broadway are searching for another installer to take over these installations. . Ron Collins researched the amount of energy used over the past 12 months by all of Orleans. The amount was 1.6 MWH. This figure will be conveyed to Liz Argo,who will update the"off taker" proposal being offered to Orleans. The chair suggested that OREC postpone discussions about the I&M Project, since we don't have approval from DEP or any other agency to install 375 MW of Solar PV on the 1.62 acres of land surrounding the plant. Ron mentioned that the installation task may not be as complicated as we thought, since the concrete platforms could be built off site and then delivered to the I&M plant site. This would eliminate the need to pour concrete in the vicinity of the wellheads 4 &5. Paul Cass volunteered to contact Brian Dudley of the DEP,and discuss the Zone One issues. The chair handed out copies of the CVEC presentation,that was made to the BOS on 3/19/14. Lots of discussion about the"off taker proposal"followed. David Abel did a bit of research and came up with some questions which have been sent to CVEC. It appears that CVEC subcontracts the management and negotiations with a subcontractor who then contacts the"production pool" of host towns. Why cant Orleans do the same thing and not go thru CVEC ? This could increase the financial benefit for Orleans on the project TBD Two important questions have been raised by OREC: • Is Orleans interested in pursuing this project without the help of CVEC ? Not all items listed may in fact be discussed and other items not listed may also be brought up for discussion to the extent permitted by law. (p):Materials distributed with meeting packet. (m):Materials distributed at meeting. ' Does Orleans have the technical and financial resources to pursue this project without CVEC's help ? J It is my understanding that CVEC's offer to Orleans is moving forward: The LOI has been sent to John Kelly,who will then review it with Michael Ford. An updated copy of the "off taker"spreadsheet has also been sent to John Kelly for review. Once Orleans Town Mgmt and the BOS are satisfied with the new CVEC offer,then ORL will sign a new LOI with CVEC for an extended contract and a PPA. This may require placing an article in the town warrant for either the Special Town Meeting or the Annual Town Meeting, to be held on 5/20/14. Jon Fuller mentioned that the BOS will meet in Executive Session on Mon 3/31 at 5:00PM to discuss the CVEC offer. Jim will be on vacation from 4/2 thru 4/16, so there will be no OREC meeting on 4/10/14. Kelly Darling has been notified.
