PERMISSIVE ENCROACHMENT AGREEMENT
THIS PERMISSIVE ENCROACHMENT AGREEMENT is made and entered into
this 27 day of June, 2019, between THE CITY OF MCCALL, hereinafter referred to as
"the City," and ABS ID-O LLC, a Delaware limited liability company, its successors in
interest and assigns, hereinafter referred to as"Albertsons".
Recitals
WHEREAS, Albertsons is the owner of the following described property,to-wit:
Lots 16, 17, 18, 19 and 20, Block 2 of The Amended Plat of
McCall according to the official plat in the office of the Recorder,
Valley County, Idaho, recorded July 19, 1915 as Instrument No.
22708 in Book 1 of Plats, at Page 39
hereinafter, for purposes of this Agreement, referred to as the "Real Property"; and
WHEREAS, the building situated on the Real Property currently has an entrance on
the west side and existing stairs up to that entrance (the "Stairs"); and
WHEREAS, the building situated on the Real Property currently also has a second
access from the parking lot on the south side of the building; and
WHEREAS, the City, as part of its Downtown Core Phase 1B 2nd Street and Lenora
Street civil design, desires to (i) remove the existing Stairs and replace them with a code
compliant new staircase ("New Stairs"), (i) perform building siding improvements and (iii)
construct parking lot and storm water improvement along the western portion of the Real
Property as more fully depicted on Exhibit A attached hereto and, by this reference,
incorporated herein as if set forth in full; and
WHEREAS, the New Stairs will encroach upon the City's 2nd Street right of way.
NOW, THEREFORE, for good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties agree as follows:

AGREEMENT
1. The City will demolish and remove the existing Stairs located on the west side of
the building situated on the Real Property and replace them with the New Stairs that comply
with all code requirements, including, but not limited to, the Americans With Disabilities Act,
state and local statutes, laws, codes, ordinances, rules and regulations, and all applicable
orders and decrees of any government or quasi-government entity having jurisdiction
over the Real Property or the Improvements. In addition, the City shall (i) replace as
needed the existing building siding improvements and (ii) improve the parking lot storm
water system serving the Real Property and adjacent properties (collectively, with the New
Stairs, the "Improvements") at City's sole cost and expense. Albertsons will own the
Improvements located on the Real Property as part of its building and shall be responsible
for the maintenance and repair of the Improvements.
2. To the extent permitted by Idaho law, the City hereby agrees to indemnify and
hold Albertsons harmless from and against any and all claims for loss, injury, death and
damage caused by or arising out of (i) the use of the Real Property by the City, its
employees, contractors and agents, or (ii) the design and construction of the
Improvements, including, without limitation, attorney's fees and costs that might be incurred
by Albertsons in defending any such claims.
3. The City hereby grants to Albertsons a non-revocable license and permission for the
New Stair to encroach into the City's 2nd Street right of way until such time as Albertsons is
required to remove them as hereinafter set forth herein. Despite the fact that a portion of the
New Stairs will be located within the City's right of way, Albertsons shall be
responsible for the maintenance and repair of the New Stairs.
4. In the event Albertsons applies for a permit to expand the floor area of building on the
Real Property by more than ten percent (10%) of its current size, or if such building is razed,
or destroyed by fire (collectively the "Event"), Albertsons will, at its own expense not later
than June 1 of the year following the Event remove the New Stairs and the entrance on the
west side of the building and restore the sidewalk and any associated infrastructure within the
City's 2nd Street right of way to a condition reasonably acceptable to the City and Albertsons.
5. The non-revocable license and permission herein granted to Albertsons for the New
Stairs shall expire on June 1 of the year following the event that initiated the removal of the
New Stairs.
6. The parties agree that, except as provided herein, the City shall not at any time seek to
require Albertson's to perform any improvements or alterations to the Real Property in

connection with, or as precipitated by, the Downtown Core Phase 1B 2nd Street and Lenora
Street civil design project.
7. This Agreement shall be recorded in the records of Valley County, State of Idaho and
shall inure to and bind both parties, their heirs, administrators, executors, assigns and
successors in interest.
