HomeMy Public PortalAboutORD14016 BILL NO. 2005-150 SPONSORED BY COUNCILMAN: Martin ORDINANCE NO. /y-tgl& AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI,AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH MIDWEST ATC SERVICES, INC., FOR THE PURPOSE OF PROVIDING AIR TRAFFIC CONTROL SERVICES AT THE JEFFERSON CITY MEMORIAL AIRPORT. BE IT ORDAINED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized to execute a Professional Services Agreement for Air Traffic Control Services at the Jefferson City Memorial Airport. Section 2. This agreement shall be substantially the same in form and content as Exhibit A attached hereto. Section 3. This Ordinance shall be in full force and effect from and after the date of Its passage and approval. • Passed: ll�tlit G`g (1f O��y Approve��< l0� 20d(o P=ST: Officer 1) yor A AP 71;r M:FOR ` Ry Cl6rk City Counselor • -1- ILID) U Agrcement THIS AGREEMENT made this 1st (lay of February 2006, by and between Jefferson City Memorial Airport •(hereinafter referred to as "Airport") and Midwest ATC Service, Inc., a corporation with its principal place of business in Kansas and authorized to conduct business in the State of Missouri (hercinalter referred to as "Company"). WHEREAS, Company currently operates the control tower at the Jefferson City Memorial Airport under contract with the Federal Aviation Administration (FAA); and WHEREAS, Airport, in carrying out its agreement with the FAA to fund a portion of the air traffic control services under the FAA's Cost Share program, desires to enter into an agreement with Company to ensure full funding of operations of the control tower at the Jefferson City Memorial Airport; and WHEREAS, Company is willing to enter into such an agreement; NOW,Therefore, in the consideration of the terns, conditions and covenants set forth herein, it is mutually agreed as follows: 1. Term: The Tcrm of this agreement shall be from February 1, 2006 through September 30, 2006. 2. Services: Company shall provide air traffic control services at Jefferson City Memorial Airport as specified in its agreement with the FAA. 3. Payment: in accordance with its cost-sharing agreement with the FAA, Airport shall pay Company$6,512.00 per month. (This figure is based upon the airport's portion of our FY 2006 monthly price of$29,601.00. The airport's portion has been based upon the most recent Benefit Cost infomlation for the airport of.78, making the airport's obligation 22%). This amount may be adjusted annually and from time to time, as • approved by the FAA,to cover increases ordecrenses in Company's approved operatingcosts including,but not limited lo,its labor costs. The FCT Contract conlnins n 3.3%wage escalation of tile first year wage rate annually, or a revised Wage Determination, whichever is the greater of the two. Company shall endeavor to provide to the Airport as much advance notice as possible when adjustments to costs arc expected. Company shall invoice Airport on a monthly basis. Invoices shall be payable to Company within 30 days of receipt. Failure to pay any portion of any invoice may result in an immediate termination of scrvices. (This figure is based upon the airport's portion of our FY 2007 monthly price of$30,432.00. The airport's portion has been based upon the most recent I3enefil Cost information for the airport of.78, ranking the airport's obligation 22%). This amount may be adjusted annually and from time to time, as • approved by the FAA,to cover increases ordecrcases in Connpany's approved operating costs including,but not limited to,its labor costs.
