PROFESSIONAL SERVICES CONTRACT FOR
ENGINEERING SERVICES
WHEREAS, them exists a need for professional services to provide continuing
engineering services in connection with the illegal connection identification and
inflow and infiltration reduction program mandated by the New Jersey
Department of Environmental Protection ("NJDEP"). Services shall include
preparation for and attendance at administrative hearings and meetings with the
major industries in the Borough to evaluate their sewer systems, wet weather
contributions, monitoring program and wastewater quality; the continuation of
sanitary manhole inspections for Phase II of the program; continuing evaluation
of the storm and sanitary sewer throughout the Borough; and provide
preliminary engineering planning and design for the separation of the illegal
connections identified under the on-going internal inspection contract; and
WHEREAS, pursuant to N.J.S.A. 40A;ll-5(1)(a) professional services are
exempt from the requirements of competitive bidding; and
WHEREAS, the local finance officer has certified that funds are available.
NOW, THEREFORE BE IT RESOLVED, that Mayor and Council of the
Borough of Carteret does hereby approve the appointment of Killam and
Associates at a maximum cost of not to exceed $86,500.00 billable per attached
contract2
BE, IT FURTHER RESOLVED, that the Mayor and Borough Clerk are
hereby authorized to execute said contract.
IT IS FURTHER RESOLVED, that the contract is awarded without
competitive bids in accordance with N.J.S.A. 40A:ll-5(1)(a) due to the
specialized and professional nature of the services provided.

THE CONTRACTOR does hereby agree to perform the following

THE INDEMNIFICATION AGREEMENT ON THE
REVERSE OF THE PURCHASE ORDER SHALL
NOT TO EXCEED $86,500.00 BE LIMITED TO THE VENDOR'S NEGLIGENT
OR WRONGFUL ACTS.
According to the terms set forth in Resolution.
THE BOROUGH does hereby agree to pay the Contractor the sum set
forth in Resolution.
IN WITNESS WHEREOF, the parties hereto have hereunder set their hands and seals or
caused these presents to be signed by their proper corporate officers and their corporate
seals to be hereto affixed, the day and year written above.
