HomeMy Public PortalAboutAddendum No. 1 to Contract No. 47-2015 - Heartland Enviromental Assoc - Inspect BEP houses for asbestosADDENDUM THIS ADDEN UM, (N mber 1 to Contract No. 47-2015) is made and entered into this day of 2015, by and between Richmond, Indiana, a municipal corporation acting throug its Board of Public Works and Safety with its office at 50 North 5d' Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Heartland Environmental Associates, Inc., 3410 Mishawaka Avenue, South Bend, Indiana, 46615 (hereinafter referred to as "Contractor") - WHEREAS, City and Contractor entered into Contract No. 47-2015 on April 24, 2015, which Agreement retains Contractor to provide professional services in connection with asbestos inspection and remediation plan for up to eighty (80) structures for the City's Blight Elimination Program (`BEP") per Indiana Housing and Community Development ("IHCDA") Guidelines; and WHEREAS, The parties to said Agreement wish to add an additional eighty (80) properties to be inspected (for a total number of "up to" one hundred sixty. (160) properties) in connection with said Agreement under the same terms and conditions as set forth in Contract No. 47-2015 and at the same price quoted per the attached Exhibit A. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 47-2015, on April 24, 2015. Pursuant to Contract No. 47-2015, Section XII Miscellaneous, the Agreement may be altered or amended in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both parties. As set forth above, and in accordance with the attached Exhibit A, which is attached hereto and incorporated by reference, the parties agree to add an additional eighty (80) properties to be inspected (for a total number of "up to" one hundred sixty (160) properties) in connection with said Agreement under the same terms and conditions as set forth in Contract No. 47-2015 and at the same price quoted per Exhibit A. Such services shall be performed in a manner consistent with Contract No. 47-2015. 2. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 47-2015, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number I shall be controlling. 3. Both parties hereby agree that with the exception of the addition of the above described additional properties, Contract No. 47-2015 shall remain intact and unchanged and in full force and effect. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum. (Heartland), Heartland appreciates the opportunity to continue working for the City of Richmond to conduct inspections on an additional 80 properties and will honor the current contractual rate of $240.00 per house. We are willing to continue the current contract requirements and price for up to another 80 properties for the Blight Elimination Program.
