Our reviews would include the identification of inconsistencies with the provisions of the Design Manual and the preparation of a memo citing specific section(s). These services would be provided at a flat fee of $250.00 for each review. The review of any revisions would be provided at $100.00±, depending on their complexity. In addition to the services proposed above, when my expert testimony may be necessary, my attendance at meetings may be budgeted at $150.00 per meeting. INDEMNIFICATION: If this project involves construction as that term is generally understood, and the Consultant does not provide landscape architectural services during the construction, including on-site monitoring, site visits, shop drawing review, design clarifications, etc., the Client agrees to indemnify and hold harmless the Consultant from liability arising out of, or resulting from, acts or omissions in the performance of said architectural services during construction by the Client, and those agents, employees, or subcontractors other than the Consultant. Scott Harrington, AICP, Town Manager Town of Gulf Stream 100 Sea Road Gulf Stream, Florida 33483 RE: EXPENSE AUTHORIZATION CONTRACT • OUR REF. #14012.00 Dear Scott: Several factors have added to the expenses associated with the preparation of the Gulf Stream Design Manual. These additional expenses have added to the overall quality of our work and the work product which will be retained by the Town. Please review these items and advise as to your authorization to bill for these expenses in addition to the base expense account authorized of $500.00. 1. Aerial photo at 1"=300' (actual size: 24"x36") assisted us with our field surveys and analysis. Town will retain final product: $156.24 2. Air fare for Mark Brodeur - Marks attendance on the field tour has added significantly to his understanding of the Town and the issues to be addressed. His continuing involvement has contributed to the overall quality of the first draft. His air fare was $451.00. UDS will absorb 50%. The balance of $225.50 is an expense not incorporated into our original expense budget: $225.50 3. Photographic development and 1/2 tones - In order to maintain the highest quality reproduction of photographs in the manual a 1/2 tone process was utilized. The extent of use of photographs in the manual was not anticipated into our original expense budget: $332.90 4. Preparation of 8 copies of draft manual - UDS produced this draft including 3 hole punching and assembling 3 -ring notebook. This work/cost was assumed to be the responsibility of the Town and was not incorporated into our expense authorization. Cost of materials and reproduction of 8 3 -ring notebook manuals: $116.00 based or $14.50 per manual. 5. WORK PROGRAM The consultant will conduct the study according to the task structure described below. The Work Program assumes that a Town representative will provide advisory assistance regarding Town policies and procedures and will provide access to any plans, architectural drawings, base maps, photographs, maps, reports, ordinances, and other information that is available in the Town's files. We would also expect that a single Town representative will coordinate and attend all meetings with the consultant. In an effort to reduce consultant costs, this Work Program also outlines specific tasks that the consultant team will need Town staff to complete. Henry Skokowski shall be the Project Manager on behalf of UDS and shall maintain a "hands on" involvement with the Task Force and Town Manager at all times. It is understood that Mr. Skokowski's role is an express condition of this agreement and the Town may consider this agreement null and void under any other circumstance. TASK 1.0: PROJECT INITIATION Task 1.1: Scope Refinement Urban Design Studio's project manager will meet with the Town's representative to review and refine a final scope of work. Scheduled milestones will be discussed and a preferred schedule for meeting dates and times will be completed. Scott Harrington, AICP May 26, 1994 Page 2 Task 1.3: Design Reconnaissance i±ield Trip One of the most overlooked components of preparing a Residential Design Guidelines Manual is to gauge a Town's values regarding urban design and preservation. UDS will request that the Town set up a time concurrent with Tasks 1.1 and 1.2 to conduct a Task Force field trip of the entire Town. What will be important to ascertain is the level of detail or scrutiny that the Town feels comfortable with. We would suggest inviting members of the Town Commission and the Architectural Review and Planning Board (ARPB). The field trip will be followed by a photographic inventory of architectural features. TASK 1.0 TIME FRAME: Two days BUDGET: $ 2,000 PRODUCTS: Slides; useful comments from staff, Task Force, and participants; Project Schedule TASK 2.0: PUBLIC PARTICIPATION The concept for public participation is to actively involve the Town staff and a designated Task Force in the design process and to involve them from the very beginning. The goal of the participation program will be to build a consensus for guiding new construction, remodeling, and renovation in the Town. The value of this consensus building process is that support for the assignment builds as the planning process proceeds because the participants will actually be involved in reviewing the guidelines. Everyone has access to the same facts. Each person's point of view is not only heard, but incorporated into the process. Though there will undoubtedly be those who will disagree with aspects of the resulting design guidelines, they will understand the basis for it. Task 2.1: Public Workshops/Public Hearings UDS will prepare and present draft documents to the town staff for their distribution. Generally, these drafts would be based on direction provided early in the process. The subject matter for each meeting will follow the concepts identified in the project work program. UDS proposes a total of nine meetings. We suggest a minimum of five meetings with the Task Force, including some joint meetings with the full ARPB and Town Commission. The balance of four meetings can be considered as Floating meetings that can be utilized by the Town as it sees fit (i.e., additional Task Foce meetings, joint meetings with the Task Force, ARPB, and Town Commission, or individual meetings with the ARPB or Town Commission). If the Town feels that additional meetings with the consultant are necessary, authorization for additional services will be required. It has been our experience that it is generally a mistake to wait until the public hearing process to involve the members of the Town Commission and ARPB in the review of the Residential Design Guidelines. We 1401200.CON Mr. E. Scott Harrington, AICP May 26, 1994 Page 3 believe that at least one of the Task Force meetings should be a workshop with members of the full Town Commission and ARPB present. In addition, meetings with City Staff as needed are included. In summary, this agreement anticipates nine (9) public meetings as follows: 5 meetings with Task Force (including potential joint meetings with the ARPB and Town Council) 4 "floating" meetings to be scheduled as needed TASK 2.0 TIME FRAME: Over project calendar BUDGET: $ 6,000 PRODUCT: Preparation for and attendance at up to 9 public meetings (workshops, hearings, meetings) TASK 3.0: PREPARATION OF INITIAL OUTLINE AND FORMAT The purpose of this task is to develop background materials useful to the Town and prospective residents/architects to guide design decisions in the Town. This task includes input from the Task Force as well as the initial preparation and review of draft documents. We intend to facilitate discussion and prepare simple yet effective exercises for the Task Force to participate in, designed to provide UDS with insight into the desired products. Task 3.1: Outline and Graphic Format of the Design Guidelines Manual As a preliminary step, a draft table of contents for the design guidelines will be prepared and submitted for review and comment by the Task Force prior to additional work. This is a very important step since UDS will focus all future effort toward this outline. As a secondary step, UDS will prepare "mock up" pages for a Design Guidelines Manual. Graphic format, page layout, and text style will all be called out for staff and Task Force review and input. The intent is to prepare a separate document to address all design issues which can be adopted by the Town as part of its land development regulations by reference. Task 3.2: Overview Following receipt of the Task Force's input on the Design Manual outline and graphic presentation format, UDS will prepare the initial overview section of the design guideline manual. Elements to be addressed in the manual include the following: ■ purpose of the document ■ methodology I401200.CON Mr. E. Scott Harrington, AICP May 26, 1994 Page 4 ■ goals and objectives ■ existing community character Task 3.3: Pictorial Inventory Following the introductory portion of the manual will be a black and white pictorial inventory of existing elements such as: ■ architecture (by style) ■ street character ■ landscape character ■ special elentents Task 3.4: Glossary of Architectural and Design Terms UDS will prepare an appendix of commonly used design vernacular with definitions to assist the Town staff and the prospective builder in understanding some of the technical urban design and architectural rehabilitation language contained in the manual. TASK 3.0 TIME FRAME: Three weeks BUDGET: $ 1,800 PRODUCT: Draft Table of Contents, Final Table of Contents, Graphics Format, Overview Sections, Glossary of Terms TASK 4.0: PREPARATION OF DRAFT DESIGN GUIDELINES UDS will prepare the text, graphics, illustrations, and photos necessary to convey the Town's goals regarding residential architecture and site planning. The guidelines will address rehabilitation/preservation and new construction for residential structures, with distinctions made by neighborhood as appropriate. Task 4.1: Rehabilitation Guidelines This section articulates what can and should be considered in making exterior modifications (rehabilitation, restoration, remodeling) to existing residential structures. This section will include rehab do's and don'ts (both graphic and photographic). The elements may include: ■ scale ■ color ■ walls/siding ■ windows/doors 1401200.CON Mr. E. The elements may include: ■ general guidelines ■ turf coverage ■ existing trees/preservation ■ irrigation ■ walls ■ plant palette TASK 4.0 TIME FRAME: Two months BUDGET: $ 7,500 PRODUCTS: Draft Design Guidelines 1401200.CON Mr. E. Scott Harrington, AICP May 26, 1994 Page 6 TASK 5.0: TECHNICAL APPENDIX The technical appendix section of the design guidelines manual will provide the prospective resident or architect with valuable information beyond the guidelines. Task 5.1: Resource Bibliography UDS will prepare a section for the design manual that articulates various people, organizations, books, and programs that can be consulted for various technical information. TASK 5.0 TIME FRAME: BUDGET: PRODUCTS: One day $ 300 Draft Technical Appendix TASK 6.0: DRAFTS OF DESIGN GUIDELINE MANUAL Task 6.1: Administrative Draft UDS will complete an "Administrative" Draft Design Guidelines Manual following receipt of all comments from the Task Force. Town staff shall transmit a "red ink" copy of the manual to Urban Design Studio. The text and graphic modifications will incorporate all Town concerns. The "red ink" marked up transmittal should reflect all Town staff and Task Force modifications. UDS will participate in public meetings to present the manual and to answer questions (see Task 2.0). Task 6.2: Hearing Draft Design Guidelines Following the receipt of the staffs "red ink" modifications UDS will prepare the Hearing Draft copy of the Residential design Guidelines for ARPB and Town Commission review. All revisions required as a result of the ARPB review shall be made. Task 6.3: Final Design Guidelines Manual Following the presentation to the Town Commission, UDS will complete any modifications necessary to the Final Draft and present one (1) camera-ready original and the final formatted text on disk in IBM WordPerfect 5.1 to the City. The final Design Guidelines Manual shall be of professional quality, consistent with the standards set by UDS in previous projects of this nature. 1401200.CON Mr. E. Scott Harrington, AICP May 26, 1994 Page 7 TASK 6.0 TIME FRAME: Two months ` BUDGET: $ 3,000 PRODUCTS: Administrative Draft, Revised Administrative Draft, Hearings Draft, Final Hearing Draft, Final Design Guideline Manual (camera-ready original, WordPerfect 5.1 disk) TASK 7.0: IMPLEMENTATION Task 7.1: Land Development Regulations In conjunction with the formulation and evaluation of design guidelines by the Task Force, UDS shall assist the Town Manager with evaluating the need to amend existing land development regulations (LDR's) in order to establish consistence and continuity. Subsequent to the final review and acceptance of the design guidelines by the Task Force, the Town Manager shall make specific written recommendations with regard to amendments to existing land development regulations. UDS shall be prepared to discuss recommended changes with the ARPB and Town Commission. Task 7.2: Comprehensive Plan The adoption of specific design guidelines should further the goals and objectives and be consistent with policies adopted in the Town's Comprehensive Plan. UDS shall assist the Town Manager with the review of the current adopted Comprehensive Plan. The Town Manager shall make specific recommendations with regard to amendments or additions to the Comprehensive Plan required in order to establish a solid foundation and basis for the adoption of implementing regulations. UDS shall be prepared to discuss recommendations with the ARPB and Town Commission. TASK 7.0 TIME FRAME: BUDGET: PRODUCTS: TASK 8.0: ADDITIONAL SERVICES Duration of project No Charge Assistance to Town Manager, Participation as required at Task Force Meeting UDS will provide additional services in support of this scope of work as requested and authorized by the Town Manager. REIMBURSABLE EXPENSES Reimbursable expenses are in addition to professional service fees and shall include photographic reproduction, travel, courier, and telephone expenses. Expenses are anticipated not to exceed $500.00. In summary, our fees for all portions of this proposal total $20,600 plus reimbursable expenses of $500, for a grand total of $21,100.00. Fees related to Hourly services shall be billed monthly at the rates specified herein. The Consultant shall not exceed the estimated hourly upset fees without further authorization. All balances shall be due upon receipt. Invoices shall be considered past due thirty (30) days from date of billing. The Client shall be responsible for a twelve per cent (12%) carrying charge on all past due accounts. Fees are subject to renegotiation if scope of services is not completed within six (6) months due to delays beyond the Consultant's control. The Consultant shall not be responsible for any professional services or fees other than those specifically referenced in this agreement. The terms of this agreement may be null and void if not accepted in thirty (30) days. ADDITIONAL SERVICES: Additional Services required as a result of substantial changes in the established project program, constraints or other changes in the project concept or as requested by the Client, will require proper authorization by the Client and will be billed at the hourly rates referenced herein, or may be negotiated on a fixed fee basis. All vendor reimbursable's shall be charged 01.16 of direct cost. The Town may terminate the services of Consultant at any time without cause with 10 days notification. In such case UDS shall he paid for services performed to date of termination. It is further understood that, in case the Client fails to make any payments when due, in full, within thirty (30) days of the receipt of notification as to the amounts then due, the Consultant may elect not to perform any further services pursuant to this agreement and all payments already made shall be retained as liquidated damages and the Consultant may elect to terminate the Contract. ATTORNEY'S FEES: In connection with any litigation, including appellate proceedings arising out of this agreement, the Consultant shall be entitled to recover from the Client any amounts due and/or unpaid, together with costs, interest and reasonable attorney's fees. CONFLICT • Any changes to this contract shall be in writing and executed by all parties. In the event that there is disagreement between the parties regarding any of the terms of this agreement, said disagreement shall be submitted to arbitration pursuant to the rules and regulations of the American Arbitration Association.
