Re: Notice of Termination of Software License Agreement and
Software Maintenance Agreement
Dear Mr. Sundar:
The City of Temple City hereby provides notice of termination of the Edgesoft Software License
Agreement and the Edgesoft Software Maintenance Agreement, both between Edgesoft, Inc. and the
City of Temple City, and both executed on July 29, 2013. Said termination is effective 90 days from the
date of this notice on August 31, 2016. This notice is provided pursuant to Section 8 of the Software
License Agreement and Section 3 of the Software Maintenance Agreement, both of which provide that
the agreements may be terminated by either party without cause by providing 90 days written notice.
We made the decision to cease using Edgesoft’s eLMS product after extensive and careful deliberation.
After considering current and future budget and staffing issues, we believe the best solution for our
needs at this time is to use an internally developed system for our permit and land records needs. We
will certainly consider Edgesoft again in the future should our needs change.
The City has paid license and maintenance fees through June 30, 2016. As such, please provide a final
prorated invoice covering the period of July 1, 2016, through August 31, 2016. If you have any questions
